The Professional Management clause establishes the requirement that services or projects be overseen and executed by individuals or entities with appropriate expertise and qualifications. In practice, this means that the party responsible for management must ensure that all personnel involved possess the necessary skills, certifications, or experience relevant to the work being performed. This clause helps maintain quality standards, reduces the risk of errors or mismanagement, and assures the other party that the project will be handled competently and efficiently.
Professional Management. Tenant shall manage and operate the Premises and perform its duties under this Lease in a manner consistent with the standards followed by Landlord and other institutional owners and management companies that are managing buildings of comparable age and quality in the vicinity of the Project (the "Management Standard").

(i) If at any time Lender consents to the appointment of a new Private Facility Manager, such new Private Facility Manager and Borrower will, as a condition of ▇▇▇▇▇▇’s consent, execute an assignment of Private Facility Management Agreement in a form acceptable to Lender.
(ii) If any such replacement Private Facility Manager is an Affiliate of Borrower, and if a nonconsolidation opinion was delivered on the Effective Date, Borrower will deliver to Lender an updated nonconsolidation opinion in form and substance satisfactory to Lender with regard to nonconsolidation.

User shall operate and maintain all Components, inventory, equipment, designated laser tag area, supplies and materials used in connection therewith, in a manner calculated to enhance the reputation of the facility with its customers. User agrees to use its best efforts in managing said facility in order to provide the maximum economic return consistent with professional management standards. User shall have full power and authority to manage the facility and shall be responsible for directing its supervisors and employees as to the manner and means of accomplishing the work required to be performed. Performance criteria on the part of User shall be consistent User's and Company's standards. Performance criteria is defined as properly managing and promoting the facility to ensure facility runs at its full potential during normal operating hours. User shall provide a professional, clean, safe, and fun environment. Staff shall also be of the same professional caliber.

Tenant shall manage and perform (or shall cause a third-party property management company to perform) its duties under this Article 7 in a manner consistent with the standards followed by first-class institutional quality owners and management companies that are managing and operating the Comparable Buildings (the "Management Standard"). Any third-party property management company shall be subject to Landlord's approval, not to be unreasonably withheld, conditioned or delayed.

Planet Kidz, Inc. has been hereby accepted and approved by the Company as User's designated manager.
