Quality Targets. In quality planning, the supplier’s most important task is to develop a “zero defects strategy” and take all necessary measures to achieve the quality target of “zero defects.” The supplier shall define internal and external quality targets to measure and evaluate the quality achieved. The following minimum requirements shall apply in this regard: determination of the internal and external complaint rates, preferably based on the number of complaints and the PPM (parts per million); determination of the internal and external costs of defects. If necessary, voestalpine shall jointly agree on individual quality targets with the supplier (e.g. in the course of an improvement program). Subject to deviating individual agreements, ppm values are to be halved annually. The supplier is responsible for determining and properly defining the functionally relevant and process-critical characteristics (if not specified) on the basis of the specification and requirements as well as for optimising the manufacturing processes and test methods. The supplier shall inform voestalpine immediately as soon as defective or suspicious products/ services are detected.

The SUPPLIER is committed to a zero-defect goal regarding its supplies to BOSCH, in the same way as BOSCH is to its customers, and shall communicate this goal both internally and to its sub-suppliers. If a zero-defect delivery cannot be guaranteed, BOSCH can agree on interim targets (temporary upper limits for defect rates) with SUPPLIER. The SUPPLIER shall introduce measures for the ongoing improvement and achievement of the zero-defect goal. The failure to meet agreed upper limits does not release the SUPPLIER from its duty to process defect claims. In the event that the SUPPLIER exceeds the upper limits, it shall quickly introduce effective improvement and containment measures and keep BOSCH informed of its progress. This section does not affect the SUPPLIER's liability for defective deliveries. Quality meetings on core topics such as preventative quality assurance, evaluation of the exchanged quality-related data, discussions of faults, discussion of current topics etc. will take place at either Party’s request. If a matter is escalated, the SUPPLIER is obliged to take part in meetings at the management level.
Quality Targets. The Supplier has an obligation to the Customer to have the zero-defect target. If the zero-defect target cannot be achieved in the near future, the Supplier may - together with the Customer and for a limited period of time - determine maximum defect rates as interim targets (e.g. ppm agreements). If the Supplier ascertains that the envisaged targets cannot be achieved the Supplier undertakes to present to the Customer detailed action plans and implement these. If the actual defect rate is below maximum limits agreed by the parties, this does not release the Supplier from it´s obligation to deal with all complaints and to work on continued improvements. The agreement of quality targets and measures as well as action limits does not release the Supplier from his liability in respect of defect and damage claims from the Customer which arise from defects in supplies and/or services. The Supplier will be informed whether it has reached the target at periodical intervals. In the event of deviations from the quality target an action plan must be presented by the Supplier within the period stipulated by the Customer, which must then be implemented by agreement with the Cus- tomer.
Quality Targets. Just like Mergon in relation to its customers, the Supplier also shall be obliged to establish a target of zero number of errors. Target value of regular supplies to Mergon is 100 ppm in case of supplies for the automotive industry and 300 ppm in case of supplies for another sector. If the Seller finds out that the targets set are not to be achieved, he shall be obliged to submit to Mergon concrete plans for the corrective measures and to implement them. A Supplier for series production, in particular the Supplier of components, shall be obliged to implement and maintain the Quality Management System in conformity with the ISO 9001 series of standards. The Supplier shall be obliged, upon previous agreement, to allow to carry out an audit of activities directly relating to supplies for Mergon. To avoid doubts, the goods and materials supplied to Mergon must always be of the highest quality, and in terms of appearance and consistency, they must fully conform to PPAP (if applicable) or the advertising illustrations Mergon has at disposal (catalogue, website, samples, etc.) The liability of the Seller for any loss, resulting in connection with the defects of goods supplied, shall remain unaffected. The aim of Mergon, with respect to the technical, economic and environmental aspects, is to minimize the negative impact of their products on human health and the environment. In order to achieve this aim, the Supplier is expected to establish and maintain an effective Environmental Management System. The Supplier undertakes to obtain any and all official permits required for the production of his materials and components, and to continuously comply with the requirements ensuing from them.
Quality Targets. Supplier appoints in his own responsibility the draft of control so that the agreed goals and specifications are realized. Both of contracting partners are obligated to the Philosophy of zero defects and continuous improvement. Supplier is regularly informed about his performance in ppm. Quality Targets. Tier-1 Target

Quality Targets. BOMATEC reserves the right to define product-specific quality targets with suppliers. These quality targets shall be agreed between BOMATEC and the supplier. For reasons of product liability, BOMATEC expects a delivery quality compliant with the specifications, with the goal of achieving a zero-defect rate. It is an essential precondition for achieving the Quality Performance Targets that SUPPLIER, with the assistance from VESTAS, on a continuous basis improves its production processes, procedures etc. by committing the necessary resources to carry out and implement such improvement. The Parties will agree on regular meetings between the parties necessary to (as a minimum) archive the Quality Performance targets. Achieving the Quality Performance Targets does not relieve SUPPLIER of its obligations, including warranty obligations, under a Purchase Agreement with VESTAS. Continued failure on the part of SUPPLIER to meet the Quality Performance Targets will entitle VESTAS to terminate the PA in accordance with clause 11.2 in full or in part, including by revoking SUPPLIER’s [***] [***] [***] [***] [***] [***] of the Products. The Parties agree that they will finish a review process of the current CTQ’s before end of the 2nd half year 2012. Current CTQ’s can be removed and new CTQ can be inserted if deemed appropriate by the Parties. The Parties will allocate the resources necessary to meet the deadline. If the Parties can’t find an agreement in the review process then the current CTQ’s will remain valid.

'공급업체'가 상한선을 준수하지 못했을 경우, '공급업체'는 효과적인 개선 방안 및 관련 대책을 신속히 도입하고, 그 진행 상황을 '보쉬'에 지속적으로 통보한다. 본 조는 '공급업체'의 결함있는 납품에 대한 책임에 영향을 미치지 않는다. 예방적인 품질 보장, 교환된 품질 관련 자료의 평가, 불량에 관한 논의, 현재의 한건에 관한 논의 등과 같은 핵심 주제에 관한 품질 관련 회의는, 각 당사자의 요청으로 개최한다. 문제가 확대될 경우, '공급업체'는 이 회의에 경영진이 참석해야 한다.
