The Replacement Systems clause defines the terms and conditions under which one system or component may be substituted for another within a contractual arrangement. Replacement Systems. In the event that any applicable system or function used by FIS to provide a Service is replaced during the term by a comparable system or function, the Service Level shall, to the extent reasonably practicable, be defined during the first sixty (60) days of operation of such replacement system or function, provided that such Service Level shall be established at a level intended to achieve performance at least the same as or better than performance under the Service Level associated with the replaced system or function.

Purging of Client data, beyond the selected retention period described in the Services Fee Schedule, will be at the election of Contractor. Contractor is not the system of record and the Client has the obligation to retain customer data on a permanent basis, or for any other Client need, and agrees that the loss or destruction of any such data will not result in any liability to Contractor.
Replacement Systems. In the event Vendor discontinues use of any of its proprietary systems during the Term of this Agreement, and replaces it with another service offering, Vendor will promptly make such replacement offering available to Omnicare Facilities at no charge.
