RIGHT TO SUBSTITUTE a Back-Up Compound or Related Compound. Lynx hereby grants ▇▇▇▇▇▇▇ Pharma the right to substitute, in lieu of the then-existing Licensed Compound, a specific Back-Up Compound or Related Compound, subject to the specific provisions in this Section.
(a) During the term of this Agreement, provided that ▇▇▇▇▇▇▇ Pharma has diligently executed or is continuing to diligently execute in a timely manner the Development Plan with respect to the Licensed Compound for use in the Field in the Territory, if ▇▇▇▇▇▇▇ Pharma reasonably determines that it is not commercially or technically feasible, due to safety or efficacy issues, to obtain Regulatory Approval of the Licensed Compound as a Product for use in the Field, ▇▇▇▇▇▇▇ Pharma may give Lynx written notice that it desires to relinquish all rights to the then-designated Licensed CONFIDENTIAL TREATMENT REQUESTED 21. Compound and to substitute as the new Licensed Compound under this Agreement one of the then-available Back-Up Compounds or Related Compounds.
(b) Upon receipt of such written notice from ▇▇▇▇▇▇▇ Pharma, Lynx shall prepare and provide to ▇▇▇▇▇▇▇ Pharma a list of all the Back-Up Compounds and Related Compounds that are then available for license. ▇▇▇▇▇▇▇ Pharma understands and agrees that Lynx may at any time remove particular Back-Up Compounds or Related Compounds from availability hereunder, if Lynx has expended or contractually committed to spend at least [REDACTED] in research or preclinical investigations on any such compound for use in an indication outside the Field, or has granted a Third Party a license to research, develop and/or commercialize such Back-Up Compound or Related Compound outside the Field. Any such compound shall thereafter be unavailable to ▇▇▇▇▇▇▇ Pharma under this Agreement, unless Lynx subsequently determines it shall not seek to develop or partner such compound, or such Third Party loses its rights under such license. Lynx shall also provide ▇▇▇▇▇▇▇ Pharma any additional Back-up Compound Information with respect to such available compounds that may reasonably be useful in ▇▇▇▇▇▇▇ Pharma's evaluation of whether to substitute a particular compound.
(c) Within [REDACTED] days of disclosure of such list and such additional Information, the Parties will discuss in good ▇▇▇▇▇ ▇▇▇▇▇▇▇ Pharma's desire to substitute a compound on such list for the then-existing Licensed Compound, and within [REDACTED] days after commencing such discussions, ▇▇▇▇▇▇▇ Pharma will give Lynx notice in writing...
RIGHT TO SUBSTITUTE. Should Buyer be prevented as a result of such claims, actions, or suits regarding infringement, from utilizing the Product or Deliverable Items in question, or if Seller believes such a claim is likely, then Seller shall, at Seller's expense, either substitute an equivalent non- infringing item, or modify the item so that same no longer infringes but remains equivalent, or obtain (at its own expense) for Buyer the right to continue use of the item in accordance with the terms of this Agreement.
RIGHT TO SUBSTITUTE. Under the terms of the Contracts, Phoenix reserves the right, subject to compliance with the law as then in effect, to make substitutions for the securities that are held by an Account under certain circumstances. The Parties acknowledge that Phoenix has the right to substitute other securities for the Shares of AVIF or a Fund already purchased or to be purchased in the future. Phoenix will provide 30 days written notice to AVIF or to AIM prior to effecting any such substitution.

RIGHT TO SUBSTITUTE. The right to substitute within a scheduled work week shall be permitted provided that permission is obtained from the Chief of Police or his designee in advance of the substitution date or the proposed substitution date with the following qualifications or conditions:
1. The substitution (trade time) is done voluntarily by the employees involved.
2. That the employees are full-time dispatchers.
3. That the Town shall not incur an additional expense as a result of any substitution.
4. That the reason for trade time is for a personal need or desire, not at the request of the Town.
RIGHT TO SUBSTITUTE. Officers may swap shifts by agreement, and with the approval of a supervisor. Once a swap is approved, the covering officer is fully responsible for the shift he/she has agreed to cover, including being forced before and after shift in accordance with policy. When the covered officer “pays back” the swap, they are also fully responsible for the shift they have agreed to cover, including being forced before and after the shift in accordance with policy. The “pay back” may be scheduled at the time of the original swap, or may be deferred until a later date as “time owed”. Should a covering officer be relieved of the obligation to work the shift by approved use of discretionary time, or by approved non-discretionary and/or administrative leave, any openings created will be filled by the current hiring process of offering, then force filling the opening. Unless offered and accepted in rotation, the officer who is “off-swap” will not be forced to cover the open shift, except in emergencies. Officers who cover a shift on a swap are not eligible for overtime pay normally granted under Article 17, Section B. Hours worked in excess of normally scheduled shifts and the covered shift are eligible for such overtime pay.
RIGHT TO SUBSTITUTE. The right to substitute at any time shall be permitted provided, however, that permission to substitute on any shift shall be obtained from the Chief or designee, provided that someone will be available at all times with reasonable notice.
RIGHT TO SUBSTITUTE. 1. A bargaining unit member whose teaching contract has been suspended by reason of a Reduction In Staff will be called to substitute, within his/her area of certification, before someone is called who does not hold a suspended teaching contract.
2. A bargaining unit member whose teaching contract has been suspended by reason of a reduction in staff will be given preference in long-term substitute assignments within his/her area of certification.
3. The refusal of a bargaining unit member, whose teaching contract has been suspended by reason of a reduction in staff, to accept an offer to substitute shall not waive his/her recall rights under Section 13.05, below, nor his/her right to preference in future assignments as a substitute.
4. Rights conferred by this Section 13.04A are subject to certification requirements and availability of the bargaining unit member when called. However, if no certified substitute is available, then a bargaining unit member on the Recall List will be offered the opportunity to substitute before the position is offered to another substitute who lacks proper certification.

1. The substitution (trade time) is done voluntarily by the employees involved.
2. The reason for trade time is for a personal need or desire, not at the request of the Town.
3. The Town must maintain a record of substitutions (trade time)
4. The period during which time is substituted (traded) and paid back does not exceed twelve
