The Commercialization Plan/Budget will set forth the number of physicians to be called on, call frequency and other matters necessary to determine the detailing effort to be utilized for Promotion in North America pursuant to the Agreement. The Commercialization Plan/Budget will allocate to each Party its portion of the total detailing effort for the aggregate of all Licensed Products across all indications in North America; provided that, unless otherwise agreed to by the Parties, (i) Acceleron will be allocated at least [* * *] sales representatives in the United States for the Promotion of Licensed Products directed to [* * *] (which sales representatives, to the extent practicable, will be the sales representatives used by Acceleron under the ACE-011 Agreement) and (ii) Acceleron will be allocated approximately [* * *]% of the detailing effort in each country in North America directed to [* * *] and any other prescribing physicians that are not [* * *] (which detailing efforts, to the extent practicable, will be to the same prescribing physicians as allocated to Acceleron under the ACE-011 Agreement). The Joint Commercialization Committee will attempt to provide that each Party’s assigned detailing efforts are distributed geographically within North America in a manner reasonably consistent with the distribution of the U.S. population, the Canadian population, and the Mexican population and that each Party’s detailing effort will be directed to physicians of similar prescribing potential; provided further that such detailing efforts, to the extent practicable, will be distributed in the same manner as the ACE-011 Agreement. The Sales Force Costs of Acceleron will be reimbursed pursuant to a rate set forth in the Commercialization Plan/Budget.
Sales Representatives. Schedule 3.18.(c) contains a list of all sales representatives of Company, together with true, correct and complete copies of all sales representative contracts and policy statements, and a description of all substantial modifications or exceptions.
Sales Representatives. 22.01 The Employer agree that sales representatives will not per- form work in its stores on items shipped through the warehouse, ex- cept for major promotional periods. Sales Representatives. 1. In practice, the category of sales representatives can include a variety of job titles. A fundamental condition in this regard is that only positions that meet the following criteria qualify as such:
a. the employee is employed by the employer, his or her main activity being to act as an intermediary in the conclusion of sales or trade agreements;
b. as such the employee has independent commercial responsibility with a large degree of freedom of action;
c. as a representative the employee is responsible, partly based on his or her knowledge, for the sale of a wide range of products;
d. the employee works in a predominantly itinerant position.
2. From the first year of employment, calculated over a period of one year, the amount paid in monthly salary and any commission to an employee employed as a sales representative must on average be at least equal to the salary specified in the Collective Agreement salary scale (see Schedule 1 to the Collective Agreement) for 0 increments in grade V. This salary increases by at least 1 increment per year of service to a minimum of 7 increments in grade V after 7 years of service.
3. The employer is obliged to take out accident insurance for the vehicle made available to the sales representative for the performance of his duties.
4. Article 26 (Job grades) and Section 5 (Working week, working hours and allowances) of this Collective Agreement do not apply to sales representatives.
5. In any event, field sales representatives will receive the salary increases mentioned in Paragraph 1 of Article 32. The employer may set off individual salary increases against the salary increases in accordance with the Collective Agreement.
Sales Representatives. The sales force of the Designated Party for an indication shall be primarily responsible for Promoting and marketing Licensed Product in such indication in the Territory. Notwithstanding the foregoing, in its proposed Annual Commercialization Plan/Budget for an indication, the Designated Party shall provide that no less than *** of those total sales effort resources used in interactions with customers in each of the U.S. and the EU which are to be furnished directly by the parties shall be provided by the non-Designated Party to the extent that such Party has the appropriate resources. The foregoing shall not apply if the JSC, in an affirmative decision, determines that such allocation would create undue operational inefficiencies. If the JSC does not make such an affirmative decision or is deadlocked, the foregoing *** allocation shall apply. The non-Designated Party shall have the right, through the JCT, to provide input to the Designated Party with respect to sales efforts for Licensed Product in the designated indication in the Territory. Where it makes commercial sense to do so given the size of the potential market or based on other commercial factors, upon the recommendation of the Designated Party for an indication, the JCT may decide to allocate sole responsibility for Promotion and marketing activities in some countries to one Party on a country by country basis. Sales Representatives of both Parties shall only use Licensed Product Promotional Materials that have been designed by the applicable Designated Party and approved by the JCT, unless the JCT otherwise determines. In the event that the Licensed Product has failed in either IBD or MS, but succeeds in the other indication and at such time Licensed Product is not being developed for any other Commercially Significant Indication, the JSC shall consider in good faith a request of the non-Designated Party, if made eighteen (18) months prior to the anticipated date of launch of the Licensed Product in the designated indication, to increase its allocation of the total sales force effort under the preceding sentence from *** to *** . The JSC shall grant such a request if it makes a specific determination that (i) the increased participation by the non-Designated Party in the sales force effort in the applicable indication will add value to the profitability of the Licensed Product and (ii) that such added value outweighs any additional operational costs and/or complexity arising out of such additi...
Sales Representatives. Periodically, as requested by Sunrun, Contractor shall provide Sunrun a list identifying each of its individual sales representatives who are performing Contractor Activities on behalf of Contractor or any Subcontractor. Without limiting any other rights Sunrun has under this Agreement or the law, in the event that an individual sales representative violates or there is a claim that an individual sales representative has violated any provision of this Agreement including but not limited to, Contractor’s Responsibilities set forth in Section 3.2 herein, such individual sales representative, upon Sunrun’s request, shall immediately stop performing Contractor Activities under this Agreement. Contractor shall ensure and provide confirmation that such individual sales representative has stopped performing Contractor Activities under this Agreement.
