Services and Data. The objectives, methods, and data to be provided by ▇▇ ▇▇▇▇▇▇▇▇ shall include only those items set forth in the Research Agreement, of which this Attachment A is made a part. Report changes for style can be made for an additional fee. Two (2) copies of each report are provided and additional copies will be made for an additional fee. Within ten (10) days of receipt of data, Client shall acknowledge to ▇▇ ▇▇▇▇▇▇▇▇ in writing, the receipt thereof and the acceptance or dissatisfaction therewith, stating reasons for dissatisfaction, which reason shall be limited to noncompliance by ▇▇ ▇▇▇▇▇▇▇▇ with the terms of this Agreement. Failure of Client to so signify acceptance or dissatisfaction shall constitute acceptance.

Services and Data. 1. All support services must be situated and all agency-related data must reside within the contiguous United States at all times. Services and Data. (a) Subject to the terms herein, MG will provide You with access to MG API. All calls to the MG API must reference the credentials issued to You by MG. You may not disclose Your credentials to any other party. You are solely responsible for ensuring the secrecy and security of Your credentials and will be responsible for all activities that occur using such credentials. You shall not use the MG API in a manner that exceeds reasonable request volume or constitutes excessive or abusive usage. (b) The extent of Your usage of the MG API is dependent on Your subscription plan. You shall not exceed the usage limits associated with Your account. Unused amounts of call usage will not be carried over from one monthly period to the next. If You exceed Your monthly usage limit, the MG API will return an error message stating that Your monthly usage limit has been reached and no further API calls can be made within the current monthly term. It is Your sole responsibility to ensure that your application(s) properly detect and handle any returned error messages. MG will make reasonable efforts to help You identify and resolve usage problems, or to review the suitability of Your current subscription plan for Your needs. MG reserves the right to limit or throttle the number of network calls available to Your application(s) if MG (in its sole discretion) believes that such calls are being made for malicious reasons, or as the result of a technical error. (c) You shall be solely responsible for acquiring, providing, and maintaining all software/hardware and Internet Services required to access the MG API, including but not limited to telecommunication and internet connections, ISP, web browsers, and/or other equipment and software required to access and use the MG API. (d) You hereby acknowledge that from time to time, the MG API may be inaccessible or inoperable for any reason, including, without limitation: • equipment (hardware) malfunctions; • software malfunctions; • periodic maintenance procedures or repairs which MG may undertake from time to time; and/or, • causes beyond the reasonable control of MG and/or not reasonably foreseeable by MG (e) You acknowledge that MG may from time to time, and in its sole discretion, update or change the content or format of MG API. MG shall strive to provide reasonable advance notification of such changes; however, from time to time sudden changes may be required, and since MG strives to accurately reflect these and adjust to these ...
Services and Data. SOVRN provides online publishers with tools, technology and services to: track, analyze, engage and grow their audiences; operate a real-time, data-driven automation platform for advertising, data management and yield optimization; facilitate the integration of third party providers of online advertising and data into one or more of the publisher sites; and aggregate and license data relating to the operation of the publisher sites and the platform. Company desires to access and use the services described in one or more Exhibits (the “Services”) and the data described in one or more Exhibits (the “Data”). Data consists of those Data elements that Company is expressly authorized to and does collect through Company-provided technology (“Company Data”) and/or Data that is provided by SOVRN (“SOVRN Data”).

  • Services and Facilities The Procuring Entity shall make available to the Service Provider the Services and Facilities listed under Appendix F.

  • Information Services Traffic 5.1 For purposes of this Section 5, Voice Information Services and Voice Information Services Traffic refer to switched voice traffic, delivered to information service providers who offer recorded voice announcement information or open vocal discussion programs to the general public. Voice Information Services Traffic does not include any form of Internet Traffic. Voice Information Services Traffic also does not include 555 traffic or similar traffic with AIN service interfaces, which traffic shall be subject to separate arrangements between the Parties. Voice Information services Traffic is not subject to Reciprocal Compensation as Local Traffic under the Interconnection Attachment. 5.2 If a Reconex Customer is served by resold Verizon Telecommunications Service or a Verizon Local Switching UNE, subject to any call blocking feature used by Reconex, to the extent reasonably feasible, Verizon will route Voice Information Services Traffic originating from such Service or UNE to the Voice Information Service platform. For such Voice Information Services Traffic, unless Reconex has entered into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers, Reconex shall pay to Verizon without discount the Voice Information Services provider charges. Reconex shall pay Verizon such charges in full regardless of whether or not it collects such charges from its own Customers. 5.3 Reconex shall have the option to route Voice Information Services Traffic that originates on its own network to the appropriate Voice Information Services platform(s) connected to Verizon’s network. In the event Reconex exercises such option, Reconex will establish, at its own expense, a dedicated trunk group to the Verizon Voice Information Service serving switch. This trunk group will be utilized to allow Reconex to route Voice Information Services Traffic originated on its network to Verizon. For such Voice Information Services Traffic, unless Reconex has entered into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers, Reconex shall pay to Verizon without discount the Voice Information Services provider charges. Reconex shall pay Verizon such charges in full regardless of whether or not it collects such charges from its own Customers. 5.4 Reconex shall pay Verizon such charges in full regardless of whether or not it collects charges for such calls from its own Customers. 5.5 For variable rated Voice Information Services Traffic (e.g., NXX 550, 540, 976, 970, 940, as applicable) from Reconex Customers served by resold Verizon Telecommunications Services or a Verizon Local Switching Network Element, Reconex shall either (a) pay to Verizon without discount the Voice Information Services provider charges, or (b) enter into an arrangement with Verizon to ▇▇▇▇ and collect Voice Information Services provider charges from Reconex’s Customers. 5.6 Either Party may request the other Party provide the requesting Party with non discriminatory access to the other party’s information services platform, where such platform exists. If either Party makes such a request, the Parties shall enter into a mutually acceptable written agreement for such access. 5.7 In the event Reconex exercises such option, Reconex will establish, at its own expense, a dedicated trunk group to the Verizon Information Service serving switch. This trunk group will be utilized to allow Reconex to route information services traffic originated on its network to Verizon.

  • Services and Support 1.1 In exchange for your continued compliance with this Agreement, and any modification to this Agreement made by Intuit in accordance with Sections A.1.1, you shall have access to the Software/Subscription in accordance with the following provisions: (a) If you purchased a Subscription based license for the Software, which generally means that you will be paying for your use of the Software and Services on a monthly or annual basis, you shall receive as part of your active Subscription, so long as Intuit is receiving the applicable payment from you: (i) access to the features of the Software subscribed to by you; (ii) Updates and Enhancements; (iii) Version Protection, each defined in Section B.1.2 below; and (iv) additional products, services and/or discounts when and if they should be made available to you. If you have purchased a subscription that includes Support you will also be entitled to receive Support Services as defined below. Software licenses obtained through a subscription are eligible for Enhancements during the active subscription period only. The Subscription is cancellable by you in accordance with this Agreement, but you will not be entitled to any refunds if you cancel after the 60-Day Money Back Guarantee period, as defined in Section B.6. If you cancel your Subscription or if we do not receive the payment for your Subscription, or if the Subscription is in any way terminated in accordance with the terms of this Agreement, you will no longer have access to the Software and all related Services defined above upon the expiration of the current Subscription term, but you will retain access to your company data file stored on your device, which can be reinstated to a readable QuickBooks format upon reactivation of your Subscription or with the purchase of a license on the Software. (b) If you purchased your license to the Software under a one-time, upfront payment at retail or directly from Intuit and not under a Subscription, you shall receive: (i) a license to the specific version of the Software product you have selected that, subject to the license grant and restrictions in Section A.1.1, allows you access to the features of the Software; and (ii) Updates and Enhancements to the Software in accordance with the terms of the Termination provisions. Intuit's obligations under this Section B.1.1 are contingent upon you installing all updates and error corrections within thirty (30) days of being notified of their availability by Intuit (or its Representatives). QuickBooks 2015 Software purchased on a separate standalone basis are eligible for enhancements on a when-and-if available basis through May 31, 2018, which is the current support period for QuickBooks 2015.

  • The Web Services E-Verify Employer Agent agrees to, consistent with applicable laws, regulations, and policies, commit sufficient personnel and resources to meet the requirements of this MOU.

  • Information Services The Custodian may rely upon information received from issuers of Securities or agents of such issuers, information received from Subcustodians or depositories, information from data reporting services that provide detail on corporate actions and other securities information, and other commercially reasonable industry sources; and, provided the Custodian has acted in accordance with the standard of care set forth in Section 6 (a), the Custodian shall have no liability as a result of relying upon such information sources, including but not limited to errors in any such information.
