Space and Access. The customer agrees to provide suitable space for the Distributor’s meters, wires and where necessary poles, cables, transformers and all other appliances and equipment on the said premises and further agrees that no one who is not an agent of the Distributor shall be permitted to remove, inspect or tamper with same, including seals and that the properly authorized agents of the Distributor shall at all hours have free access to the said premises for the purpose of reading, examining, preparing or removing their meters, wires, poles, cables, transformers and other appliances and equipment of the Distributor and for the inspection of all the customer’s appliances and wiring. Successors - It is agreed that the signatures of the parties hereto shall be binding upon their successors or assigns and that the vacating of the premises herein named shall not release the customer from this agreement except at the option and by written consent of the Distributor.
Space and Access. (a) Client will provide ▇▇▇▇▇▇ Tech adequate space and facilities for the on-site services that ▇▇▇▇▇▇ Tech provides to Client under this Agreement. (b) Client will provide ▇▇▇▇▇▇ Tech and its agents and service providers the necessary access to Client's premises so as to allow ▇▇▇▇▇▇ Tech to perform its obligations under this Agreement.
Space and Access a. C&IT will provide 19" rack-mountable space in the Data Center at ▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇ for the number of S/C/D servers to be housed by C&IT. b. Basic space will include raised floor, fire suppression, physical security system, and active environmental monitoring. c. C&IT will provide, at no charge, HVAC, humidity control, and electric power, including uninterruptible power supply (UPS), battery, and generator backup for S/C/D servers. d. C&IT will provide electronic access to S/C/D servers at WSU 24 hours a day, 7 days a week, with the exception of scheduled maintenance periods or unavoidable interruptions. e. C&IT will provide physical access to servers for authorized S/C/D technical support staff. Physical access only will be possible when C&IT has someone in the building to monitor operations. f. C&IT may reduce attended operations from 7x24 if current funding from the university is reduced and other funds from other sources are not available. g. If the S/C/D requires access to its servers during closure periods, the S/C/D will submit a request two weeks in advance with dates and times so that C&IT can schedule appropriate personnel. h. The S/C/D can contact C&IT Operations (NOC) at 313-577–4750 for computer room access. i. S/C/D access will be restricted to the two persons listed on the Server Hosting Intake Form. All other guests and non-WSU personnel, including third-party maintenance providers, must be escorted. S/C/D staff and guests are required to sign the visitors’ log upon entering and leaving the Data Center. j. S/C/D will abide by C&IT’s Data Center environmental policies, which do not allow boxes or food and drink within the area.

C&IT will provide the S/C/D with the contact telephone numbers of C&IT personnel who will provide authorized S/C/D personnel with access to the computer room when there is an emergency and WSU’s Computing Center is closed. j. S/C/D access will be restricted to the two persons listed on the Server Hosting Intake Form. All other guests and non-WSU personnel, including third-party maintenance providers, must be escorted. S/C/D staff and guests are required to sign the visitors’ log upon entering and leaving the Data Center. k. S/C/D will abide by C&IT’s Data Center environmental policies that do not allow boxes or food and drink within the area.

  • Records Maintenance and Access Grantee must maintain all financial records relating to this Grant in accordance with generally accepted accounting principles. In addition, Grantee must maintain any other records, whether in paper, electronic or other form, pertinent to this Grant in such a manner as to clearly document Grantee’s performance. All financial records and other records, whether in paper, electronic or other form, that are pertinent to this Grant, are collectively referred to as “Records.” Grantee acknowledges and agrees Agency and the Oregon Secretary of State's Office and the federal government and their duly authorized representatives will have access to all Records to perform examinations and audits and make excerpts and transcripts. Grantee must retain and keep accessible all Records for a minimum of six (6) years, or such longer period as may be required by applicable law, following termination of this Grant, or until the conclusion of any audit, controversy or litigation arising out of or related to this Grant, whichever date is later.

  • Inspection and Access Landlord and its agents, representatives, and contractors may enter the Premises at any reasonable time to inspect the Premises and to make such repairs as may be required or permitted pursuant to this Lease and for any other business purpose. Landlord and Landlord’s representatives may enter the Premises during business hours on not less than 48 hours advance written notice (except in the case of emergencies in which case no such notice shall be required and such entry may be at any time) for the purpose of effecting any such repairs, inspecting the Premises, showing the Premises to prospective purchasers and, during the last year of the Term, to prospective tenants or for any other business purpose. Landlord may erect a suitable sign on the Premises stating the Premises are available to let or that the Project is available for sale. Landlord may grant easements, make public dedications, designate Common Areas and create restrictions on or about the Premises, provided that no such easement, dedication, designation or restriction materially, adversely affects Tenant’s use or occupancy of the Premises for the Permitted Use. At Landlord’s request, Tenant shall execute such instruments as may be necessary for such easements, dedications or restrictions. Tenant shall at all times, except in the case of emergencies, have the right to escort Landlord or its agents, representatives, contractors or guests while the same are in the Premises, provided such escort does not materially and adversely affect Landlord’s access rights hereunder.

  • AUDIT AND ACCESS Twelve (12) Months after the expiry of the Call-Off Agreement Period or following termination of this Call-Off Agreement.

  • Cooperation and Access The Cooperative Member agrees that it will cooperate in compliance with any reasonable requests for information and/or records made by the Cooperative. The Cooperative reserves the right to audit the relevant records of any Cooperative Member. Any breach of this provision shall be considered material and shall make the Agreement subject to termination on ten (10) days written notice to the Cooperative Member.

  • REPORTS AND ACCESS The Advisor agrees to supply such information to the Fund’s administrator and to permit such compliance inspections by the Fund’s administrator as shall be reasonably necessary to permit the administrator to satisfy its obligations and respond to the reasonable requests of the Board of Trustees.
