(a) ORTHO may at any time elect to sponsor research and development activities to be performed by CTI with respect to identifying, discovering, creating, optimizing and/or synthesizing Eligible Compounds (the "Sponsored Research Program"). Within ***** after ORTHO's election to implement the Sponsored Research Program, the Parties, working together in good faith, shall attempt to agree upon and approve a plan regarding the general scope of the research to be carried out under the Sponsored Research Program, together with reasonable detail regarding resource allocation, research direction and focus and related matters, for the first one (1) year of the Sponsored Research Program (such plan, if so agreed, being the "Initial R&D Plan"). CTI agrees to undertake the research and development activities described in the Initial R&D Plan (and any subsequent research plans adopted pursuant to subsection (c) below) unless otherwise agreed by the R&D Subcommittee and any such other activities under the Sponsored Research Program as are reasonably requested by the R&D Subcommittee. No material change shall be made to the Initial R&D Plan or any subsequent research plan adopted pursuant to subsection 5.01(c) below without the unanimous consent of the R&D Subcommittee. Sponsored Research. If LICENSEE desires UNIVERSITY participation in performing research and development activities directed towards PATENT RIGHTS, negotiation for such assistance shall be separate and apart from this AGREEMENT, and shall be performed according to UNIVERSITY’S procedures related to research grant and contract activities.
Sponsored Research. A. All rights to inventions resulting from sponsored agreements shall be controlled by the terms of those agreements. Before accepting funding and conducting research activities under any sponsored research agreement, faculty members, other employees, and students shall be fully informed by SPRS of the terms of such agreements. Faculty members and other employees accepting support through sponsored research agreements shall be required to execute such agreements as will enable the University to conform with the requirements of the sponsoring agencies and shall abide by the terms of such agreements. B. When the University and an external sponsor enter into an agreement for research to be conducted with funds or facilities provided in whole or in part by external sponsors, any person who elects to conduct such research may be required by the University to enter into an agreement assigning all rights to inventions arising from such research to the University or to the external sponsor. C. No person may enter into any agreement respecting the assignment, licensing, or exploitation of any patent or other rights to any invention developed in the course of research supported by funds or utilizing facilities administered by the University pursuant to an agreement with an external sponsor without the written consent of SPRS. Sponsored Research. 5.1. If LICENSEE desires to sponsor research for or related to the LICENSED SUBJECT MATTER, and particularly where LICENSEE receives payments for sponsored research pursuant to a sublicense under this AGREEMENT, LICENSEE (a) will notify UTMDACC in writing of all opportunities to conduct this sponsored research (including clinical trials, if applicable), (b) will solicit research and/or clinical proposals from UTMDACC for this purpose, and (c) will give good faith consideration to funding the proposals at UTMDACC.
Sponsored Research. 17.3.1 Each year the College will provide funding to support research by regular faculty members. Two (2) categories of sponsored research funds are awarded by a competitive process: salary awards and resource grants. Applicants may request both types of funding in a single application. (a) Salary awards involving paid leaves for up to one (1) quarter during the regular academic year or salary for up to two (2) months during the summer. (b) Resource grants provide goods and services to support a project or professional agenda. Resource grants may be used to purchase materials needed for research or creative projects, attend professional meetings, publish scholarly work, or purchase specialized books, software or equipment related to a faculty member’s professional agenda. (Specialized books, software or equipment is defined as being beyond what is needed for the teaching and administration of academic programs.) 17.3.2 Individual faculty members may receive one (1) sponsored research award per academic year and up to three (3) awards within five (5) consecutive academic years. They may not receive awards more than two (2) academic years in a row. 17.3.3 There is no relationship between eligibility for paid leaves for sponsored research and professional leaves as described in Article 16. While a person could not hold both leaves simultaneously, the two (2) leaves could be held consecutively. 17.3.4 A period of service following a sponsored research award will be required upon return from a paid leave or summer award, the period of service being equal to the duration of the compensation. Any failure to serve will require prorated repayment of the monetary value of the paid leave benefit. 17.3.5 Paid leaves and summer awards must be taken within the time period for which they are granted. 17.3.6 Recipients of sponsored research funds must submit a report to the ▇▇▇▇▇▇▇ describing the results of the sponsored activity. Sponsored Research. 2.1 Leicester shall perform research to be conducted by or under the direction of the Principal Investigator (as may be agreed between Leicester and Omeros), directed to advancing the technology included in the Leicester IP or related technology concerning the characterization and inhibition of MASP-2 or MAp19, supported by the financial sponsorship of Omeros, and without the use of third party sponsorship that would provide any intellectual property rights in the results of the Sponsored Research to such third party, in accordance with one or more research plans (“Research Plans”) agreed to in advance in writing between Leicester and Omeros. An initial Research Plan is attached hereto as Exhibit B. No Research Plan or any amendment thereto shall be effective until executed by Leicester and Omeros, and upon mutual execution shall be automatically incorporated into this Agreement. If Omeros or Leicester does not wish to extend the Sponsored Research Term for the second or the third year, such party shall provide the other party notice of non-extension at least ninety (90) days prior to the end of the preceding year.
