Status and Responsibilities. (a) Your active employment with the Company will continue through, and will cease on, February 29, 2012 (your “Effective Date”). Effective as of your Effective Date, you will relinquish your position as President, PepsiCo Global Beverages Group, all other appointments and offices you hold with the Company and your position with any third-party organizations in which you represent the Company. Contingent upon your timely signing and not revoking this Agreement, your “Transition Period” will begin on your Effective Date and end on February 28, 2013 (your “Retirement Date”) and you will be eligible for the transition payments and benefits continuation described in Section 2. Your employment with the Company will terminate on your Retirement Date. ▇▇▇▇▇▇▇ ▇’▇▇▇▇▇ (b) Through your Effective Date, you must be available to perform services for the Company upon request and must do so in a diligent and professional manner. During your Transition Period, you agree to respond to inquiries or reasonable requests from the Company for services or assistance related to matters arising during your employment with the Company. You will be reimbursed for pre-approved reasonable and appropriate business expenses incurred by you during your Transition Period in connection with such services as the Company requests, subject to the submission by you of appropriate documentation, and to Company-paid or provided travel, in each instance in accordance with Company policy. For the avoidance of doubt, it is intended that you will “separate from service” within the meaning of Section 409A of the Internal Revenue Code of 1986 (“Section 409A”) on your Effective Date, and that your services during the Transition Period shall not exceed 20% of the average level of services you performed for the Company over the immediately preceding 36-month period measured from your Effective Date.
Status and Responsibilities. Effective as of November 5, 2007, you will relinquish your position as President and CEO of Pepsi-Cola North America, all other appointments and offices you hold with the Company and your position with any third-party organizations in which you represent the Company. You will continue your active employment with the Company through February 15, 2008 (your “Separation Date”) and your employment with the Company will terminate on your Separation Date. During the period from November 5, 2007 through your Separation Date (the “Transition Period”), you shall provide such services as shall be requested by the Chief Executive Officer of PepsiCo, Inc. Neither such services nor anything in this letter agreement shall preclude you from engaging in any other commercial or business activity in any capacity after November 5, 2007 provided such activity would not otherwise result in a violation of Section 3 hereof or is not prohibited by Section 4 hereof. In the event you commence employment with another entity during the Transition Period, your employment will terminate and the Separation Date shall occur seven (7) days after such other employment commences.
Status and Responsibilities. (a) As we discussed, you will present the synergies and integration plan to the Company's Board at its May 11-12, 2005 meeting in Montreal. You hereby resign from your positions as a director, as Vice Chairman, Synergies and Integration, and from all other positions and employment with the Company and its related entities, as a representative of the Company, effective upon Board approval of the plan referred to in paragraph 2(c) hereof, and conclusion of the Board meeting,. (b) On May 31, 2005, your employment will end (the "Separation Date") and you will be entitled to: (i) salary continuation payments in the monthly amount of CDN$83,333.33 for a period of 36 months (such 36-month period, the "Salary Continuation Period"), regardless of subsequent employment; (ii) continuation of your insured benefit arrangements (excluding short-term and long-term disability) and perquisites as described in the schedule the Company has provided to you, through the earlier of (A) expiration of the Salary Continuation Period, or (B) end of the month in which you find new employment or commence self-employment; and (iii) a benefit under the Molson Companies Salaried Pension Plan and related Supplementary Retirement Income Agreement (collectively, the "Pension") calculated and payable at the end of the Salary Continuation Period as if your employment had continued through such date, a preliminary calculation of which has been provided to you.
Status and Responsibilities. Executive and the Company agree that Executive will remain on the job and perform all of Executive’s duties until June 30, 2013 or such other date as the Company and Executive mutually agree (“Separation Date”), at which time Executive’s employment with the Company shall terminate. After that date, Executive will no longer be required to report for work or perform further duties. From the Effective Date to the Separation Date, the parties understand and agree as follows: a. Executive shall receive no less than the same monthly salary as Executive received as of the Effective Date. b. Executive shall perform whatever duties are assigned by the Company, provided such duties are comparable to those presently performed by Executive. c. The Company reserves the right to discharge Executive prior to the Separation Date if Executive exhibits conduct disruptive to the Company or its Executives or for any reason of gross misconduct. If the Company terminates Executive for disruptive conduct or gross misconduct, Executive shall only receive the pay and benefits set forth in Section 2(c) and Section 2(f).
Status and Responsibilities. (a) Between September 1, 2004 and February 1, 2005, you will serve as Vice Chairman of PepsiCo, Inc., reporting to PepsiCo’s Chairman and Chief Executive Officer. (b) Having satisfied the requirements for early retirement (at least age 55 with more than 10 years of service), on February 1, 2005 (your “Retirement Date”), you will retire from the Company and will be entitled to early retirement benefits under the normal provisions of the PepsiCo Salaried Employees Retirement Plan and the Pension Equalization Plan (collectively, the “Retirement Plans”). (c) From your Retirement Date through February 1, 2008 (the “Consulting Period”), you agree to be available to consult with the Company and to provide such consulting services as shall reasonably be requested by the Chief Executive Officer of PepsiCo Inc., regarding the global snack food businesses. You also agree during this period to respond to inquiries or reasonable requests for assistance from the Company related to matters that arose during your employment. You will be reimbursed for pre-approved reasonable and appropriate business expenses incurred by you in connection with such services as the Company requests of you.
Status and Responsibilities. (a) As of March 30, 2005, you relinquished your position as Chairman and CEO of PepsiCo Beverages and Foods and from that date until July 1, 2005, you will continue to be employed by the Company. (b) On July 1, 2005, your employment will end (the “Separation Date”) and you will be entitled to deferred vested retirement benefits under the normal provisions of the PepsiCo Salaried Employees Retirement Plan and the Pension Equalization Plan (collectively, the “Retirement Plans”). You will also be entitled to distribution of your account balances under the normal provisions of the PepsiCo 401(k) Plan for Salaried Employees. (c) From your Separation Date through June 30, 2007 (the “Consulting Period”), you agree to be available to consult with the Company and to provide such consulting services as shall reasonably be requested by the Chief Executive Officer of PepsiCo, Inc., regarding the global beverage and food businesses. You also agree during this period to respond to inquiries or reasonable requests for assistance from the Company related to matters that arose during your employment. You will be reimbursed for pre-approved reasonable and appropriate business expenses incurred by you in connection with such services as the Company requests of you.
Status and Responsibilities. Effective as of the date of this Retirement Agreement (the “Retirement Date”), your employment as Chief Executive Officer of the Company will cease and you will relinquish all appointments and offices you hold with Sourcefire as well as any positions with any third party organizations in which you represent Sourcefire (collectively, your “Retirement”). Notwithstanding the foregoing, your Retirement will not affect your continued service on the Company’s Board of Directors (the “Board”), which three-year term is expected to continue until the 2014 Annual Meeting of the Stockholders of the Company, nor will it affect the continued vesting in unvested Stock Options as long as you remain on the Board in accordance with the terms of the Sourcefire, Inc. 2007 Stock incentive Plan (the “2007 Plan”).
Status and Responsibilities. 6.1 The Contractor is not an employee of DWT. The Contractor is responsible for provision of the Services and any other requirements set out in Annex 1 of this Contract. The Trust is not obliged to supervise the contractor. The Contractor bears sole responsibility for National Insurance and Income Tax arising out of the fee for works/services. S/he shall also be fully responsible for any liabilities relating to employment and third parties. 6.2 S/he shall be responsible for maintaining adequate Public Liability Insurance and any further insurance as set out in Annex 1 of this Contract.

  • Role and Responsibilities During the Employment Period, the Executive shall serve as Chief Financial Officer of the Company, and shall perform such employment duties as are usual and customary for such position. The Executive shall report directly to the Chief Executive Officer of the Company (the “CEO”). At the Company’s request, the Executive shall serve the Company and/or its subsidiaries and affiliates in other capacities in addition to the foregoing, consistent with the Executive’s position hereunder. In the event that the Executive, during the Employment Period, serves in any one or more of such additional capacities, the Executive’s compensation shall not be increased beyond that specified in Section 2(b) hereof. In addition, in the event the Executive’s service in one or more of such additional capacities is terminated, the Executive’s compensation, as specified in Section 2(b) hereof, shall not be diminished or reduced in any manner as a result of such termination provided that the Executive otherwise remains employed under the terms of this Agreement.

  • Roles and Responsibilities 1. The Donor States shall make funds available in support of eligible programmes proposed by the Beneficiary State and agreed on by the Financial Mechanism Committee within the priority sectors listed in Article 3.1 of Protocol 38c and the programme areas listed in the Annex to Protocol 38c. The Donor States and the Beneficiary State shall cooperate on the preparation of concept notes defining the scope and planned results for each programme. 2. The Beneficiary State shall assure the full co-financing of programmes that benefit from support from the EEA Financial Mechanism 2014-2021 in accordance with Annex B and the programme agreements. 3. The Financial Mechanism Committee shall manage the EEA Financial Mechanism 2014-2021 and take decisions on the granting of financial assistance in accordance with the Regulation. 4. The Committee shall be assisted by the Financial Mechanism Office (hereinafter referred to as the “FMO”). The FMO shall be responsible for the day-to-day operations of the EEA Financial Mechanism 2014-2021 and shall serve as a contact point.

  • Position and Responsibilities During the term of Executive’s employment hereunder, Executive agrees to serve as an Executive Vice President of the Bank. Executive shall perform administrative and management services for the Bank which are customarily performed by persons in a similar executive officer capacity. During said period, Executive also agrees to serve as an officer and director of any subsidiary of the Bank or the Company, if elected.

  • RESTRICTIONS AND RESPONSIBILITIES 3.1 Customer may not remove or export from the United States or allow the export or re-export of the Services or anything related thereto, or any information or results thereof in violation of any restrictions, laws or regulations of the United States Department of Commerce, the United States Department of Treasury Office of Foreign Assets Control, or any other United States or foreign agency or authority. As defined in FAR section 2.101, the Software and documentation are “commercial items” and according to DFAR section 252.2277014(a)(1) and (5) are deemed to be “commercial computer software” and “commercial computer software documentation.” Consistent with DFAR section 227.7202 and FAR section 12.212, any use modification, reproduction, release, performance, display, or disclosure of such commercial software or commercial software documentation by the U.S. Government will be governed solely by the terms of this Agreement and will be prohibited except to the extent expressly permitted by the terms of this Agreement. 3.2 Customer represents, covenants, and warrants that Customer will use the Services only in compliance with Company’s standard published policies then in effect and all applicable laws and regulations. Customer hereby agrees to indemnify, defend and hold harmless Company against any damages, losses, liabilities, settlements and expenses (including without limitation costs and attorneys’ fees) in connection with any claim or action that arises from an alleged violation of the foregoing, Customer Data (as defined below), breach of Customer’s representations and warranties, or otherwise from Customer’s use of Services. Although Company has no obligation to monitor Customer’s use of the Services, Company may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing. 3.3 Customer shall be responsible for obtaining and maintaining any equipment and ancillary services needed to connect to, access or otherwise use the Services, including, without limitation, modems, hardware, servers, software, operating systems, networking, web servers and the like (collectively, “Equipment”). Customer shall also be responsible for maintaining the security of the Equipment. 3.4 Company may register Authorized Users on the Service with unique usernames and passwords to enable Authorized Users to access the Services pursuant to this Agreement. Each username and password may only be used to access the Services during one (1) concurrent login session. Customer will ensure that each username and password issued to an Authorized User will be used only by that Authorized User. Customer is responsible for maintaining the confidentiality of all Authorized Users’ usernames and passwords, and is solely responsible for all activities that occur under these usernames. Customer agrees: (a) not to allow a third party to use Customer’s accounts, usernames or passwords at any time; and (b) to notify Company promptly of any actual or suspected unauthorized use of its account, usernames or passwords, or any other breach or suspected breach of this Agreement. Company reserves the right to terminate any accounts, usernames, or passwords that Company reasonably determines may have been used by an unauthorized third party. Authorized User accounts and their associated usernames and passwords cannot be shared or used by more than one individual Authorized User, but may be reassigned from time to time to a new Authorized User who is replacing a former Authorized User who has terminated employment or otherwise changed job status or function and no longer uses the Services. Company is solely responsible for all access to and use of the Services by its Authorized Users and all access to and use of the Services through any Authorized User’s account.
