The Material. Felicitex shall deliver to Recipient the technical and other proprietary material and/or information as detailed in Exhibit 1 hereto (the “Material”).
The Material. Within 90 days of the execution of this “Agreement”, the Artist will provide to Its Gorgeous digital musical sound recordings (the “Material”) on compact disc guaranteed to be free from defects and viruses. The Artist grants to Its Gorgeous exclusive, worldwide, royalty-free licenses to: (a) promotionally play, broadcast, reproduce, distribute, display, and digitally perform the Material in whole or in part; (b) create and use samples of the Material solely for the purpose of demonstrating or promoting Its Gorgeous products or services and/or the Artist’s Material; (c) use any trademarks, service marks, or trade names incorporated in the Material; and (d) use the name or likeness of any individual represented in connection with the promotion of the Material.
The Material. The rights to the Material and any derivatives thereof belong to [X]. [Y] undertakes not to disclose to any third party and/or publish that the Material originated from and/or has been supplied by [X], unless [X] has given its prior written approval thereto. [Y] shall use the Material in compliance with all laws and governmental regulations and guidelines applicable to the Material, including, where applicable, the conditions of the country where the Material originates (Mutually Agreed Terms (MAT) and/or Prior Informed Consent (PIC)), and shall ensure that it can provide all required permits if requested. [X] shall provide [Y] with all the information required for this purpose. [Y] shall not make or have made any analysis of any Material received by it under this MTA for the sole purpose of determining its (chemical) composition, except to the extent necessary for the Activities.
The Material. Testing Consultant shall coordinate the activities of all its Subconsultants and all other members of its roofing analysis and roofing design team. The Material Testing Consultant shall be responsible for all actions of its Subconsultants and other team members in accordance with Paragraphs 3.5, Standard of Performance, 3.6, Labor, Materials, Supplies and Equipment, and 3.10, Subletting and Assignment, of this Contract.
The Material. 2.1 ▇▇▇▇ agrees to provide the Materials to the Customer in accordance with the Agreement.
2.2 Fera undertakes to the Customer that it shall use its reasonable endeavours to provide the Material in accordance with good scientific practice and within the time period agreed between the Parties and at all times exercising reasonable skill and care.
2.3 Nothing in the Agreement implies that Fera will provide the Materials for the Customer exclusively.
2.4 No order for the supply of Materials is binding on Fera unless and until it has been accepted by ▇▇▇▇ in writing.
2.5 Time shall not be of the essence in relation to the provision of the Materials by Fera to the Customer.
The Material. Provider will use its reasonable efforts to make the Original Material available to Recipient for the performance of the Project. The Original Material is provided with a fee (excl. VAT) as set out above solely to reimburse Provider for its collection, registration, storage, processing, packaging and shipment costs. Provider retains ownership of the Material and its Confidential Information (as defined in Section 8 below). ”Material” means the Original Material and any and all modifications and derivatives thereof and progeny of any of the foregoing, and all data provided by Provider to Recipient (the “Data”).

The Material. Testing Consultant shall provide teams of qualified material testing and inspection personnel with experience on educational institutional projects of similar scope and size as the assigned Project(s), and the qualifications of the material testing and inspection personnel shall include the appropriate education, training, licenses, and registrations required in order to provide comprehensive material testing and inspection services. 3.3.12 Material Testing Consultant’s and its Subconsultants’ Key Personnel. 8.1 and the Material Testing Consultant’s Proposal (Exhibit C). The Key Personnel List, with hourly labor rates, is attached as Exhibit E and incorporated by reference into this Contract. The Key Personnel of the Material Testing Consultant and its Subconsultants, all of whose resumes have been provided, shall perform those material testing and inspection services of the Material Testing Consultant required under this Contract. These persons shall devote their time as necessary to the assigned Project(s) to ensure the Material Testing Consultant’s full and timely performance of this Contract, on-time and on-budget. The Material Testing Consultant shall not remove, reassign, replace, or substitute any listed Key Personnel, without the prior written notice to and consent of the School District, which consent shall not be unreasonably withheld. In the event that these persons become unavailable to serve on the assigned Project(s), the Material Testing Consultant shall obtain the School District’s prior approval of any selected substitute personnel, which approval shall not be unreasonably withheld.
