Train the Trainer. SureQuest will train those HTI registered dietitians and other qualified individuals identified by HTI to train End-Users and other potential users designated by SureQuest on how to install, operate, use and support the Licensed Programs. Such "train the trainer" program shall be conducted pursuant to the "SureQuest Trainer Certification Program" set forth on Schedule 6 (a). Each individual, so properly trained and qualified, shall receive a certification by SureQuest that they are qualified to train End Users on the use of the Licensed Programs and to support the Licensed Programs. Such trainers shall attend annual training updates presented by SureQuest, at HTI's expense, to qualify for annual re-certification. SureQuest has explained to HTI the importance of getting HTI personnel trained as quickly as possible to become trainers. HTI understands the importance for both HTI's business and SureQuest's business to expedite this training program and, therefore, agrees that at least fifteen (15) qualified HTI individuals, with appropriate geographic distribution, will be trained as certified trainers within the first ninety (90) days following the date of this Agreement. SureQuest and HTI will develop, as soon as possible, a training schedule with dates and locations and numbers of attendees to meet this training schedule.
Train the Trainer. (i) The Train the Trainer phase will start as required by RCSI after the Training Plan has been approved. The Train the Trainer process will include presentations by First Data training staff, individual study time, on-line exercises, round table discussions, computer based training courses, teach backs, and tests. The First Data product training team will provide a day-to-day training plan to each trainer prior to the start of the class. This consists of training the designated individuals on the functionality of the First Data System so the RCSI trainers will be equipped to train other individuals within the RCSI organization. The instruction cycle of the train the trainer phase is approximately sixty (60) days.
(ii) During the Train the Trainer Phase, First Data will determine the number of First Data trainers needed for this process and identify the criteria for selecting RCSI employees for the train the trainer process; provided that RCSI shall select the RCSI trainers. First Data will identify the curriculum to be learned for each of the RCSI trainers selected, based upon the Needs Assessment. First Data will then identify the location and time frame of the Train the Trainer program and set up the facility and accommodations for the program.
(iii) First Data will then set up a meeting at RCSI for RCSI and First Data individuals involved in the Train the Trainer process to understand the objectives and obtain RCSI management approval and execute the Train the Trainer process. Upon completion of the Train the Trainer process, the RCSI trainers will return to their work location to begin the process of setting up their internal procedures to incorporate into the training material and schedule the employees into training.
(iv) As the RCSI trainers begin to complete the task of identifying their internal procedures, and incorporating those procedures into the First Data training material, there may be updates on the First Data System. This new information will be given to the RCSI trainers through bulletins received from First Data and instruction on these new options will be given by the First Data trainers. The First Data trainers will assist the RCSI trainers to make the decision as to whether or not the new First Data System information belongs in the training materials itself. Table of Contents
Train the Trainer. Within one month after a request by Alcatel, Supplier will furnish at no charge a qualified instructor to provide train-the-trainer instruction. Subject to modification mutually agreed upon at the time of such a request, it is expected that such training will generally comply with the following guidelines:
Train the Trainer. 9.1 Client shall provide support in the initial set up of training programmes including UK based “Training the Trainer”, pre-deployment training support and deployment subject matter expert (“SME”) support.
9.2 It is the responsibility of the Contractor to ensure that it provides Client with a sufficient number of its trainers to enable it to deliver the training plan during the Implementation Period and to provide thereafter for the subsequent training of new recruits.
9.3 During the Implementation Period, delivery of “Train the Trainer” training shall be the responsibility of Client, which shall train the trainers in the UK at sites to be specified. It is the responsibility of Client to ensure they have trainers available to deliver this training to the agreed number of Contractor trainers.
9.4 The Contractor shall ensure that the trainers they supply to the UK for training are qualified trainers and have the relevant base skills training in back office processing. These trainers should have completed and achieved the Pass Criteria for the Pre-Process Training module.
9.5 The Contractor’s trainers shall be required to achieve Pass Criteria for the training modules upon which they receive training from Client.
9.6 The Client reserves the right for a trainer to be removed from the Work Contract in the following circumstances:
9.6.1 a poor attitude towards training;
9.6.2 where the individual is not a qualified trainer;
9.6.3 where the trainer is unable to achieve the Pass Criteria; or
9.6.4 where the trainer’s delivery of learning to participants is not to the required standard.
9.7 Should Client request that the Contractor removes a trainer for any of the reasons provided above, the Contractor shall be required to replace them at its own expense. Trainers that have not achieved all of the Pass Criteria shall not be allowed to train staff in India. If the Contractor disagrees with Client’s assessment of a trainer, it may raise the issue with Client and, if it is not satisfied with Client’s explanation, it may refer the matter to the Dispute Resolution Procedure.
9.8 After the Implementation Period and the “train the trainer” training, it shall be the responsibility of the Contractor to train its own trainers. The Client reserves the right periodically to check training delivery and feedback findings.
9.9 The Contractor shall regularly assess its trainers to ensure that their performance is satisfactory and complies with Client’s requirements.

(a) the applicable Delivery Rate of the relevant Trainer or Master Trainer receiving the training shall be based on the Country in which the training is delivered and shall be reduced by 50%;
(b) the Chargeable Time Units shall relate only to time spent being taught during the relevant Class or Course;
(c) the Supplier shall not be entitled to charge for repeat Classes or Courses that may be required to achieve Certification where the relevant Trainer or Master Trainer has not passed such Class or Course first time or any additional Charges for maintaining accreditation or Certification for Courses that are not New Courses;
(d) costs relating to Train The Trainer activities shall not be billable to HSBC unless such costs:
(i) are attributable to New Courses (as per the definition of “New” in clause 1.2 (Definitions) of this Agreement); or
(ii) are attributable to bespoke Courses; or
(iii) are specified to be billable in the relevant Service Order; or INTERNAL
(iv) are attributable to a refresher training specifically requested by HSBC in the relevant Service Order (HSBC Requested Refresher Training).
(e) for the avoidance of doubt, Train The Trainer costs shall not be billable to HSBC where such costs are attributable to:
(i) a refresher training other than an HSBC Requested Refresher Training; or
(ii) a retraining on a Course, where less than 40% of the content of which has been updated/amended; or
(iii) remediation of instructors; or
(iv) instructors' need to develop their team skills i.e. succession planning and resource development, for clarity, Master Trainers delivering Train the Trainer services shall be chargeable at the applicable Delivery Rate, without the requirement to reduce such Charges by 50%.
