Custom Components definition

Custom Components means Materials that are originally developed by Service Provider during the course of the Services and supplied / to be supplied as, or as part of, a Deliverable; and
Custom Components means components used in the Business Products that have been specifically designed or adapted for use in such Business Products and are not generally available in the market, as listed on Section 4.10(j) of the Seller Disclosure Schedule.
Custom Components means Components which are unique to and used only in the Custom Products, which cannot be reasonably incorporated into other products or sold profitably to third parties. Custom Components for each Custom Product are identified on Attachments 2 and 3.

Examples of Custom Components in a sentence

  • Engineering change orders (“ECOs”) and other changes to Custom Components not governed by Section 10.1 above will be governed by the Existing Purchase Terms.

  • With respect to Custom Components, Supplier will notify EMS Provider and the Cisco Entities in the event any such Component has remained in any Hub for more than [****] (the “Freshness Period”).

  • Except with respect to Components of Products which have been previously identified to Customer as long lead time Components ("Long Lead Time Components") listed in APPENDIX 2 or custom Components ("Custom Components") listed in APPENDIX 3, Customer may cancel delivery of Products with written notice at least 60 days prior to the scheduled delivery date without cost or penalty.

  • Blue Coat’s termination liability for a cancellation shall be limited to payment for all units of Products shipped to Blue Coat, payment for any units of Buffer Stock and payment of any Purchased Components and/or Custom Components as set forth in Section 9.

  • Synnex shall purchase, pursuant to this Agreement, Custom Components as required to meet the Forecasts and purchase orders.


More Definitions of Custom Components

Custom Components are defined as designed by Customer and are unique to their product. Such parts shall be identified in writing at time of contract approval or upon release of a new board assembly requirement, which includes such components and shall be resubmitted upon any change to part status at Supplier. Due to the dynamic nature of such listing, Seller may experience changes in designation during the quarter. In such event, if material liability is created due to a forecast change by Buyer, Seller will provide backup data to justify the Buyer liability. Notwithstanding the above, Buyer is liable for standard components that have been altered from original packaging and/or received value added services, such as programming, tape and reeling or special Buyer marking that Seller can not mitigate.
Custom Components means materials specific and unique to the Products that cannot be returned to suppliers or sold to third parties and which are not used by Synnex in the ordinary course of business (as specified in a Product Information Document).
Custom Components means reports, documents, templates, studies, software programs in both source code and object code, specifications, business methods, tools, methodologies, processes, techniques, analytical frameworks, algorithms, knowhow, processes, products, documentation, abstracts and summaries thereof, and other work product and materials which are developed by Accenture or the Parties jointly during the course of the Services and supplied as, or as part of, a Deliverable which are business specific to the XL Group, but excluding, any Accenture Knowledge Capital; “Data Privacy Laws” has the meaning given to it in Clause 28.1; “Defect” means a defect (i) of Severity Level 1-3, as described in Annex 1 of Schedule 5, in a Warranty Item (ii) that materialises after a Warranty Item is put into live operation (iii) which prevents that Warranty Item from functioning in conformity with the test model based on the functional specifications stated in the applicable WPDR or SOW and (iv) which was tested for during the UAT for the relevant Warranty Item; "Deliverables" means reports, documents, templates, studies, software programs in both source code and object code, specifications, business methods, tools, processes, analytical frameworks, algorithms, products, and other work product and materials which are originated and prepared for XL by Accenture (either independently or in concert with XL or third parties), specified as Deliverables in Schedule 1, a WPDR or a Statement of work and delivered to XL during the course of the Services. Deliverables may comprise Custom Components and/or Accenture Knowledge Capital; “Dependencies” means the dependencies on and responsibilities of XL, XL Affiliates and XL Personnel specified in this Agreement, including any particular tasks and responsibilities specified in Schedule 1, a WPDR or Statement of Work as Dependencies; "Effective Date" means the date of this Agreement; "Equipment" means any computers, software, computing facilities, communications links and other equipment and items which XL is responsible for providing in connection with the Services; “Force Majeure Event” means acts, events, omissions, happenings or non-happenings beyond the reasonable control of a party including acts of God, severe weather, fire, explosion, flood, drought, earthquake, disease, epidemic, quarantine, Commercial-in-Confidence 6 OPERATIONAL TRANSFORMATION SERVICES AGREEMENT XL OT Programme Accenture
Custom Components means reports, documents, templates, studies, software programs in both source code and object code, specifications, business methods, tools, methodologies, processes, techniques, analytical frameworks, algorithms, know-how, processes, products, documentation, abstracts and summaries thereof, and other work product and materials which are originally developed by Accenture (either independently or in concert with Client or third parties), during the course of the Services and supplied as, or as part of, a Deliverable, but excluding, for the avoidance of doubt, any Accenture Software; and
Custom Components means the unique parts manufactured by SEL in accordance with Buyer’s specifications and specified on the SEL sales order acknowledgement.
Custom Components means add-ons, code, reports or dashboards that are not part of the standard, generally released version of the Software, including without limitation any modifications to Aceyus standard reports and any new reports and dashboards created for you by either Aceyus, you, or any of their personnel or contractors.
Custom Components means Custom Components, Inc., a New Jersey corporation.
