COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Supplier will advise all personnel who perform Services of the applicable terms of this Agreement and ensure each person’s compliance with such terms. Supplier will ensure that the Services are performed at all times in compliance with applicable laws, statutes, ordinances and regulations, and in compliance with any internal codes or rules governing conduct and ethics. Supplier shall comply with Company’s policies and procedures as a condition of doing business with Company, including but not limited to the Supplier Code, available on ▇▇▇▇▇://▇▇▇.▇▇▇▇▇▇▇▇▇.▇▇▇/content/legal/terms-conditions or by request, which terms are hereby incorporated by reference into this Agreement. Supplier agrees to cooperate with and provide all necessary assistance to Company in order to ensure compliance with this Section 2.3, including during any investigations regarding complaints received by Supplier’s employees under Supplier Code. If Supplier is providing Services to the public on Company’s behalf, Supplier shall comply with all applicable federal, state and local laws and regulations and any guidance or direction provided by Company in connection with performance of the Services under this Agreement. Specifically, Supplier will be familiar with and ensure compliance with all requirements of 14 CFR Part 382 (see the Air Carrier Access Act and 14 CFR Part 382.15), including but not limited to, implementing directives issued by Company’s CROs under 14 CFR 382.151 through 382.153.

In addition, Seller shall, and shall require its subcontractors and suppliers to, comply with the DexKo Global Inc. Supplier Code of Conduct and such other policies as may be required by Buyer (“Buyer Policies”). Upon request, ▇▇▇▇▇▇ agrees to supply Buyer with proof of such compliance in such form as may be required by any Applicable Law and as Buyer may deem necessary. If Goods are delivered to or produced in the United States of America Section 202 of Executive Order 11246, as amended, is incorporated by this reference. COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Consultant agrees (i) to comply with all applicable laws, statutes and regulations, including without limitation the U.S. Foreign Corrupt Practices Act and any similar foreign laws; and (ii) that Consultant, and every other person working for Consultant, or on her behalf, has not and will not, in connection with any transactions related to this Agreement or any other work in connection with sale of Products, make, offer or promise to make, or transfer any payment or anything of value, directly or indirectly, to any Government Official, or to any third party for payment to any Government Official, to improperly obtain, retain, or direct business or secure an improper advantage or take any other action, directly or indirectly, to violate any applicable laws and regulations prohibiting public or commercial bribery, extortion, kickbacks, or other unlawful or improper means of conducting business. For purposes of this Agreement, “Government Official” means the following: officer or employee of any government; officer or employee of any public international organization (e.g., the United Nations, World Bank, or International Monetary Fund); officer or employee of any department, agency, or instrumentality of any government or of any public international organization; officer or employee of any government-owned or government-controlled company; political party; political party official; or anyone, whether a private person or otherwise, acting in an official capacity on behalf of any of the above or of any government entity. Consultant acknowledges receipt of the current copy of Aspen’s Code of Business Conduct and Ethics (“Code of Conduct”) available at h▇▇▇://▇▇.▇▇▇▇▇▇▇.▇▇▇/▇▇▇▇▇▇▇▇▇/governance/default.aspx; understands how the Code of Conduct applies to the Consultant and agrees to strictly comply with the Code of Conduct.

COMPLIANCE WITH LAWS AND CODE OF CONDUCT. 3.1 Each Party shall comply with the laws, rules, and regulations of the country/countries where it operates and all other laws, rules, and regulations of any other jurisdiction which is or may be applicable insofar as reasonably foreseeable to the business and the activities of the Parties in connection with the Agreement, and the Parties shall, at their own expense, obtain any and all permits, licenses, authorisations, and/or certificates that may be required in any jurisdiction by any regulatory or administrative agency in connection with the conduct of their business and/or which are necessary for them to perform their obligations under the Agreement.

COMPLIANCE WITH LAWS AND CODE OF CONDUCT. Seller shall comply, at its sole cost and expense, with all laws, statutes, regulations, rules, ordinances, codes and standards (“Laws”) applicable to its business, including, without limitation, all applicable labor, health and safety and environmental Laws. Seller will also comply with any Buyer policies, procedures and codes of conduct applicable to this Agreement that have been disclosed or otherwise made available to Seller.
