Confirmation of Undertakings. LESSEE confirms that the above described Aircraft and Engines have been examined by its duly appointed and authorized representative(s), that such Aircraft and Engines conform to the information set forth above, that there have been fixed to the Aircraft the markings required by the Agreement (or that such markings shall be affixed to the Aircraft within fifteen (15) days of the date hereof). LESSEE confirms and acknowledges that the date set forth above constitutes the Effective Date, as such term is defined in the Agreement, and that LESSEE's execution and delivery of this Certificate represents LESSEE's acceptance of the above described Aircraft and Engines for all purposes of the Agreement.

Confirmation of Undertakings. The terms used in this Certificate shall have the meanings given to such terms in the Agreement. The Lessee confirms that today being the Delivery Date as defined in the Agreement: (i) the Aircraft is duly accepted by the Lessee in accordance with and subject to the provisions of the Agreement and the execution and delivery of this Certificate constitutes the acceptance of the Aircraft by the Lessee for all purposes of the Agreement. DELIVERY BY LESSEE TO LESSOR OF THIS CERTIFICATE OF ACCEPTANCE SHALL CONSTITUTE CONCLUSIVE PROOF AS BETWEEN LESSOR AND LESSEE THAT ON THE DELIVERY DATE LESSEE'S TECHNICAL EXPERTS EXAMINED AND INVESTIGATED THE AIRCRAFT AND EVERY PART THEREOF ARE AIRWORTHY AND IN GOOD WORKING ORDER AND REPAIR, WITHOUT DEFECT WHETHER OR NOT DISCOVERABLE AS AT THE DELIVERY DATE AND IN EVERY WAY SATISFACTORY TO LESSEE; (ii) the Lessee is obliged to pay to the Lessor the amount provided for in the Agreement with respect to the Aircraft; (iii) the Aircraft is insured in accordance with the Agreement; (iv) the representations and warranties contained in Article 13 of the Agreement remain, and if made at the date of this Certificate of Acceptance, would be, true and correct in all respects; (v) there have been affixed to the Aircraft and the Engines the fire resistant notices required by Article 4.3 of the Agreement; (vi) the Lessee has no right of set-off, deduction, withholding or counterclaim against the Lessor whatsoever; and (vii) no Default is subsisting.

Confirmation of Undertakings. ACI confirms and agrees that, notwithstanding the effectiveness of this Amendment, the Undertaking (Originator) and Undertaking (Servicer) (collectively, the “Undertakings”) heretofore executed and delivered by it are, and shall continue to be, in full force and effect, and the Undertakings are hereby ratified and confirmed.

Confirmation of Undertakings. The Lessor confirms that on the above referenced Aircraft was duly returned by the Lessee and accepted by the Lessor in accordance with and subject to the provisions of the Lease. This Certificate of Redelivery is executed and delivered without prejudice to the rights and obligations of the parties under the Lease that, by their terms, expressly survive the termination, cancellation or expiration thereof. Confirmation of Undertakings. The terms used in this Certificate shall have the meanings given to such terms in the Lease Agreement. Lessor accepts redelivery of the Aircraft under the Lease Agreement and waives any discrepancy between the physical condition of the Aircraft and that required by the Lease Agreement, subject to satisfaction by Lessor and Lessee of the items listed in Schedule 1, attached hereto. Lessee confirms that its indemnification obligations under the Lease Agreement shall survive the return of the Aircraft. Lessee will perform its obligations and agreements set forth in Schedule 1. Upon payment of all amounts due and performance of all obligations contained in Schedule 1, attached hereto, Lessor and Lessee agree that all of Lessee's obligations (except for those indemnification obligations which survive the lease of return of the Aircraft pursuant to the terms of the Lease) pursuant to the Lease Agreement have been fulfilled. Confirmation of Undertakings. The Trustee confirms that as of the Delivery at the time specified above: 134 (i) The Aircraft was duly accepted by Trustee in accordance with and subject to the provisions of the Agreement and the execution and delivery of this Aircraft Delivery Certificate further confirms the acceptance of the Aircraft by Trustee for all purposes of the Agreement, subject only to the items noted on the Statement of Non-Conformance; and (ii) the Aircraft is insured in accordance with the Agreement.
