Consent Procedure. 6.3.1 Any request by the Seller for the consent of the Purchaser pursuant to Clause 6.1.1 shall be submitted to the Purchaser by e-mail to the name and e-mail address specified in Clause 17.14. 6.3.2 The Seller shall use reasonable endeavours to submit any such request to the Purchaser at least five Business Days before the proposed action or matter or, if it is unable to do so, as soon as reasonably practicable. 6.3.3 The Purchaser shall respond by e-mail to the Seller within three Business Days of receipt (or deemed receipt) of the Seller request. 6.3.4 The Seller shall use reasonable endeavours to provide any information reasonably requested by the Purchaser in connection with its consideration of the proposed action or matter. 6.3.5 If the Purchaser fails to respond by e-mail to the Seller within the applicable time period, the consent of the Purchaser shall be deemed to have been given in relation to the relevant action or matter, provided that such time period shall be suspended until such time as the Seller shall have provided the information reasonably requested by Purchaser in Clause 6.3.4.

Buyer agrees to use reasonable efforts to cause a decision as to whether or not to grant its consent to any proposed action to be made within 30 calendar days after delivery of a conforming Consent Request Notice with respect thereto to the Consent Request Contact, but the failure to act within such time period shall not in any way affect Buyer’s rights under Section 3.4 or any party’s other rights or obligations under this Agreement. The parties hereto agree that any consent granted with respect to any action in accordance with this Section 3.5 shall be deemed to have been provided for all other purposes for which the consent of Buyer may be required with respect to such action under this Agreement.

If VI fails to respond in writing or via email to VE within the applicable time period set forth in the preceding sentence, the consent of VI shall be deemed to have been given in respect of the relevant action or matter; provided, however, that such time periods shall be tolled until such time as VE has provided information reasonably requested by VI.
