Continuation of Payment. The Company shall continue to pay the Executive’s full compensation in effect when the Notice of Termination giving rise to the dispute described in subsection (b) above was given (including, but not limited to, the Executive’s then Base Salary) and continue the Executive as a participant in all employee benefit plans and arrangements of the Company in which the Executive was participating when the notice of dispute was given, until the dispute is finally resolved in accordance with this Agreement. Amounts paid under this Section 5(c) shall not be offset against, or reduce, any other amounts due to the Executive pursuant to this Agreement.

Continuation of Payment. The Company agrees to pay the Base Salary for twelve (12) months (the “Severance Term”) (26 pay periods at the gross amount of $14,615.38 each), less all applicable taxes and payable in accordance with the Company’s regular payroll practices, it being agreed that each installment of Base Salary payable hereunder shall be deemed to be a separate payment for purposes of Section 409A of the Code;

Continuation of Payment. Within one hundred eighty (180) days of the end of the Continuation Period, HealthAmerica or another Member Company shall pay the AHERF Providers all sums due and outstanding112 for services rendered to Covered Individuals between the date of termination of the Agreement and the end of the Continuation Period. For services rendered during that period, or another Member Company agrees to pay the AHERF Providers at the rates in effect at the time of termination of the Agreement to the extent such services would have been Covered Services had this Agreement not been terminated.

Continuation of Payment. Royalty payments hereunder shall be made in U.S. dollars within thirty days from the end of each calendar year throughout the period of validity of this Agreement. The payment shall be accompanied with a statement of accounts duly certified by auditors of MEDICHEM sufficient to determine how the royalty payment was determined or assessed. SARAWAK shall have the right to inspect and audit MEDICHEM's accounting, sales and other records to the extent necessary to determine or assess royalties due hereunder. SARAWAK shall pay the expenses of any such inspection of audits.

Continuation of Payment. Owner shall continue to be entitled to fees and charges set forth in Section 5 that have accrued or shall accrue and become due and owing to Owner with respect to Products for a period of 3 years next following the effective date of this Agreement. At the end of such 3-year period, providing all royalties due have been paid, all licenses granted by Owner hereunder shall be deemed fully paid up and this Agreement shall not thereafter be subject to termination by Owner.

Continuation of Payment. 2.1 The Vehicle Allowance will be continued during: • periods of paid time off although it will not be paid when employees are running out accumulated paid time-off immediately prior to retirement. • absences on sick leave and/or workers' compensation for a maximum period of two (2) months following the commencement of the illness and/or injury. • the first two (2) months of any reassignment, acting capacity or temporary promotion to a position which would not normally receive the Vehicle Allowance but not upon regular promotion to such a position.

Continuation of Payment. 9.1 In the event of incapacity for work because of sickness or accident, Executive shall continue to be paid for a period of six weeks or any shorter or longer period as required by the applicable law. With effect from the seventh week, the company shall pay for a period of 3 months a per diem sickness indemnity that will cover the difference between the gross sick pay provided by the statutory health insurance company and the regular net payment. 9.2 If a third party is liable for damages in respect of incapacity pursuant to subsection 1, Executive hereby assigns his claims against such third party to the Company up to the amount of the continued remuneration payments; the Company hereby accepts such assignment.

Continuation of Payment. Licensor shall continue to be entitled to fees and charges set forth in Section 5 that have accrued or shall accrue.

Continuation of Payment. All of the provisions of this Agreement and Digital's obligation to make royalty payments and all other payments pursuant to this Agreement shall continue, notwithstanding any determination that the Technology and Licensed Product is not patentable or is in the public domain provided that VisCorp exerts its best efforts to maintain the Technology, Licensed Product and Licensed Services as a trade secret, and continues to assist Digital in utilizing the Technology and Licensed Product and Licensed Services.
