Cooperation Mode. (1) On the basis of ensuring that the “nature of state-owned assets of the public school remains unchanged, the identity of the public school’s faculty and staff remains unchanged, and the government’s financial investment in the public school remains unchanged”, Party A agrees to conduct in-depth joint education with Party B regarding Haixing Vocational School. During the cooperation period, a model of deep cooperation among the government, the school, and the enterprise will be adopted. Party A shall fulfill the basic obligations that the government is required to perform for public vocational schools, while Party B shall enjoy full autonomy in running the school. (2) Due to Party B’s project experience and market reputation in this industry, and because the cooperation mode and the services provided are special, they are not subject to the regulation by the bidding law and government procurement law. Therefore, Party A confirms that the management and operation services provided by Party B do not require any bidding procedures.

Cooperation Mode. 3.1 According to the capabilities and advantages of both companies, combined with the “Internet + Logistics” mode of Luge Internet Logistics Platform, both parties shall cooperate through the combination of online and offline to jointly create a controllable transport capacity ecosystem for both parties and realize a low-cost and efficient benign transport mode. 3.2 Party A shall give full play to the convenience of Party A’s offline communication with the participating parties, to be familiar with the site conditions of loading and unloading, to understand the status and specifications of the goods and other advantages, to be responsible for the collection and physical audit of offline drivers, vehicles and certificates, and the organization, coordination and review of the site of loading and unloading, etc. 3.3 Party B shall give full play to its advantages of information technology, standardized operation process and integrity of the vehicle platform, and coordinate with Party B to take charge of vehicle integration and scheduling management, in-transit transportation management, circulation and review of business documents, transportation anomaly and risk management, etc.

Cooperation Mode. 1. Party A is the intermediary, whose primary tasks are: (1) Release financing information, audit and certify the authenticity ofthe information and guarantee the information safety of the customers; (2) Provide with financial consult and other consulting value-added services, facilitating the creditor’s right program transferring of Party B through the platform of “Huiyingjinfu”; (3) Coordinate and manage the cooperation of each participant in “Huiyingjinfu” internet financing service platform; maintain the normal operation of “Huiyingjinfu” internet financing service platform; (4) Entrust the third party to manage the capital account; (5) Other services in relation to “Huiyingjinfu”. 2. Party B is the assignor of creditor’s right and its main tasks are as follows: (1) Examine and ratify the authenticity of the program information of creditor’s right, and conduct diligence investigation on the financing programs commended in accordance with the relevant laws and regulations; (2) provide Party A with credit guarantee, making sure that the ownership of financing project is clear; provide with detailed and feasible assets disposal scheme and give feedback on disposal condition of the financing project, performance ability of the enterprise and the solvency change to Party A; (3) make independent judgment on the transactional risks, and take responsibility for the authenticity of the creditors’ rights; (4) If the repayment has not been made more than three days after it becomes due, Party B shall notify Party A; (5) Party B must repurchase the creditors’ rights prior to the expiration of financing period of creditor’s right program; 3. As the guarantor, Party C is jointly and severally responsible for Party’s B’s obligation to buy back the creditors’ rights, and is jointly and severally liable for Party A and Investors’ losses due to Party B’s defaults. Party C shall also give Party A 3% of the principal as deposit.

Cooperation Mode. 2.1 Based on Party B's existing system products and technical capabilities, both parties will collaborate in the development. Party A will provide business requirements, and Party B will provide relevant foundational products, as well as R&D personnel. 2.2 Both parties jointly ensure that, without the prior written permission of the other party, no party shall unilaterally use the name, trademark, or service marks of the other party or any portion thereof. 2.3 Both parties guarantee that they have obtained approval from their respective internal authorized bodies for the signing and performance of this agreement. The signing and performance of this agreement do not contravene agreements with third parties, laws, regulations, rules, and other regulatory documents.

Cooperation Mode. Rights and Obligations of the Two Parties

Cooperation Mode. 1.1 Party B shall provide qualified outsourcing service personnel recognized by Party A to the designated work location of Party A to complete the tasks entrusted by Party A in accordance with the requirements of Party A’s order (format detailed in “Attachment 1: Information System Personnel Outsourcing Service Demand Order”) as stipulated in this agreement. 1.2 During the validity period of the demand order, Party B shall ensure that service personnel strictly implement the requirements of Party A in terms of service cycle, quality standards, personnel skill requirements, daily management mode, work discipline, and rules and regulations. Party B shall be responsible for employee work attitude, team spirit, cultural activities, training, employee care, epidemic prevention and control, information security and confidentiality, etc. 1.3 During the validity period of this agreement, Party B must actively respond to the needs raised by Party A in accordance with the contract requirements, ensure the quality of outsourced personnel services, and ensure the stability of service personnel from a management perspective. To ensure efficient and orderly cooperation between both parties, Party B shall appoint a liaison person and a stable delivery team to serve Party A. The liaison person of Party B shall be responsible for liaising, promoting, tracking, and implementing daily affairs with Party A, as well as information exchange and payment procedures during the cooperation activities. If there are changes in the responsible person or service team members, Party A must be notified one month in advance to ensure a smooth transition of service handover. 1.4 Party A will evaluate the services provided by Party B based on their actual situation, and determine whether to continue the cooperation or terminate the contract based on the evaluation results. 1.5 The service personnel arranged by Party B have a labor relationship with Party B, and any terms of the contract shall not be construed as creating any labor relationship between Party A and Party B’s service personnel.
