Description of Administrative Services. Subject to Section 10 below, the Parties acknowledge that the Custodian has primary responsibility for maintaining certain books and records of the Covered Portfolios. GIS will perform the following administrative services with respect to each Covered Portfolio based, where applicable, on information and data supplied to GIS by the Custodian: (a) preparing quarterly broker security transactions summaries; (b) preparing monthly security transaction listings; (c) supplying various normal and customary Portfolio and Trust statistical data as reasonably requested on an ongoing basis; (d) assisting in the preparation, execution and filing of each Covered Portfolio’s Federal and state tax returns; (e) reviewing and serving as liaison with any transfer agent, custodian, independent registered public accounting firm and other vendors that provide services to the Covered Portfolios; (f) providing support to monitor a Covered Portfolio for compliance (daily, bi-weekly or monthly, as appropriate) with the 1940 Act, the applicable prospectus and statement of additional information for a Covered Portfolio, and declaration of trust on industry concentration and diversification (if applicable to a Covered Portfolio) and security holdings of other registered investment companies under the 1940 Act; (g) monitoring each Covered Portfolio’s status as a regulated investment company under Sub-Chapter M of the Internal Revenue Code of 1986, as amended; (h) monitoring the Covered Portfolios’ compliance with the amounts and conditions of each state qualification; (i) preparing and coordinating with counsel of the Trust and filing with the SEC Post-Effective Amendments to the Trust’s Registration Statement, preparing reports to the Trust’s shareholders of records and the SEC including the preparation and filing of quarterly reports on Form N-Q, semi-annual reports on Form N-CSR and Form N-SAR and notices pursuant to Rule 24f-2 and assisting in preparation of notices of Annual or Special Meetings of Shareholders and proxy materials relating to such meetings; (j) providing services for proxy solicitation, including selection and giving support to tabulator and solicitor; coordinating printing and distribution of proxy materials; monitoring votes and determining any additional follow-up solicitation; (k) providing individuals reasonably acceptable to the Trust’s Board of Trustees to serve as “non-policy makingofficers of the Trust, who will be responsible for the administration of ...
Description of Administrative Services. The Adviser agrees to provide the Fund with the following facilities and services: (a) Administration of certain daily fund expense accounting duties, including but not limited to payment and budgeting of operating expenses of all funds, and calculation of expense accruals. (b) Administration of annual Fund audit with Fund auditors. (c) Preparation and filing of shareholder reports and communications, registration statement, annual and semi-annual reports and all other required regulatory filings. (d) Administrative services in connection with Custody and Transfer Agents, including daily monitoring of net asset value and dividend factors, contract and fee negotiations, and quality control. (e) Administration of funds' compliance systems with federal and state regulatory requirements. (f) Organizational services for any new series of the Fund, including but not limited to drafting the prospectus and statement of additional information, filing of all required documents, soliciting proxies, and clerical duties associated with the filing of any such documents. Description of Administrative Services. (a) The Partnership will, subject to the direction and overriding authority of the Board of Directors over the management and affairs generally of New Fording, provide administrative services, and the services of personnel necessary to provide such services, to New Fording in order to support the management of New Fording by the Board of Directors and the officers of New Fording as may be reasonably requested by the Chief Executive Officer from time to time, including services relating to accounting and financial reporting; payroll and other human resources services; information systems and support services; tax, legal and insurance services; treasury and banking services; acquisition and disposition support services; office and secretarial services; and record keeping services. (b) The Partnership shall provide reports as to the services and costs thereof including the basis of, and calculation of, any allocation of overhead as reasonably requested by the Chief Executive Officer or the Board of Directors.
Description of Administrative Services. The Administrator will prepare monthly security transaction listings and financial statements which will include the following items: Schedule of Investments, Statement of Assets and Liabilities, Statement of Operations, Statement of Changes in Net Assets, Cash Statement and Schedule of Capital Gains and Losses. Statements of Changes in Net Assets will be provided upon request, but not more frequently than monthly.

Description of Administrative Services. (a) The EVC Partnership will, subject to the direction and overriding authority of the Board of Directors and the Chief Executive Officer over the management and affairs generally of Fording ULC, provide administrative services, and the services of personnel necessary to provide such services, to Fording ULC in order to provide for its administration and management as may be reasonably requested by the Chief Executive Officer from time to time, including services relating to: (i) accounting and financial reporting; (ii) payroll and other human resources services; (iii) information systems and support services; (iv) tax, legal and insurance services; (v) treasury and banking services; (vi) acquisition and disposition support services; (vii) the performance by Fording ULC of its duties and obligations under the Industrial Minerals Management Agreement as it relates to the provision of services to subsidiaries other than the Industrial Minerals Operations; (viii) office and secretarial services; and (ix) record keeping services. (b) Upon the reasonable request of the Chief Executive Officer or the Board of Directors, the EVC Partnership shall provide a report to Fording ULC in respect of the services to be provided by the EVC Partnership pursuant to Section 2.2(a) of this Agreement and the costs associated therewith. The report shall include a calculation of any overhead costs allocated by the EVC Partnership to Fording ULC relating to such services and shall be calculated in accordance with the allocation method approved by the Board of Directors from time to time.
