Lead Generation. Agent or Agency, when performing lead generating activities shall inform the Beneficiary that the Beneficiary’s information will be provided to a licensed agent for future contact, or that the Beneficiary is being transferred to a licensed agent who can enroll him or her into a new plan.
1. When Agent or Agency is providing the Beneficiary’s information to a licensed agent for future contact, Agent or Agency shall inform the Beneficiary of such activity in accordance with the following standards:
a) Verbally when communicating with the Beneficiary through the telephone;
b) In writing when communicating with the Beneficiary through mail or other paper means; and
c) Electronically when communicating with the Beneficiary through email, online chat, or other electronic messaging platform.
2. When Agent or Agency is transferring the Beneficiary to a licensed agent, Agent or Agency shall disclose to the Beneficiary that the Beneficiary is being transferred to a licensed agent who can enroll the Beneficiary into a new Plan.
Lead Generation. The fundamental objective of marketing is lead generation (both incoming and outgoing), and much of our education and TOMA strategies described above are intended to generate INCOMING leads, which are directed to our program management and sales team for follow‐up and qualification. In addition to attracting incoming leads, our marketing department provides market research intended to identify potential customers who would gain the greatest benefit from the cooperative JOC program. The marketing team will first identify agencies and determine the quantity and age of their facilities, as well as previous cooperative purchasing utilization. They’ll also assemble a list of decision‐makers and attempt to ascertain the extent of future construction and renovation required. Marketing will furnish the program management team with a report of findings and arrange a direct meeting to confirm the customer’s needs and qualifications. This “sales call” will be to determine the customer’s need and educate them on the benefits of coop JOC. Many sales campaigns fail because of a lack of qualified lead generation. With our marketing department responsible for the organization and execution of the activities that generate leads, our project managers and salesmen can spend time in front of the client learning their needs and finding applications for our services.

Advertiser agrees that there are no guarantees on number of leads and does not hold the Company accountable for the quality, quantity, value or types of leads our program provides.
Lead Generation. If a lead generation component is part of the program, then subject to all the terms and conditions of this Agreement and applicable privacy laws, GlobalSpec will at a mutually agreed upon time deliver to Client, or provide Client with access to, information of each person who has signed up for a Client asset, including but not limited to on-demand Webinars and whitepapers, for applicable program components (“Lead(s)” and, collectively, the “Lead List”). For clarity, Client shall only receive the Lead List and does not, and will not, receive a copy of the program registration list or any registration list for a Website that may be a portion of the program. Unless otherwise specified herein, such Contacts with respect to any Webcasts or other online video or audio broadcasts shall include both live and on-demand Leads. Client represents and warrants to GlobalSpec that it will not sell or otherwise provide the Lead List, in whole or in part, to any third party, but instead shall use the Lead List solely for Client's own educational and self-promotional purposes; provided that such permitted use shall include Client's use of third-party marketing companies or other agents to accomplish such purposes as long as those companies agree to use the Lead List solely for the benefit of Client. Notwithstanding the foregoing, once Client has established its own independent business relationship with the persons on the Lead List in accordance with applicable privacy laws concerning products/services that are not jointly produced/presented with GlobalSpec, Client may use the information contained on the

Lead Generation. (a) During the Term of this Agreement (as set forth in Section 5), Partner shall, if and when business opportunities dictate, generate sales and marketing leads and identify prospective customers who are interested or may develop an interest in purchasing any of the Products (“Leads”). Partner shall register the Lead with AccuKnox by emailing to it a completed lead generation form in the form attached as Exhibit A hereto (the “Lead Generation Form”). Each Lead Generation Form is subject to AccuKnox’s acceptance, which will be delivered via email as described below. No party assumes any liability for electronic mail deliveries that are not confirmed.
(b) Acceptance and registration by AccuKnox of any Lead as an approved candidate (a “Registered Lead”) may entitle Partner to receive a finder’s fee (the “Finder’s Fee”) in accordance with and subject to Section 4 below. Within ten (10) business days following its receipt of the Lead Generation Form, AccuKnox shall notify Partner, in writing via electronic mail, whether or not the Lead qualifies, in AccuKnox’s sole discretion, as a Registered Lead. All Registered Leads must be approved in writing by President or VP- Sales, AccuKnox. A Lead will not qualify as a Registered Lead if such Lead (a) is an existing account of AccuKnox (or any AccuKnox partner) as of the date the Lead Generation Form was submitted, (b) is an OEM or distributor of AccuKnox’s, or (c) has been previously contacted by AccuKnox, either directly or indirectly through a related person (such as a sales representative), company or a partner of AccuKnox, the purpose of which contact was to market any of the Products and Services to such Lead. An accepted Lead registration shall expire after one year from the date of registration (the “Registration Date”).
(c) Partner shall provide each Registered Lead with AccuKnox’s standard form of Software License Agreement (“SLA”). The prices, terms and conditions under which AccuKnox will offer or sell any Products shall be determined by AccuKnox in its sole discretion. AccuKnox shall have the authority to control all discussions and negotiations regarding any proposed or actual offering or sale of Products and Partner may not negotiate, modify, accept or sign the SLA on behalf of AccuKnox or collect payment of any fees due AccuKnox.
