Parking Management. 6.1. Lessor has assigned exclusive parking to Lessee, as shown in Exhibit A, Map of Premises.
6.2. Lessee shall coordinate any parking space needs with the DSHS Lease Manager Lessee shall not designate parking areas exclusively for Lessee’s use, unless the designation is approved by the DSHS Lease Manager.
Parking Management. (a) Borrower shall (i) promptly perform and observe all of the covenants required to be performed and observed by it under the agreement between Parking Manager and Borrower pursuant to which the parking manager of the parking areas of the Property (the “Parking Manager”) is employed to perform parking management services for the Property (the “Parking Management Agreement”) and do all things necessary to preserve and to keep unimpaired its material rights thereunder; (ii) promptly notify Lender of any default under the Parking Management Agreement of which it is aware; (iii) promptly deliver to Lender a copy of any notice of default or other material notice received by Borrower under the Parking Management Agreement; (iv) promptly give notice to Lender of any notice or information that Borrower receives which indicates that Parking Manager is terminating the Parking Management Agreement or that Parking Manager is otherwise discontinuing its management of the paring areas of the Property; and (v) promptly enforce the performance and observance of all of the material covenants required to be performed and observed by Parking Manager under the Parking Management Agreement. Subject to the last sentence of this subsection, Borrower shall not, without the prior written consent of Lender (which consent shall not be unreasonably withheld, conditioned or delayed): (i) surrender, terminate or cancel the Parking Management Agreement or otherwise replace Parking Manager or enter into any other parking management agreement with respect to the Property; (ii) reduce or consent to the reduction of the term of the Parking Management Agreement; (iii) increase or consent to the increase of the amount of any charges under the Parking Management Agreement; or (iv) otherwise modify, change, supplement, alter or amend, or waive or release any of its rights and remedies under, the Parking Management Agreement in any material respect. In the event that Borrower replaces Parking Manager at any time during the term of Loan, such Parking Manager shall be a Qualified Parking Manager (defined below). Notwithstanding anything to the contrary contained herein or in the other Loan Documents, Lender’s receipt of a New Non-Consolidation Opinion shall be a condition precedent to any appointment of an Affiliated Manager (defined below) as Parking Manager for the Property. Parking Management. When Tenant has elected to purchase a special event parking permit for parking in Exposition Park for Special Events or Major Events other than USC Home Football Games, Landlord shall operate and manage all parking areas covered by the permit while the permit is in effect, at Landlord’s sole cost and expense.

Upon receiving such notice, Landlord shall manage parking in the Garage in a manner designed to ensure that sufficient parking is available to accommodate such increased usage (subject to the maximum number of Parking Passes provided under Section 23. 1 above). If the holders of Tenant’s Parking Passes are unable to find parking in the Garage on non-holiday weekdays between the hours of 7:00 a.m. and 5:00 p.m., Tenant shall notify Landlord so that Landlord can track any problems and make any adjustments necessary to accommodate Tenant’s historical parking usage, as the same may change from time to time as provided above. Except as otherwise expressly provided herein, parking at all other times is on a first come first served basis. Tenant shall comply with the terms of that certain Transportation Management Program applicable to the Project, a memorandum of which is recorded under King County Recording No. 20000414001539, to the extent such program requires tenants of the Building to comply with the same. Parking Management. The University agrees to manage the parking associated with the Development Zone in the following manner:
1. Parking spaces will be shared by different uses to reduce the amount of built parking infrastructure.
2. Any parking that is provided for Attached Dwelling Units will be charged at prices separate from the rent for the unit, except as prohibited by tax credit financing for affordable units. The University will charge market rates or rates that are similar to parking rates set at the main CU Boulder Campus.
3. The University will actively evaluate, monitor, and enforce its parking policies.
4. Except for Detached Dwelling Units and Townhomes, provided that parking for such units is included in a garage accompanying the unit, the University will charge for all parking in the Development Zone, including without limitation on-street or off-street parking areas, unless prohibited by low-income tax credit financing for affordable units.
