PROFESSIONAL SERVICES AND SUPPORT. Integrated shall provide to Client, during Integrated's normal business hours, telephone support regarding Client's proper and authorized use of the latest release of the i-online service that is generally available to Integrated's i-online Customer base ("Latest Release"). For any non-support-related assistance or consulting, Client may contract with Integrated for additional Professional Services in accordance with the Service Agreement. i-online SHAREHOLDER ACCOUNTING ASSOCIATED FEES AND EXPENSES I. SERVICE INITIATION FEE Client agrees to pay fees as described below for Integrated's i-online services that will include the following: 1. Basic Product Training up to 8 hours Integrated will provide additional support hours as required at the Professional Services Rate of $150 per hour. Any necessary additional support hours must be authorized by the Client in writing prior to Integrated performing any work. Client shall pay any and all reasonable travel, lodging, and out-of-pocket expenses incurred by Integrated in connection with i-online support and training.

Each SOW will include as a minimum (i) a description of the Professional Services and any Deliverable to be delivered to Client; (ii) the scope of the Professional Services; (iii) the schedule for the provision of such Professional Services; and (iv) the applicable Fees for the Professional Services, if not specified elsewhere. Changes to an Order or SOW will require, and shall become effective only when, fully documented in a written change order (“Change Order”) signed by the duly authorized representatives of the Parties. 4.2 Each Party will designate in each SOW an individual who will be the primary point of contact between the Parties for all matters relating to the Professional Services. Client will cooperate with Company, will provide accurate and complete information, will provide Company with such assistance and access as Company may reasonably request, and will fulfill its responsibilities as set forth in this Agreement and the applicable SOW. If applicable. While on Client premises for Professional Services, Company personnel will comply with reasonable Client rules, regulations and policies regarding safety, conduct and security made known to Company. 4.3 Company shall further provide support for the Licensed Products as specified in the Order and any applicable SLA.

PROFESSIONAL SERVICES AND SUPPORT. From time to time, we may provide you access to professionals with relevant expertise in integration or use of AI Services, for a fee ("Advisory Services"). The scope and fees for any Advisory Services provided by Anthropic shall be designated in the Fee Page or a separate agreement. Support is available at ▇▇▇▇▇▇▇@▇▇▇▇▇▇▇▇▇.▇▇▇. Email responses will be provided as received and prioritized by our team. Advisory Services, support services, and any other professional services Anthropic may provide are not AI Services.
PROFESSIONAL SERVICES AND SUPPORT. JPMorgan shall provide to Client, during JPMorgan’s normal business hours, telephone support regarding Client’s proper and authorized use of the latest release of the i-online Sales Reporting Service that is generally available to JPMorgan’s i-Online Customer base (“Latest Release”). For any non-support-related assistance or consulting, Client may contract with JPMorgan for additional Professional Services in accordance with the Service Agreement.

  • Professional Services Bodily injury" or "property damage" arising out of the rendering of or failure to render profes- sional services;

  • Services and Support 1.1 In exchange for your continued compliance with this Agreement, and any modification to this Agreement made by Intuit in accordance with Sections A.1.1, you shall have access to the Software/Subscription in accordance with the following provisions: (a) If you purchased a Subscription based license for the Software, which generally means that you will be paying for your use of the Software and Services on a monthly or annual basis, you shall receive as part of your active Subscription, so long as Intuit is receiving the applicable payment from you: (i) access to the features of the Software subscribed to by you; (ii) Updates and Enhancements; (iii) Version Protection, each defined in Section B.1.2 below; and (iv) additional products, services and/or discounts when and if they should be made available to you. If you have purchased a subscription that includes Support you will also be entitled to receive Support Services as defined below. Software licenses obtained through a subscription are eligible for Enhancements during the active subscription period only. The Subscription is cancellable by you in accordance with this Agreement, but you will not be entitled to any refunds if you cancel after the 60-Day Money Back Guarantee period, as defined in Section B.6. If you cancel your Subscription or if we do not receive the payment for your Subscription, or if the Subscription is in any way terminated in accordance with the terms of this Agreement, you will no longer have access to the Software and all related Services defined above upon the expiration of the current Subscription term, but you will retain access to your company data file stored on your device, which can be reinstated to a readable QuickBooks format upon reactivation of your Subscription or with the purchase of a license on the Software. (b) If you purchased your license to the Software under a one-time, upfront payment at retail or directly from Intuit and not under a Subscription, you shall receive: (i) a license to the specific version of the Software product you have selected that, subject to the license grant and restrictions in Section A.1.1, allows you access to the features of the Software; and (ii) Updates and Enhancements to the Software in accordance with the terms of the Termination provisions. Intuit's obligations under this Section B.1.1 are contingent upon you installing all updates and error corrections within thirty (30) days of being notified of their availability by Intuit (or its Representatives). QuickBooks 2015 Software purchased on a separate standalone basis are eligible for enhancements on a when-and-if available basis through May 31, 2018, which is the current support period for QuickBooks 2015.

  • Professional Services Fees You agree to pay us the professional services fees in the amounts set forth in the Investment Summary. Those amounts are payable in accordance with our Invoicing and Payment Policy. You acknowledge that the fees stated in the Investment Summary are good-faith estimates of the amount of time and materials required for your implementation. We will bill you the actual fees incurred based on the in-scope services provided to you. Any discrepancies in the total values set forth in the Investment Summary will be resolved by multiplying the applicable hourly rate by the quoted hours.

  • Educational Services Any service or supply for education, training or retraining services or testing including: special education, remedial education; cognitive remediation; wilderness/outdoor treatment, therapy or adventure programs (whether or not the program is part of a Residential Treatment facility or otherwise licensed institution); job training or job hardening programs; educational services and schooling or any such related or similar program including therapeutic programs within a school setting.

  • Professional Services Warranty 5.1 Oracle warrants that Professional Services will be provided in a professional manner consistent with industry standards. Customer must notify Oracle of any warranty deficiencies within 60 days from performance of the deficient Professional Services. 5.2 ORACLE DOES NOT WARRANT THAT THE PROFESSIONAL SERVICES WILL BE PERFORMED ERROR- FREE OR UNINTERRUPTED, THAT ORACLE WILL CORRECT ALL PROFESSIONAL SERVICES ERRORS, OR THAT THE PROFESSIONAL SERVICES WILL MEET CUSTOMER’S REQUIREMENTS OR EXPECTATIONS. ORACLE IS NOT RESPONSIBLE FOR ANY ISSUES RELATED TO THE PERFORMANCE, OPERATION OR SECURITY OF THE PROFESSIONAL SERVICES THAT ARISE FROM CUSTOMER DATA OR THIRD PARTY APPLICATIONS OR PROFESSIONAL SERVICES PROVIDED BY THIRD PARTIES. 5.3 FOR ANY BREACH OF THE PROFESSIONAL SERVICES WARRANTY, CUSTOMER’S EXCLUSIVE REMEDY AND ORACLE’S ENTIRE LIABILITY SHALL BE THE CORRECTION OF THE DEFICIENT PROFESSIONAL SERVICES THAT CAUSED THE BREACH OF WARRANTY, OR, IF ORACLE CANNOT SUBSTANTIONALLY CORRECT THE DEFICIENCY IN A COMMERCIALLY REASONABLE MANNER, CUSTOMER MAY END THE DEFICIENT PROFESSIONAL SERVICES AND ORACLE WILL REFUND TO THE CUSTOMER THE FEES FOR THE TERMINATED PROFESSIONAL SERVICES THAT CUSTOMER PRE-PAID TO ORACLE FOR THE PERIOD FOLLOWING THE EFFECTIVE DATE OF TERMINATION. 5.4 TO THE EXTENT NOT PROHIBITED BY LAW, THIS WARRANTY IS EXCLUSIVE AND THERE ARE NO OTHER EXPRESS OR IMPLIED WARRANTIES OR CONDITIONS, INCLUDING FOR SOFTWARE, HARDWARE, SYSTEMS, NETWORKS OR ENVIRONMENTS OR FOR MERCHANTABILITY, SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE.
