Project Operational Manual. The Recipient shall carry out the Project in accordance with procedures set forth in the Project Operational Manual, and, except as the Association shall otherwise agree, shall not amend or waive any provision thereof, if such amendment or waiver may, in the opinion of the Association, materially or adversely affect the implementation of the Project.
Project Operational Manual. Without limitation to the provisions of Article V of the General Conditions, the Borrower shall ensure that:
(a) the Project is carried out in accordance with the Project Operational Manual; and
(b) the Project Operational Manual or any part thereof is not amended, waived, suspended or abrogated without the Bank’s prior written concurrence, and in case of any inconsistency between the provisions of the Project Operational Manual and those of this Agreement, the provisions of this Agreement shall prevail.
Project Operational Manual. 1. The Recipient shall, not later than 45 days after the Effective Date update and adopt the Project Operational Manual for the Original Project in a manner satisfactory to the Bank, which shall include the rules, methods, guidelines, standard documents and procedures for the carrying out of the Project, including the following: (a) the detailed description of Project implementation activities and the detailed institutional arrangements of the Project; (b) budget preparation and execution; (c) accounting and reporting; (d) selection criteria for Participating NGOs carrying out activities under the Project; and (e) overall Project administrative, accounting, auditing, reporting, financial, environmental and social, procurement and disbursement procedures;.
2. In the event that any provision of the POM conflicts with this Agreement, the terms of this Agreement shall prevail. The Recipient shall ensure that the POM is not amended without the prior written agreement of the Bank.
Project Operational Manual. The Project Implementing Entity shall carry out the Project in accordance with the arrangements and procedures set out in the Project Operational Manual (provided, however, that in case of any conflict between the arrangements and procedures of the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail) and, except as the Association and the Recipient shall otherwise agree, the Project Implementing Entity shall not assign, amend, abrogate or waive any provision thereof.
Project Operational Manual. The Borrower, through SE, shall carry out the Project in accordance with the provisions of the Project Operational Manual (or “POM”), acceptable to the Bank, which shall include, inter alia: (a) the procedures for Project implementation, reporting, monitoring and evaluation; (b) the institutional arrangements for the Project, including the composition, functions and responsibilities of the SE and DGPyPSyE; (c) the Project’s procurement, financial management, and disbursement requirements and procedures; (d) the criteria for the prioritization and inclusion of Participating Provinces under Part 1 of the Project, including: (i) the criteria for the selection of the Selected Beneficiaries and the Subprojects; and (ii) the terms and conditions of the Participation Agreements; (e) the criteria for the prioritization and selection of the Selected Beneficiaries under Parts 2(a) and 2(b) of the IF-2023-86834155-APN-SSRFID#MEC
Project Operational Manual. (a) The Recipient, shall prepare, in accordance with terms of reference acceptable to the Association, and furnish to the Association an operational manual for Part 2 of the Project, in form and substance acceptable to the Association, containing, inter alia, detailed arrangements and procedures for: (i) implementation arrangements, including the respective roles of reach of the Yemen Partners; (ii) administrative aspects; (iii) procurement; (iv) implementation of environmental and social instruments referred to in the ESCP; (v) financial management and accounting; (vi) monitoring and evaluation; (vii) eligibility criteria and procedures for provision of micro grants under Part 2.1(a); and (viii) any such other technical, administrative, fiduciary or coordination arrangements as may be necessary to ensure effective Project implementation.
(b) The Recipient shall: (i) furnish the manual referred to in Section B.1(a) above to the Association for review; (ii) afford the Association a reasonable opportunity to exchange views with the Recipient on said manual; and (iii) thereafter adopt said manual as shall have been approved by the Association (“Project Operational Manual” or “POM”).
(c) The Recipient shall: (i) carry out its Respective Part of the Project in accordance with the POM; and (ii) not assign, amend, abrogate, or waive, or permit to be assigned, amended, abrogated, or waived, the POM or any provision thereof, without the prior written agreement of the Association.
(d) Notwithstanding the foregoing, in the event of any inconsistency between the provisions of the POM, and those of this Agreement, the provisions of this Agreement shall prevail.
Project Operational Manual. 1. The Borrower, through MEP, shall, and shall cause SINAES, CONARE and the Participating Universities (pursuant to the SINAES Agreement, the CONARE Agreement and the pertinent AMI, respectively) to, carry out the pertinent parts and the Project under their responsibility (including the PMIs) in accordance with a manual (“Operational Manual”), satisfactory to the Bank, containing, inter alia: (a) the rules, methods, guidelines, standard documents and procedures for the carrying out of the relevant parts of the Project; (b) the detailed description of the institutional arrangements of the Project; (c) the Project administrative, accounting, auditing, reporting, financial, procurement and disbursement procedures; (d) the criteria, guidelines and procedures for the approval, implementation and monitoring of PMIs and AIPs, including specifications regarding eligible expenditures to be financed under the Subprojects and targets for measuring the progress on the objectives of the PMIs; (e) the terms and conditions for the provision of Grants; (f) the monitoring indicators for the Project; (g) the functions, staffing requirements, and responsibilities of the UCP; (h) the PMI Implementation Criteria; (i) the ESMF; and (j) the IPPF. In the event that any provision of the Operational Manual shall conflict with this Agreement, the terms of this Agreement shall prevail.
Project Operational Manual. The Recipient:
(a) shall adopt a Project Operational Manual, in form and substance satisfactory to the Association;
(b) shall ensure that the Project is carried out in accordance with the Project Operational Manual; provided, however, that in case of any conflict between the provisions of the Project Operational Manual and those of this Agreement, the latter shall prevail; and
(c) except as the Recipient and the Association shall otherwise agree in writing, shall not amend or waive any provision of the Project Operational Manual if, in the opinion of the Association, such amendment or waiver may materially and adversely affect the carrying out of the Project or the achievement of the objectives thereof.
Project Operational Manual. The Recipient shall, through the PIU: (a) no later than ninety (90) days after the Effective Date, or such later date as agreed by the Bank, prepare and adopt a manual for the implementation, monitoring and evaluation of Part 3.3 of the Project (“Project Operational Manual” or “POM”); and (b) immediately thereafter, carry out Part 3.3 of the Project in accordance with the POM; and (c) ensure that the POM or any of its provisions is not amended, abrogated or waived without the Bank’s prior written consent. In case of conflict between the provisions of the POM and the provisions of this Agreement, the provisions of this Agreement shall prevail.
Project Operational Manual. The Borrower shall carry out the Project in accordance with the provisions of a manual (the “Project Operational Manual”) satisfactory to the Bank, said manual to include, inter alia: (i) the procedures for the carrying out, monitoring and evaluation of the Project; (ii) the indicators to be used for Project monitoring and evaluation; (iii) the organizational structure of the Project (including the roles and responsibilities of SEPLAG, SEE, SAD, the Monitoring and Evaluation Committee, the Instituto ▇▇▇▇▇▇ ▇▇▇▇▇ and the Fundação ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇, and any other Technical Partner acceptable to the Bank); (iv) the Project procurement and financial management requirements and procedures; (v) the Project’s chart of accounts and internal controls; (vi) the format of: (A) the unaudited interim financial reports referred to in Section II. B.2 of Schedule 2 to this Agreement; and (B) the Financial Statements; (vii) the terms of reference for carrying out the Project audits under Section II.B.3 of Schedule 2 to this Agreement; (viii) the detailed criteria for the monitoring of the Disbursement-Linked Indicators; (ix) the indicators, criteria and rules for a disbursement-based financing scheme for Part 1 of the Project; and (x) the EEPs budget for the life of the Project. In case of any inconsistency between any provision of the Project Operational Manual and this Agreement, the provision of this Agreement will prevail. Any amendment to the Project Operational Manual can occur only if acceptable to the Bank.
