Regulatory Requests Sample Clauses

Regulatory Requests. PFPC Trust will provide information and documentation relating to the Fund or other assistance relating to such information and documentation as the Fund may reasonably request to help the Fund respond to any government or regulatory request, including but not limited to a subpoena or request for information, provided, however, that if responding to such a request would cause an undue burden on PFPC Trust or would cause PFPC Trust to bear undue expense, PFPC Trust at its option may decline such request or shall be entitled to such fees or reimbursement of expense as agreed to by the Fund and PFPC Trust.

Regulatory Requests. If a Receiving Party receives a Regulatory Request to disclose any Confidential Information of the Disclosing Party, the Receiving Party shall, to the extent permitted by Applicable Law: (a) notify the Disclosing Party thereof promptly after receipt of such Regulatory Request; (b) consult with the Disclosing Party with respect to such Regulatory Request; and (c) if disclosure is required or deemed advisable based on advise of legal counsel of the Receiving Party, at the Disclosing Party's request and expense, reasonably cooperate with the Disclosing Party in any attempt by the Disclosing Party to obtain a protective order or other reliable assurance that confidential treatment will be accorded to the Confidential Information of the Disclosing Party.

Regulatory Requests. At Customer’s request, CribMaster will assist Customer in the event of an investigation by a competent regulator, including a data protection regulator or similar authority, if and to the extent that such investigation relates to the Processing of Personal Information by CribMaster on behalf of Customer in accordance with these Terms and Conditions. CribMaster reserves the right to charge a reasonable fee to Customer for such requested assistance, to the extent permitted by applicable law.

Regulatory Requests. The Parties acknowledge and agree that implementation of the Nasdaq Application is subject to Regulatory Approval in advance and continued oversight by the SEC (or other body with regulatory or oversight jurisdiction over any part of the Nasdaq Family) which may include governmental audits, information requests, and other similar matters. Subject to Section 10.5 below, the Parties agree to take whatever action may be reasonably necessary to comply with all SEC (or other body with regulatory or oversight jurisdiction over any part of the Nasdaq Family) regulations and requirements, including, but not limited to, modifying the operation of the Nasdaq Application.

Regulatory Requests. Cost associated with implementing technology and/or services requested by MHCC in support of privacy and security may be dispersed at CRISP’s discretion across users that are assessed a fee to access or receive electronic health information.

Regulatory Requests. In addition to the Regulatory Filings referenced in (i) and (ii) above, Cipla will also be responsible for any Regulatory Filings that may be required to comply with Applicable Law or requested by the applicable Regulatory Authority in relation to Promotional Materials and Adverse Drug Experiences after the Product is approved for a Pulmonary Indication in the applicable country in the Territory.

Regulatory Requests. Within [**] Business Days after receipt, NewCo shall provide ADCT any formal or informal requests received from any Regulatory Authority in the Territory related to the Products. NewCo shall manage preparation of a response to such requests; provided that, at NewCo’s reasonable request and cost and expense, ADCT or its designee shall provide assistance in preparing a response that addresses matters raised by the Regulatory Authority in such request, according to a timeline reasonably agreed by the Parties. NewCo shall submit all responses before the due date set by the Regulatory Authority and NewCo shall provide ADCT a copy of the final response for its approval as soon as reasonably practicable (but not less than [**] Business Days prior to such submission due date) and ADCT will conduct such review on a timely basis; provided, however, NewCo may submit its response without regard to ADCT's review if comments arising from such review are not received by NewCo at least [**] Business Days prior to the applicable due date.

Regulatory Requests. As soon as possible but no later than [***] after receipt, Licensee shall provide ReViral any formal or informal requests received from any Regulatory Authority in the Territory related to the Licensed Products. Licensee shall manage preparation of a response to such requests; provided that, [***], ReViral or its designee shall provide assistance in preparing a response that addresses matters raised by the Regulatory Authority in such request, according to a timeline reasonably agreed by the Parties. Licensee shall submit all responses before the due date set by the Regulatory Authority.
