Remote Connection. If appropriate, Customer shall cooperate with Upland to allow and enable Upland to perform support services via remote connection using standard, commercially available remote connection software. Customer shall be solely responsible for instituting and maintaining proper security safeguards to protect Customer's systems and Customer Data.

Remote Connection. If appropriate, Customer will cooperate with Service Provider to allow and enable Service Provider to perform Support via remote connection using standard, commercially available remote control software. Customer will be solely responsible for instituting and maintaining proper security safeguards to protect Customer's systems and data.

Customer shall be solely responsible for instituting and maintaining proper security safeguards to protect Customer's systems and data.

Remote Connection. Where applicable, the Customer will cooperate with Scolab to allow Scolab to provide support by means of a remote connection using standard commercially available remote control software. The Customer shall be solely responsible for establishing and maintaining appropriate security safeguards to protect its own systems and data.

Buyer acknowledges that, in order to provide the Services Warranty and the MLW, Tesla requires the ability to: i. remotely monitor performance of the System, ii. provide remote Software upgrades to the System (including security upgrades), and iii. remotely access/login to the System for diagnosing and resolving issues. b. Buyer hereby consents to Tesla: i. performing remote monitoring, logging in to the System for diagnosing and resolving issues at any time without further consent from Buyer; and ii. providing Software upgrades as Tesla reasonably deems appropriate, in each case subject to Buyer’s Approval; provided, that: 1. Buyer may impose reasonable limitations and requirements as a condition to such Approval (including, a reasonable description of the modifications made by such upgrade, reasonable assurances regarding compatibility and testing of such upgrade, and Buyer’s prior agreement to the scheduling of such upgrade), subject to ▇▇▇▇▇’s rights to a Change Order as set forth in this Agreement, and 2. actual noncompliance with (a) applicable cybersecurity requirements, as agreed by Parties in writing. and (b) Law shall be a reasonable basis for withholding or conditioning Approval.

Remote Connection. Licensee shall allow and enable Licensor to perform support services remotely using commercially available remote control software agreed to by the parties. Licensee agrees to obtain a copy of such software, provide an operational telephone line, and provide such assistance as reasonably necessary to facilitate such support. Licensee shall be solely responsible for instituting and maintaining security safeguards to protect Licensee's systems and data.
