Zipper Clause Samples
A zipper clause is a contractual provision that establishes the written agreement as the complete and final understanding between the parties, superseding all prior negotiations or side agreements. In practice, this means that any topics not explicitly included in the contract cannot be later claimed as binding obligations or rights, and neither party can demand further bargaining on omitted issues during the contract term. The core function of a zipper clause is to ensure clarity and finality in the agreement, preventing disputes over alleged unwritten promises and limiting renegotiation to only those matters expressly covered in the contract.
