Performance Issue definition

Performance Issue has the meaning set forth in Section 8.1(b). (ll) “PTI Board” has the meaning set forth in Section 4.9(c)(ii).

Examples of Performance Issue in a sentence

  • Performance Improvement Plan If there is a potential failure or failure to meet a Milestone, perform the Activity or achieve the Outcomes in accordance with this Agreement, other than due to a Force Majeure Event (in this Clause 15 a ‘Performance Issue’), the Recipient must immediately notify DFAT of the Performance Issue.

  • The exercise of DFAT's rights under this Clause 15, including the approval of a Performance Improvement Plan, will: not operate as a waiver of the obligations (or any breach thereof) that the Recipient may have under this Agreement; and not limit DFAT's rights or remedies it may have against the Recipient in connection with the Performance Issue (for example, to claim damages for breach or terminate this Agreement).

  • If the CSC determines that a Performance Issue exists, the CSC may seek resolution of the Performance Issue with Contractor, in which case Contractor shall comply with such Remedial Action Procedures if and to the extent the CSC also complies with such procedures.

  • A Non-Breaching Party may only issue one Performance Notice in respect of each single or series of related event(s), act(s), omission(s) or failure(s) giving rise to a Performance Issue.

  • If the CSC determines that a Performance Issue exists, the CSC may seek remediation of the Performance Issue through the IANA Problem Resolution Process described in Section 8.2.

Performance Issue means sub-standard work performance in either the quality or the quantity of work produced.

Performance Issue means: (i) any reduction in functionality of the Software; (ii) any defect in the Software which has an adverse effect on its use or operation; and/or (iii) any condition in the Software which does not meet the Documentation and/or the reasonable end-user expectations for the Software including, an error in coding or logic that causes the Software to malfunction or produce incorrect/unexpected results. Services: the subscription services provided by TRL to the Customer under this Agreement via the Website, including access to the Software and the Standard Support as more particularly described in the Order Form and the Documentation. Software: the online software applications provided by TRL as part of the Services and in each case “Software” shall include any update to that Software released by TRL during the term of the Agreement that corrects faults, adds functionality or otherwise amends or upgrades the Software but which does not constitute a New Product. Special Conditions: additional terms and conditions governing use of the Services as specified in the Order Form which vary, or apply (in addition to the terms and conditions specified in this Agreement). Standard Support: the standard support provided to the Customer as more particularly described in the Maintenance Agreement and which, for the avoidance of doubt, is included in the Subscription Fee. Subscription Fee: the subscription fee payable by the Customer to TRL for the Services as set out in the Order Form. Subscription Term: has the meaning given in clause 14.1 (being the Initial Subscription Term together with any subsequent Renewal Periods).

Performance Issue means a performance issue with respect to the Supplier Systems that, in Supplier’s reasonable judgment, results in a Security Incident. In accordance with this Agreement, Supplier shall monitor the Supplier Service Locations and the Supplier Systems under the control of Supplier or its authorized agents for any actual or potential Security Incidents or Performance Issues. Supplier shall [***] discovery of such actual or suspected Security Incident or Performance Issue, notify the Cigna Security Incident Response Team (CSIRT) and Company’s Vendor Delivery Management organization in order to provide Company with an opportunity to timely assess the risks of such Security Incident or Performance Issue and take action. Supplier shall respond to Company’s request for information campaigns within [***] hours of an inquiry on global security threats regarding impact, response and mitigation plans. Company or one of its Affiliated Companies will initiate requests for information using an electronic online survey. This Section 5.4 does not limit any notification and remediation obligations required by applicable Laws or contained in any Business Associate Agreement between the parties or in the applicable Exhibit 5 – Data Privacy Provisions.
