Additional Legal Terms and Conditions. Vendor hereby agrees to the following additional terms and conditions as a condition to its participation in any Program and listing of any Vendor Product on the Validated Product List: No act or omission of PCI SSC, any PCI SSC Member or any affiliate, agent, employee or contractor of any of the foregoing in relation to any Program, or Acceptance of any Product thereunder, constitutes or shall be construed to constitute any: guarantee, warranty or endorsement of Vendor or any Product, whether express or implied, including without limitation, any implied warranty of merchantability, fitness for purpose, or non-infringement, each of which is hereby expressly disclaimed by PCI SSC; guarantee of freedom from security vulnerabilities; or forward-looking statement, and is instead to be limited to the circumstances prevailing at the time of such act or omission or Acceptance. PCI SSC: May amend, remove, add to or suspend any provision of any Program, and/or cease to operate any Program, whether with or without replacing it with any other program, in its sole discretion, and without notice. Does not guarantee, warrant or endorse any Product. May, at its discretion, with respect to each Program, publish a list or lists of Products Accepted by PCI SSC thereunder, identifying the applicable validating Assessors and related Program participant information, together with corresponding Product status information (including without limitation, Acceptance, approval, suspension, remediation, and/or Revocation status) and other information identifying such Products, including without limitation, Vendor name and contact information, Product descriptions, version numbers, types, Components, TPSs and TPSPs, target markets and reference numbers, information as to whether or not such Products and/or components thereof have satisfied applicable Program requirements, applicable Acceptance, validation, revalidation and expiry dates, reference, approval or acceptance numbers, deployment notes, PCI Standard version numbers, device types, hardware, firmware and application version numbers, and other information as identified or described in the Program Guide (the applicable list of Products Accepted by PCI SSC for a given Program, the “Validated Product List”). Additional Legal Terms and Conditions. The Customer represents, warrants, covenants, and agrees as follows: • The Customer and Agent will comply with the MCA in connection with the Services, and the terms and conditions of the other parts of the MCA applicable to the Services are incorporated herein by reference. • Royal Bank is authorized and directed to enroll the Customer's accounts in the Services and provide the Agent access to and use of the Customer's accounts, Services, Security Devices, and other Service Materials in connection with the Services, including through RBC Express online banking and any other Electronic Channel available to the Customer or Agent. • The Agent has all power and authority on the Customer's behalf in connection with the Services, including to inc ur liabilities and obligations, and otherwise conduct and transact any business whatsoever on the Customer's behalf. The Agent may delegate this power and authority to any other Person. • In addition to the Customer, the Agent may also act as agent for any number of other Persons (such other Persons are hereinafter referred to as “Granters”). The Customer acknowledges that, if the Agent is authorized to perform file transfer services on behalf of the Customer, then each of the Agent, the delegates of the Agent, and the Granters may be able to upload, download, and view data files in connection with the Customer's Services, including, without limitation, any confidential, proprietary, or personal information contained therein.   • Specific Terms and Conditions To the extent that Contractor has received an award for Lot 4, Implementation Services, the following terms and conditions apply to Lot 4 Implementation Services. All Services covered under Lot 4 – Implementation Services must be performed within CONUS. An RFQ for this Lot will be awarded based on, and result in, a deliverable-based Statement of Work (SOW) which will be incorporated into an Authorized User Agreement. The RFQ will include but is not limited to: Authorized User timeframes; system integration requirements; and other risks that may affect the cost to the Authorized User. All responses to RFQs must include detailed price information, including but not limited to: hours required per title, cost per hour, etc. Travel, lodging and per diem costs must be itemized in the total quote and may not exceed the rates in the NYS OSC Travel Policy.
