Guidance Memorandum and Training. 1. The District will develop written guidance for staff outlining its procedures for addressing the needs of students who may have a disability under Section 504, Title II, or the Individuals with Disabilities Education Act (IDEA), and their implementing regulations. Copies of the written guidance will be provided to all School administrators and teachers, and to all District staff responsible for enrolling students in District schools. The guidance will address the following: i) The District’s and School’s policies and procedures to be used by parents/guardians, teachers, other school employees, the student success team, or community agency for referring students for an evaluation. ii) The steps that must be taken when a parent or guardian informs a teacher or other school or District staff member that he/she believes a student is disabled or that he/she may need special education or related services, or when a teacher or other District staff believes that the student is disabled, including a. The School coordinator who must be informed of any such information; b. The information that must be given to the parent/guardian concerning the evaluation process. iii) A statement clarifying that a student may have a disability and need special education or related services even if he/she is receiving passing grades and test scores and stating the correct standards under both Section 504 and Title II for eligibility pursuant to 34 C.F.R. Section 104.35(a). iv) The requirement that, if the School or District determines that an evaluation is unnecessary, the school or Section 504/Title II Coordinator or special education coordinator, shall inform the parents/guardians in writing of this decision and of the required procedural safeguards available pursuant to 34. C.F.R. Section 104.36. 2. The District will provide training on the Guidance Memorandum to all teachers and administrators at the School.
Guidance Memorandum and Training. A. The University will issue a written guidance memorandum and facilitate training for all staff in the Office of Student Services and University professors in the University’s nursing program, including the XXXXXXXXXX XXX Professor, who have the responsibility for implementing students’ approved academic adjustments in the classroom. The name and contact information of the person(s) assigned to respond to students’ and University professors’ concerns regarding the implementation of students’ approved academic adjustments, and 4. The name and contact information of the University’s Section 504 Coordinator. B. The University will develop a new or revised policy and procedure for responding to student complaints that a professor is not implementing an approved academic adjustment. The University will issue a written guidance memorandum and facilitate training for all staff in the Office of Student Services, administrators who oversee the Office of Student Services and University professors, and administrators who may receive disability-related complaints regarding this new or revised policy and procedure. C. Reporting Requirements 1. By January 31, 2021, the University will submit a draft of the guidance memorandum, training materials, and title(s)/name(s) of the proposed trainer(s), as described in Section I.A. of the Agreement, for OCR review and approval. 2. The District will issue a written guidance memorandum and facilitate training for all administrators, faculty, and staff at XXXXXXXXXXX School (School) who are responsible for developing students’ Section 504 Plans, who may provide instruction to students with disabilities eligible for Section 504 Plans, or who may be responsible for monitoring the implementation of students’ Section 504 Plans. The guidance memorandum and training will review the District’s obligations and policies regarding Section 504 and will include the following topics: 1. The District’s, including District employees’, legal obligations and responsibilities under Section 504, including, but not limited to, the need to provide a free appropriate public education (FAPE) to all students with disabilities. 2. Strategies that members of Section 504 teams should follow when teachers or other members of the team are concerned that certain accommodations in a student’s Section Plan are not possible to implement. 3. The protocol to follow, including providing parents/guardians with a copy of the Section 504 procedural safeguards, including the right to an impartial hearing, when there is a dispute as to the accommodations, aids, services, or overall placement of the student. 4. The name and contact information of the person(s) assigned to respond to parents/guardians’ and District instructional staff concerns regarding the implementation of students’ approved academic adjustments, and the name and contact information of the District’s Section 504 Coordinator.

An explanation of what College staff or instructors should do if they observe or learn of discrimination or harassment based on protected category of a student by a peer, a College staff member, or a third party, and guidance on how administrators should ensure that College staff and instructors members are aware of their responsibilities. B. Upon OCR’s approval of the guidance memorandum, the College will distribute the memorandum to all College administrators, instructors, and staff. C. The College, in conjunction with LACCD, will designate a knowledgeable individual to serve as a resource for any administrators or College staff members who have questions as to how the guidance applies to a given situation and/or scenario.   • Business Conduct Merger Sub was incorporated on November 5, 2020. Since its inception, Merger Sub has not engaged in any activity, other than such actions in connection with (a) its organization and (b) the preparation, negotiation and execution of this Agreement and the Transactions. Merger Sub has no operations, has not generated any revenues and has no assets or liabilities other than those incurred in connection with the foregoing and in association with the Merger as provided in this Agreement.

  • Business Conducted Borrower shall continue in the business currently conducted by it using its best efforts to maintain its customers and goodwill. Borrower shall not engage, directly or indirectly, in any line of business substantially different from the business conducted by it immediately before the Closing Date, or engage in business or lines of business which are not reasonably related thereto.

  • Business Continuity Planning Supplier shall prepare and maintain at no additional cost to Buyer a Business Continuity Plan (“BCP”). Upon written request of Buyer, Supplier shall provide a copy of Supplier’s BCP. The BCP shall be designed to ensure that Supplier can continue to provide the goods and/or services in accordance with this Order in the event of a disaster or other BCP-triggering event (as such events are defined in the applicable BCP). Supplier’s BCP shall, at a minimum, provide for: (a) the retention and retrieval of data and files; (b) obtaining resources necessary for recovery, (c) appropriate continuity plans to maintain adequate levels of staffing required to provide the goods and services during a disruptive event; (d) procedures to activate an immediate, orderly response to emergency situations; (e) procedures to address potential disruptions to Supplier’s supply chain; (f) a defined escalation process for notification of Buyer, within two (2) business days, in the event of a BCP-triggering event; and (g) training for key Supplier Personnel who are responsible for monitoring and maintaining Supplier’s continuity plans and records. Supplier shall maintain the BCP and test it at least annually or whenever there are material changes in Supplier’s operations, risks or business practices. Upon ▇▇▇▇▇’s written and reasonable request, Supplier shall provide Buyer an executive summary of test results and a report of corrective actions (including the timing for implementation) to be taken to remedy any deficiencies identified by such testing. Upon ▇▇▇▇▇’s request and with reasonable advance notice and conducted in such a manner as not to unduly interfere with Supplier’s operations, Supplier shall give Buyer and its designated agents access to Supplier’s designated representative(s) with detailed functional knowledge of Supplier’s BCP and relevant subject matter.

  • Business Continuity Plan The Warrant Agent shall maintain plans for business continuity, disaster recovery, and backup capabilities and facilities designed to ensure the Warrant Agent’s continued performance of its obligations under this Agreement, including, without limitation, loss of production, loss of systems, loss of equipment, failure of carriers and the failure of the Warrant Agent’s or its supplier’s equipment, computer systems or business systems (“Business Continuity Plan”). Such Business Continuity Plan shall include, but shall not be limited to, testing, accountability and corrective actions designed to be promptly implemented, if necessary. In addition, in the event that the Warrant Agent has knowledge of an incident affecting the integrity or availability of such Business Continuity Plan, then the Warrant Agent shall, as promptly as practicable, but no later than twenty-four (24) hours (or sooner to the extent required by applicable law or regulation) after the Warrant Agent becomes aware of such incident, notify the Company in writing of such incident and provide the Company with updates, as deemed appropriate by the Warrant Agent under the circumstances, with respect to the status of all related remediation efforts in connection with such incident. The Warrant Agent represents that, as of the date of this Agreement, such Business Continuity Plan is active and functioning normally in all material respects.

  • BUSINESS ETHICS During the course of pursuing contracts, and the course of contract performance, Provider will maintain business ethics standards aimed at avoiding real or apparent impropriety or conflicts of interest. No substantial gifts, entertainment, payments, loans or other considerations beyond that which would be collectively categorized as incidental shall be made to any employees or officials of HISD, its authorized agents and representatives, or to family members of any of them. At any time Provider believes there may have been a violation of this obligation, Provider shall notify HISD of the possible violation. HISD is entitled to request a representation letter from Provider, its subcontractors or vendors at any time to disclose all things of value passing from Provider, its subcontractors or vendors to HISD’s personnel or its authorized agents and representatives. a.
