Hardware Purchase. Subject to the terms and conditions of this Agreement, ES&S agrees to sell, and ▇▇▇▇▇▇▇▇ agrees to purchase, the ES&S Hardware. Title to the ES&S Hardware shall pass to Customer when Customer has paid ES&S the total amount set forth on the front side of this Agreement for the ES&S Hardware.
Hardware Purchase. Subject Matter This Part will apply to sale of Hardware to and purchase by the Customer from TeamViewer (“Hardware Purchase”). The subject matter of the Hardware Purchase shall be the supply of the Hardware as provided in the Contract and the transfer of ownership of the Hardware to and the payment of the purchase price agreed by the Customer. Any additional services related to the Hardware Purchase, including but not limited to the setup, installation, or trainings, shall not be provided under these Hardware Specific Terms. Such services may be agreed between the parties upon request but shall remain subject to a separate agreement and remuneration. TeamViewer Obligations TeamViewer shall grant to customer the ownership and possession of the Hardware pursuant to the conditions of these Hardware Purchase Terms. Unless otherwise agreed, the Hardware shall be delivered to the address provided in the Contract. Customer shall assume the risk of accidental destruction, loss or damage of the Hardware after TeamViewer has handed over the Hardware to the shipping service provider (“Passing of Risk”). Customer Obligations Customer shall pay to TeamViewer the purchase price and delivery fees as specified in the Contract. In deviation to section Error! Reference source not found. and unless otherwise agreed, the purchase price shall be due for payment upon Passing of Risk. Customer shall be responsible for the setup and configuration of the Hardware following the delivery thereof. Reservation of Title The Hardware shall remain the property of the TeamViewer until the purchase price has been paid in full. This reservation of title shall be extended to other claims which TeamViewer has against Customer resulting from the latter's business activities. Customer is not entitled to set off against claims of TeamViewer, unless the counterclaims are undisputed or confirmed by final judicial award. Hardware Requirements The use of the Hardware by the Customer will be subject to specifications as provided either by TeamViewer or by the Hardware manufacturer. Limitation of Warranty / Warranties TeamViewer warrants that the Hardware is free of any material defects and defects of title upon the Passing of Risk. Customer shall examine the Hardware immediately after receipt, insofar as this is feasible in the ordinary course of business, and notify TeamViewer of any found defects without delay, failing which, the Hardware shall be deemed to have been accepted as in compliance with ...
Hardware Purchase. If Licensee so elects, Licensee shall purchase Hardware at the price indicated in the Order Form or, if at a later date, at the then-current standard prices in effect at the time the order is placed. All Hardware will be shipped F.O.B. origin. Licensee shall be responsible for all Delivery Costs. Payment by Licensee of Delivery Costs shall be due and payable upon its receipt of Licensor’s invoice.
Hardware Purchase. 11.1.1 If the hardware is defective so as to considerably impair its contrac- tual use, the customer shall have the right to demand that Telekom either makes subsequent improvements or provides the service again (subsequent performance). If the customer has set a reasonable period of grace for Telekom after an initial demand for action, and if Telekom has refused to effect subsequent performance or if subsequent performance is unsuccessful, the customer shall reserve the right to demand either rescission of the agreement or a reduction in the remuneration. If the service deviates only slightly, without limiting the functional- ity, the customer may only demand a reduction in payment. 11.1.2 The liability for material defects shall not apply to services provided by Telekom that have been modified or otherwise interfered with by the customer, unless the customer proves, in conjunction with the defect reported, that the intervention did not cause the defect. The liability for material defects shall also not apply if the customer fails to report the defect to Telekom in writing without undue delay after having detected it, or if the customer does not use the service under the contractually agreed conditions as stipulated in the prod- uct description and the user manual. 11.1.3 The customer's rights under Telekom' warranty as set forth in Items 11.1.1 and 11.1.2 shall be in effect for one year after perfor- ▇▇▇▇▇ or acceptance of the service. This restriction shall not apply to compensation claims that are based on the violation by Telekom of claims to subsequent perfor- ▇▇▇▇▇ in the event of defects. Compensation claims based on re- fusal to provide subsequent performance may only be asserted within the statutory period of limitation if the claim to subsequent performance is asserted by the customer within the reduced period for material defect claims. 11.1.4 If, after a fault has been reported, Telekom has provided services to identify defects and no material defects have been identified and this could have been recognized by the customer, the customer shall bear the costs incurred in this respect. Telekom' rates that are in effect when the service is performed shall be used as the basis for calculating the costs.
