Installation of Products. The Distributor and ▇▇▇▇-▇▇▇▇▇▇ acknowledge that proper installation of Products is essential to protect the interests of end users and the goodwill associated with reliable operation of Products. The Distributor will refrain from selling Products to any other distributor who is not a uthorized to sell and service Products. Both parties acknowledge that such sales to unauthorized parties could jeopardize the reliability and reputation of both ▇▇▇▇-▇▇▇▇▇▇ and its authorized Distributor network. Accordingly, the Distributor will be responsible for insuring the proper application and installation of all Products pursuant to installation instructions provided by ▇▇▇▇-▇▇▇▇▇▇ on each Product line for which Distributor has responsibility hereunder.
Installation of Products. 5.1. In return for payment of the Installation Charges we will install the Products at the Installation Site as soon as possible after the Effective Date provided that we shall not be liable for the costs of any electrical installation requirements.
5.2. You will not hold us liable for any damages of any nature whatsoever incurred by you as a consequence of the installation of the Products and hold us harmless against any claims made against us by any other person which may arise due such installation.
Installation of Products. Buyer expressly acknowledges and agrees that if it is necessary to perform any work on any line voltage for use of Seller's Products, Buyer will have a qualified, licensed electrician perform the line voltage work. Any installation of the Products by someone other than a qualified, licensed electrician shall be performed by Buyer at Buyer's own risk and liability. Seller will not be held responsible for or accept or assume any liability in connection with any line voltage work for use of the Products, the electrical installation or modification of any of its Products, or injuries or damages incurred in connection with the foregoing. The installation of the Products must be in compliance with all local, state, and federal laws, rules, codes, and regulations. Buyer shall be solely responsible for compliance with such laws. Any improper installation and/or modification of the Products can cause serious harm possibly resulting in death or personal injury. Buyer should consult with a qualified, licensed electrician who adheres to and accepts all responsibility for electrical installations in compliance with all applicable local, state, and federal laws, rules, codes, and regulations. SELLER SHALL NOT BE RESPONSIBLE FOR ANY INJURY OR DEATH ARISING FROM THE USE OR INSTALLATION OF SELLERS PRODUCTS. Installation of Products. During the Term: (a) Vivint Solar will use Good Faith Efforts to install Products in residences at which Vivint Solar installs a Project and correspondingly purchase such Products from Vivint under this Agreement; and (b) Vivint will use Good Faith Efforts to install Products that have been developed in connection with the Product Development Activities in each residence at which it performs Vivint Services. For purposes of this Section 3.2, “Good Faith Efforts” means that the Party charged with taking such actions shall (i) make a good faith assessment of the quality, features, functions, performance technological sophistication, cost and other operational attributes of the Products, and (ii) determine, based on the assessment referred to in clause (i), whether to install the Products, in the case of Vivint Solar, in its Projects, and in the case of Vivint, in residences where it performs Services, provided that if, based on the assessment referred to in clause (i) above, the Products are materially equivalent to any other product offered by any third party, Good Faith Efforts shall require the relevant Party to install Products rather than such other product.
Installation of Products. Unless otherwise agreed in writing by Vital Images, all deliveries of the Products shall be directly to Toshiba or the Dealer Associates, unless the parties agree that Vital Images shall ship the Products directly to the customers, and Toshiba and the Dealer Associates shall then have the sole responsibility for the First Level Installation of such Products into a customer’s computer system in the Territory in accordance with the standards and specifications established by Vital Images from time to time and provided to Toshiba and the Dealer Associates hereunder. If the Products need to be integrated with non-Toshiba equipment, Vital Images will perform the Second Level Installation, upon request from Toshiba, or the Dealer Associates or the customers, to ensure proper integration * Confidential Treatment has been requested, the portion indicated has been redacted and the redacted portion has been separately filed with the Securities and Exchange Commission.
Installation of Products. Supplier is not responsible for installation of Products as part of Supplier Support. Supplier may agree, in its sole discretion, to install Equipment at the End-User’s Installation Site location located within a Supplier Service Area at Supplier’s current installation charge, provided that: (i) OEM or End-User shall promptly notify Supplier of receipt the Equipment and permit Supplier access thereto during Supplier's normal business hours; and (ii) such Products have not been modified without Supplier's written consent, or subjected to unusual physical or environmental stress, accident, misuse or other damage, not caused by Supplier.
Installation of Products. Unless otherwise agreed in writing by Vital Images, all deliveries of the Products shall be directly to Toshiba or the Dealer Associates, and Toshiba and the Dealer Associates shall then have the sole responsibility for the First Level Installation of such Products into a customer’s computer system in the Territory in accordance with the standards and specifications established by Vital Images from time to time and provided to Toshiba and the Dealer Associates hereunder. If the Products need to be integrated with non-Toshiba equipment, Vital Images will perform the Second Level Installation, upon request from Toshiba, the Dealer Associates or the customers at no additional charge to Toshiba, to ensure proper integration.
9. Section 5.2 of the Agreement is hereby amended by deleting said Section 5.2 and replacing it with the following:
Installation of Products. 6.1 The Customer shall install, or shall arrange for the installation of, the Products, in its Properties. Where the Customer engages a third party to carry out any such installation, the Customer agrees that it shall be responsible for all acts or omissions of such third party and Switchee Ltd shall be entitled to treat any such error or omission, and take any action hereunder in respect to such error or omission, as if it had been committed by the Customer.
6.2 At the Customer’s request, Switchee Ltd shall, acting as the Customer’s agent, appoint a third party to install the Products for the Customer. The Customer agrees that Switchee Ltd shall have no liability in relation to any such installation.
6.3 The Customer agrees that, if the Customer makes a request pursuant to Clause 6.2, Switchee Ltd shall be entitled to share such personal data with any third party appointed by it to the extent reasonably necessary to allow such third party to carry out any relevant installation.
6.4 Prior to installation (and prior to the occupation of a Property by a new Resident) unless instructed otherwise by Switchee Ltd the Customer shall provide the Resident with a copy of Switchee’s Privacy Policy.
Installation of Products. The CONTRACTOR agrees to assume all liability for the installation of the PRODUCTS and to use only appropriately licensed and bonded contractors (plumbing or general).
Installation of Products. OEM shall be responsible for installing the Products at each customer's site.
