Mechanical Completion. Subject to the occurrence of the FNTP Date, Seller shall cause the Work to achieve Mechanical Completion. At least twenty-one (21) days, but no more than thirty-five (35) days, prior to the date on which Seller anticipates the Work will achieve Mechanical Completion (the “Anticipated Mechanical Completion Date”), Seller shall provide to Buyer written notice of the Anticipated Mechanical Completion Date. If and when ▇▇▇▇▇▇ considers that the Work has achieved Mechanical Completion, Seller shall certify the same to Buyer in writing by delivering a certificate substantially in the form of Exhibit AA (the “Mechanical Completion Certificate”) signed by a duly authorized representative of Seller. Buyer shall, within ten (10) Business Days after receipt of the Mechanical Completion Certificate, either (a) confirm in writing to Seller that it agrees that the Work has achieved Mechanical Completion or (b) notify Seller in writing that it does not agree that the Work has achieved Mechanical Completion and provide in reasonable detail an explanation of the basis for its disagreement. If Buyer provides Seller with a notice pursuant to clause (b) immediately above, Seller shall promptly address and resolve any and all deficiencies in the Work or that served as a basis for ▇▇▇▇▇’s dispute of Seller’s determination that the Work has achieved Mechanical Completion and resubmit its Mechanical Completion Certificate to Buyer. For the purposes of this Agreement, the Work shall be deemed to have achieved Mechanical Completion on the earlier of (i) the date Buyer confirms in writing to Seller that it agrees the Work has achieved Mechanical Completion and
Mechanical Completion. 10.1.1 Mechanical Completion shall occur with respect to the Facility when the following requirements have been satisfied: (a) Contractor has constructed and installed all materials, equipment, components and systems constituting the Facility (except for completion of minor portions of the Work such as painting, final grading, final insulation, and any other portion of the Work not affecting the reliability, dependability, operability, safety, and mechanical and electrical integrity of the Facility) in all material respects in accordance with the Agreement; (b) Contractor has made available for inspection by Owner all Facility systems necessary to begin Performance Tests in accordance with procedures mutually agreed to at the time by Contractor and Owner; (c) the Work is mechanically and electrically sound, all systems have been flushed, cleaned out and filled as necessary and all required pre-operations checking and testing has been completed satisfactorily and all systems have been started up in accordance with procedures mutually agreed to at the time by Contractor and Owner; and (d) all systems and subsystems have been installed, the equipment and systems included therein can be operated in a manner that does not void any Subcontractor or system warranty and Contractor has made the Facility available for synchronization. 10.1.2 When Contractor believes that the requirements of Mechanical Completion have been met, Contractor shall issue a notice of Mechanical Completion to Owner. Within five (5) Days after receiving such notice of Mechanical Completion, Owner shall advise Contractor, in writing, with reasonable precision, of any known reason(s) to believe that Contractor has not met the criteria for Mechanical Completion. If Owner advises of any such reason(s), Contractor shall then take appropriate corrective action and again notify Owner, in writing, that the Facility has achieved Mechanical Completion. Owner shall have five (5) Days after receipt of such notification to advise Contractor of any remaining known reason(s) under the preceding paragraph why Contractor has not met the criteria for Mechanical Completion. This process shall be repeated as necessary until Owner agrees that no such reasons remain. If Owner fails to notify Contractor of any such known reasons within the allotted time, the Facility shall be deemed to have achieved Mechanical Completion. Mechanical Completion. The completion of construction activities essential to the safe and proper operation of the plant. This includes site, building, mechanical equipment, piping, electrical as more fully described below: · Inspection of all equipment to check that erected facilities conform to construction drawings and Contract specifications. · Non-operating field leak tests or field pressure tests on piping and field-fabricated equipment as required by the Contract specifications, disposing of test media on site at a location specified by Owner, and removal of test blinds and restoring systems to “ready for operation” condition. · Removal of all temporary supports, bracing or other foreign objects. · Inspection of all columns to ensure proper installation of all internals. · Field inspection of all shop fabricated equipment. · Line flushing as part of hydrotesting. · Check to ensure that all baseplates and soleplates are level and properly grouted. · Check pipe hangers, supports, guides and pipe specialties, and remove all shipping and erection bracing. · Check alignment of all piping fit-up with equipment to avoid excessive nozzle loading and pipe stresses. · Insulation for process purposes. · Install Lubricants. · Check rotating machinery for correct direction of rotation and for freedom of moving parts. · Check cold alignments on rotating equipment. · Schedule the services of factory representatives for equipment or other items as required. · Electrical and Instrumentation installed. Irrespective of the foregoing, Mechanical Completion shall be deemed achieved once feedstock is introduced into the Plant and ethanol has been produced.
Mechanical Completion. “Mechanical Completion” shall occur when, except for minor items of the Project Work that would not affect the performance or operation of the Facility, (a) all materials and equipment for the Facility have been installed substantially in accordance with the Final Plans; and (b) all equipment and equipment systems required to be installed by CONTRACTOR have been installed and initially tested (excluding Acceptance Testing); and (c) all the equipment and systems can be operated in a safe and prudent manner and have been installed in a manner that does not void any Subcontractor equipment or system warranties; and (d) the Facility is ready to commence Acceptance Testing, and operations; and (e) a Punch List of the uncompleted items is established by CONTRACTOR and mutually agreed upon by the Parties, provided that if CONTRACTOR and COUNTY disagree as to whether a particular item shall appear on the Punch List, the COUNTY’s QA/QC Director shall promptly decide the dispute; and (g) all Project Work, other than Punch List items and Acceptance Testing and any other Project Work sequenced after Mechanical Completion, has been completed; and (h) the QA/QC Director certifies each of the foregoing to the satisfaction of the COUNTY.
Mechanical Completion. The completion of construction activities essential to the safe and proper operation of the plant, as more fully listed below.
Mechanical Completion. Mechanical Completion shall be achieved hereunder with respect to the Facility if the following conditions have been met: (a) All equipment and facilities necessary for the full, safe and reliable operation of the Facility have been properly constructed, installed, insulated and protected where required, and correctly adjusted, and can be safely used for their intended purposes in accordance with the Instruction Manual and all Applicable Laws and Applicable Permits; (b) The tests required for Mechanical Completion that are identified in Appendix D hereto have been successfully completed; (c) The Facility is fully and properly interconnected and synchronized with the electrical system of the Utility in accordance with the Electrical Interconnection Requirements, and all features and equipment of the Facility are capable of operating simultaneously; and (d) The complete performance by Contractor of all the Services relating to the Facility under this Agreement, except for any remaining Punch List items, Performance Tests, PPA Output Tests, and Reliability Run applicable thereto, in compliance with the standards of performance set forth in this Agreement, such that the Facility meets all of the requirements set forth in this Agreement applicable thereto (including, without limitation, Appendix A hereto, but excluding the achievement of the Guaranteed Emissions Limits and the Performance Guarantees).
Mechanical Completion. The Contractor shall be responsible for achieving Mechanical Completion in respect of the Works.

Mechanical Completion. The Plant/ unit/ system is considered mechanically complete when all the construction work is completed in accordance with the drawings, specifications, instructions, codes & regulations all equipments and machines erected and aligned, all Electrical & Instruments installed and pipelines hooked-up. When plant/ unit/ system is declared mechanically complete, it will mean that w.r.t. that particular plant/unit/system: a) All the mechanical erection work is completed and a preliminary check is made in accordance with all engineering drawings. b) Supplied Equipments are firmly grouted. c) All permanent gaskets are installed unless specified otherwise. d) Initial charge of lubricants is filled, as required. e) All electrical fittings and connections are installed, completed and tested. f) All instruments are installed; calibrations and loop checking are completed. g) No load trial run of all electrical motors in decoupled condition. h) All painting and thermal insulation work is completed. After Mechanical completion is declared by Contractor, NRDA & PMC will prepare a checklist, check list to be attended by respective Contractors for Pre- Commissioning.
