Ongoing Maintenance Sample Clauses

Ongoing Maintenance. (a) The City shall, during the Term, at its own cost and expense and without any cost or expense to NCRA: (i) Keep and maintain all trail improvements (subject to City's right to remove) in good and neat order and repair and shall allow no nuisances to exist or be maintained therein. NCRA shall not be obligated to make any trail repairs of any kind; and (ii) Comply with and abide by all applicable federal, state, and local laws and regulations affecting the License Property.

Ongoing Maintenance. (a) We will, subsequent to any deemed completion of development of the Design, Develop and Deliver Services, continue to offer the Support and Maintenance Services as agreed by you and set out in the Development Proposal. (b) If you wish to obtain the Support and Maintenance Services, then you engage us for those services for a minimum of [4] weeks on these terms and conditions and for the price as set out in the Development Proposal or as otherwise stated by us.

Ongoing Maintenance. The City shall be responsible for ongoing maintenance of the Sweeper and shall ensure that it remains in service, in good repair, and continues to effectively remove pollutants through December 31, 2025. The City agrees to perform this maintenance at its sole cost and expense.

Ongoing Maintenance. Upon completion of the Project, the City shall be responsible for its ongoing maintenance. The City agrees to perform, at its cost, such maintenance as may be required to sustain the proper functioning of the improvements constructed as part of the Project for their useful life.

Ongoing Maintenance. Knightscope will, at its sole expense, provide ongoing maintenance for the Equipment during the Term except with respect to loss or damage to the Equipment caused by: i. Client’s negligence; or ii. Client’s failure to keep the Equipment reasonably secure.

Ongoing Maintenance. Once the Project is constructed in accordance with the Plans, as determined by the Commission Engineer, the Developer, at its own cost, shall be responsible for all ongoing maintenance of the Project stormwater improvements constructed on the Developer Property and the Other Property. The Developer agrees to maintain such stormwater improvements constructed on the Developer Property and the Other Property as part of the Project in perpetuity from the date of approval of the final reimbursement request for the construction of the Project. This obligation shall also be required through a separate recorded maintenance agreement entered into between the Developer and the City and a recorded operations and maintenance plan to provide for the ongoing maintenance of the stormwater improvements constructed on the Developer Property and the Other Property, which will include a chloride management plan. The Developer shall not be responsible for the ongoing maintenance of the stormwater improvements constructed as part of the Project on the City Property. The Commission intends to enter into a separate agreement with the City whereby the City agrees to provide for the ongoing maintenance of the City Property at its own cost.

Ongoing Maintenance. Subject to Mascoma’s fulfillment of its obligations, Licensee will be responsible for maintaining sufficient quantities of Organisms for purposes of exercising the license granted in Section 2.1. In furtherance of the foregoing, as part of the license granted in Section 2.1, to the extent necessary to maintain a reasonable supply of Organisms, Licensee will have the right to manufacture Organisms by propagating Organisms that are either (a) contained in the Organism Cell Banks provided by Mascoma or (b) replicated through propagation (including through multiple generations) from the Organism Cell Banks provided by Mascoma.

Ongoing Maintenance. Unless the parties agree otherwise, Fiserv shall not be responsible for the provision of any maintenance or repairs to the Equipment or of any parts or replacements for the Equipment.

(That agreement is attached hereto as Attachment A.) On May 12, 2005, Governor G▇▇▇▇▇ ▇▇▇▇▇▇ called upon Mr. J▇▇▇ ▇▇▇▇▇▇, Secretary to the Governor, to coordinate the Lower Manhattan Redevelopment effort. As his Senior Advisor for Counter-Terrorism, I was identified by the Governor to coordinate the security interests and activities of the various public sector and private entities that are participants in the redevelopment of Lower Manhattan. Part of that task has been to develop the necessary security protocols with the City of New York, and specifically, the New York City Police Department as a principal stakeholder in this effort.
