Preparation of Documentation. The Contractor shall prepare, in parallel with the development of the Software, the documentation described in Appendices 1 and 2. The following documentation shall be provided, as a minimum, unless otherwise agreed: Technical documentation Systems documentation with a detailed description of the system and its manner of operation Operational documentation with advice as to how operational procedures should be prepared, what back-up copies should be made and how often, what parameters it would be prudent to monitor, etc. Installation guidelines with advice as to the choice of set-up, etc. User documentation Description of systems functionality Description intended for super user/systems manager within the user organisation that shows the relationship between the various parts of the system, advanced user functions, etc. The documentation shall be in the Norwegian language. Unless otherwise specified in Appendix 3, the documentation shall be delivered in one (1) paper hardcopy, as well as in machine-readable form on the medium, and in the format, described in Appendix 1 and/or Appendix 2. The documentation, including the installation instructions, shall be delivered within the time limit specified in Appendix 4. Unless otherwise specified therein, the documentation shall be delivered no later than upon the commencement of the Customer acceptance test, in order to enable testing of the documentation simultaneously with the testing of the system. Training The agreed training of the Customer’s employees shall be carried out professionally and to a good technical and pedagogical standard, in accordance with the requirements specified in Appendices 1 and 2, and the timetable set out in Appendix 4. The training shall be tailored to the needs of the various user groups, for example end users, super users, systems administrators, operational personnel, etc. Unless otherwise specified in Appendix 3, the training shall take place on the premises of the Contractor. The Contractor shall deliver to the Customer, no later than one (1) week prior to the commencement of training, the necessary course materials for the various categories of personnel (users, systems personnel, operating personnel). Installation preparation The Customer shall be responsible for necessary installation preparations having been carried out in accordance with the Contractor’s installation instructions, and for the technical platform requirements specified in Appendices 2 and 3 having been met, w...
Preparation of Documentation. When a new position is created or an existing position modified (to the extent that the duties and responsibilities performed have changed sufficiently enough to warrant a modification in job class) the manager will complete a Job Analysis Questionnaire Where required and available, the manager will also compile the job profile, the Job Description, the Job Qualifications and other relevant documents. The employee shall also have the opportunity to provide any relevant documents to manager. From these documents, the Corporation may develop a new Job Description for the purpose of the evaluation process and for other applications within the Corporation.
Preparation of Documentation. 5.1 In the event that the Proposal is implemented by way of a takeover offer, BBI undertakes to provide IMI with all such information about the BBI Group as may reasonably be required for inclusion in an Offer Document and to provide all such other assistance as IMI may reasonably require in connection with the preparation of an Offer Document, including access to, and ensuring the provision of assistance by, relevant professional advisers, provided that the BBI Board has not withdrawn its recommendation. ▇▇▇ agrees to consult with BBI as to the content of an Offer Document to the extent that content relates to the BBI Group or the BBI Directors. BBI will procure that the BBI Directors accept responsibility for all of the information in an Offer Document relating to BBI, the BBI Group and the BBI Directors.
5.2 In the event that the Proposal is implemented by way of a scheme of arrangement, then in reasonable time following the date of this Deed, both parties shall work diligently to ensure that a Scheme Document is finalised in sufficient time to permit application to the Court to be made for liberty to convene shareholder meetings and for a Scheme Document to be posted to BBI shareholders as soon as reasonably practicable.
5.3 BBI agrees to consult with IMI as to the form and content of a Scheme Document and, to the extent that a Scheme Document relates to any matter other than BBI, the BBI Group or the BBI Directors, it will seek the approval of IMI (such approval not to be unreasonably withheld or delayed) to the content of a Scheme Document and afford IMI sufficient time to consider such document in order to give its approval. IMI undertakes to provide BBI with all such information about itself and the IMI Group as may reasonably be required for inclusion in a Scheme Document and provide all such other assistance as BBI may reasonably require in connection with the preparation of a Scheme Document, including access to, and ensuring the provision of assistance by, relevant professional advisers. IMI will procure that the IMI Directors accept responsibility for all of the information in a Scheme Document relating to IMI, the IMI Group and the IMI Directors. BBI will procure that the BBI Directors accept responsibility for all of the information in a Scheme Document relating to BBI, the BBI Group and the BBI Directors.
Preparation of Documentation. 4.1 As soon as reasonably practicable following the date hereof, ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇, Newco and the Consortium Members shall commence preparation of the Scheme Document and shall each work diligently with a view to finalising it within 21 days from the date hereof.
4.2 ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ agrees to consult with Newco as to the form and content of the Scheme Document, to seek the approval (not to be unreasonably withheld or delayed) of Newco of the content of the Scheme Document before it is posted and to afford Newco sufficient time to consider such document in order to give such approval. The Consortium Members and Newco undertake to provide ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ with all such information about themselves as may reasonably be required for inclusion in the Scheme Document and to provide all such other assistance as ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ may reasonably require in connection with the preparation of the Scheme Document, including access to, and ensuring the provision of reasonable assistance by, relevant professional advisers so as to ensure that the Scheme Document may be posted to ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ Shareholders on 17 November 2004 or such other date as ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ and Newco may agree.
4.3 Newco and each Consortium Member confirms that there exists no agreement, understanding or arrangement, whether written or oral, between it and any director or executive officer of ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ providing for or contemplating: (a) increases in the compensation or benefits to be received by such director or executive officer, amendments or alterations favourable to such director or executive officer in any employment agreement, benefit agreement or similar agreement to which such director or executive officer is a party or otherwise subject to; (b) participation by such director or executive officer in the equity ownership of ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ or any parent or successor entity; or (c) representation of such director or executive officer on the board of directors of ▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ or any parent or successor entity, in each case following the Effective Date.
4.4 Newco undertakes to consult the Panel in relation to any matter which could fall within note 2 to rule 13 of the City Code or rule 30.1 of the City Code (including prior to making any election to make the Acquisition by way of Offer) and to comply with any requirement or ruling of the Panel in relation thereto.
