Project Modifications Clause Samples
The Project Modifications clause defines the procedures and conditions under which changes to the scope, timeline, or deliverables of a project can be made after the initial agreement. Typically, this clause outlines how either party may propose modifications, the process for reviewing and approving such changes, and any adjustments to costs or deadlines that may result. Project Modifications. 1. Project modifications shall be requested by the LP in accordance with the rules and procedures stated in the programme manual. Where relevant, in order to come into effect, modifications must be approved by the relevant programme body/ies.
2. In the application documents the contribution of the LP and each PP are clearly defined. Changes in the project partnership require the prior approval of the relevant programme bodies as outlined in the programme manual. However, once approved, they are valid retrospectively starting from the date indicated in the written approval given by the JS.
3. With regard specifically to budget modifications, each PP may only apply changes in its approved budget if they comply with the flexibility rules stated in the programme manual and if prior approval from the LP or the programme bodies has been provided, as appropriate. To this purpose, each PP shall timely inform the LP on any request of revision of its budget in respect to its original commitment.
4. In case of changes in the partnership, this partnership agreement shall be amended accordingly and signed by the LP and the PPs, including the new PP (if applicable).
Project Modifications. During the Term, Seller may perform a Project Modification, provided that Seller shall Notify Buyer of any proposed Project Modification at least ten (10) Business Days prior to the start of Work for such Project Modification, and provided further that Seller shall not, and shall not permit any other Person to take any other action that would, or may reasonably be expected to alter, the Project description set forth in Appendix II-A as of the Execution Date without the prior written consent of Buyer, which consent shall be in Buyer’s sole and absolute discretion. Within sixty (60) days of completion of a Project Modification, Seller shall certify that the Project is commercially operable by providing Buyer a signed Project Modification Certification, as found at Appendix VI-B. A Project Modification will not alter nor relieve any of Seller’s obligations under this Agreement.

Project Modifications. 20.1 In case the Client considers any modifications of the Work necessary, the Client shall discuss the solution with the Consultant, and the modifications can be made subject to the prior consent by JICA. Each modification may include:
(a) obvious change in appearance of the building or facilities,
(b) change of the Project Site,
(c) change of major structure and/or strength of the building or facilities,
(d) change of dimensions of the building or facilities,
(e) change in quality or quantity of major equipment,
(f) change of the period of execution of the Work,
(g) change of terms and/or amount of the Contract Price,
(h) change that requires amendment of the verified contract, and
(i) other changes for which JICA requires the Client to obtain its prior consent. In addition to the changes mentioned above, modifications can be made on an ex-post fact report to JICA within the criteria of minor modifications set by JICA.
20.2 Proposal by the Contractor In case the Contractor considers any modifications of the Work necessary, the Contractor shall discuss the solution with the Consultant, and the Contractor can propose the modifications to the Client. This proposal may include the changes from (a) to (i) mentioned in Sub-Paragraph 20.1.
Project Modifications. During the Term, Seller may perform a Project Modification, provided that Seller shall Notify Buyer of any proposed Project Modification at least ten (10) Business Days prior to the start of Work for such Project Modification, and provided further that Seller shall not, and shall not permit any other Person to take any other action that would, or may reasonably be expected to alter the Project from the Project description set forth in Appendix II-A as of the Execution Date, without the prior written consent of Buyer, which consent shall be in Buyer’s sole and absolute discretion. Upon completion of a Project Modification, Seller shall provide Buyer a Project Modification Certification in accordance with Section 12.2. A Project Modification will not alter nor relieve any of Seller’s obligations under this Agreement.
Project Modifications. This Agreement applies to the Project excluding High ▇▇▇▇ or any modified High ▇▇▇▇ construction. It does not address mitigation for the effects of raising ▇▇▇▇ Dam. In the event the City decides to consider raising ▇▇▇▇ Dam, separate provisions will be made for additional mitigation. The Parties shall initiate discussion regarding fish mitigation according to the following procedures.
Project Modifications. During the Term, Seller may perform a Project Modification, provided that Seller shall Notify Buyer of any proposed Project Modification at least ten (10) Business Days prior to the start of Work for such Project Modification, and provided further that Seller shall not, and shall not permit any other Person to take any other action that would, or may reasonably be expected to alter, the Project description set forth in Appendix III as of the Execution Date without the prior written consent of Buyer, which consent shall be in Buyer’s sole and absolute discretion; provided, however, that prior to the IDD, Seller may change the Site, including the Project physical address and longitude and latitude and the point of interconnection address, upon Notice to Buyer but without Buyer’s consent so long as the Project remains connected to the substation and bank referred to on Appendix III, and such change shall not be considered a Project Modification. Within sixty (60) days of completion of a Project Modification, Seller shall certify that the Project is Commercially Operable by providing Buyer a signed Project Modification Certification, as found at Appendix VII-E. A Project Modification will not alter nor relieve any of Seller’s obligations under this Agreement, including delivery of Distribution Services even when Project Modification Work is being performed.
Project Modifications. Owner shall certify to Columbus that there will be no Project Modifications, as defined herein, not noted on schedule A-2 or B-2, as amended or modified in writing pursuant to this Agreement by Owner to Columbus, and that any modification to the TAD Project Budget as a result of such Project Modification shall be reflected on an updated Budget to be presented to Columbus.
