Purpose and Membership. Promptly following the Effective Date, Biocept and Life Technologies will create a Joint Steering Committee for the purpose of facilitating communications between the parties regarding, and providing direction and leadership to, the Collaboration. The Joint Steering Committee shall be composed of six (6) representatives, three (3) each from Biocept and Life Technologies, each of whom shall have appropriate experience, knowledge and authority within such party’s organization to carry out the duties and obligations of the Joint Steering Committee. Each party will designate one of its representatives as the primary contact for that party with respect to Joint Steering Committee-related matters, and such representatives shall serve as co-chairpersons of the Joint Steering Committee. Each party may change its representatives to the Joint Steering Committee or its primary contact from time to time in its sole discretion, effective upon notice to the other party of such change. These representatives shall have appropriate technical credentials, experience and knowledge. A reasonable number of additional representatives of a party may attend meetings of the Joint Steering Committee in a non-voting capacity.

The Contract Maintenance Team is established for the purpose of carrying out regular, recurring contract maintenance and interpreting existing contract language in specific sections of the contract as listed below. The primary duty of the Insurance Committee will be to recommend to the Superintendent/School Board and employees the best coverage option available based on the research and advice of a health insurance consultant and input from employees. The Committee will consist of three teachers selected by the SEA, one classified staff member selected by the SCEA, and one administrator selected by the administrative team. These members of the Committee are the voting members concerning the insurance program. Insurance Committee members are volunteers representing their group unit and their terms are determined by their employee group/unit.
Purpose and Membership. The purpose of D/WC is to provide special education programs as delineated in Appendix A (“the Programs”) for students residing in the Member School Districts listed in Appendix B and as may be otherwise provided in this Agreement. Member School Districts (and non-member school districts as otherwise provided in this Agreement) may purchase available services from the Operating Entities, including (but not limited to) Program participation on a tuition basis, other instructional services, related services, and professional development. School district personnel authorized to commit to the purchase of services from the Operating Entities shall (1) contact the designated administrator for the program offering the requested services; (2) provide the school student records necessary for services; and (3) comply with other purchased services policies and procedures which may be approved by the Operating Entities. Membership shall include and be limited to those school districts identified in Appendix B and any other school districts that establish membership pursuant to this paragraph. A non-member public school district may petition the Operating Entities in writing requesting membership in the DuPage/West Cook Intergovernmental Cooperation Agreement. The petitioning school district shall be invited to join upon satisfaction of the following conditions: (a) approval by the Directing Board of each Operating Entity; and (b) agreement, in writing, by the petitioning school district to abide by this Agreement and all D/WC policies and procedures.
Purpose and Membership. Joint Labor/Management Committees are established to provide a forum for communications and problem-solving between the two parties and to deal with matters of a general personnel Union/Employer concern, as well as professional practices within the clinics related to patient care and professional issues. The Committees will work toward the improvement of patient care and recommend ways and means to improve patient care; and will address problems and concerns related to staffing and workloads. The Committees’ function will be limited to an advisory capacity and shall not include any decision making or collective bargaining authority.
Purpose and Membership. (1) The partners to this agreement intend to promote cooperation in the areas of teaching and study, research and development, exchange of students, placement of doctoral candidates, exchange of senior and junior teaching staff and researchers.
(2) A higher education institution which is represented in the Japan Association of National Universities (JANU), the Japan Association of Public Universities (JAPU), and the Federation of Japanese Private Colleges and Universities Associations (FJPCUA) on the one side, and in the German Rectors’ Conference (HRK) on the other side is entitled to cooperate directly in accordance with the terms of this agreement with any signatory from the other country.
(3) This framework agreement shall be supplemented by details of partnership arrangements negotiated bilaterally between cooperating institutions in each country. While signatories are expected to promote cooperation, no higher education institution is expected to enter into partnership obligations beyond its resources.
Purpose and Membership. An Operating Committee shall be created under this Agreement to address, in the first instance, any issues or questions that may arise out of this Agreement. The Operating Committee shall be composed of one member designated by each of the Parties hereto by written notice to the other Parties. Each Party may also designate an alternate to act in the absence of the member representing such Party. Each Party may change its member on the Operating Committee, or its alternate, from time to time by notice in writing to each of the other Parties.

A Management Committee consisting of up to two representatives from Grant Auto (each, an "Grant Auto Representative") and up to two representatives from Grant Brothers (each a "Grant Brothers Representative") shall be established for the purpose of overseeing the operation of the Business during the term of this Agreement. A party may change its representatives from time to time by delivering a notice to this effect to the other party.

(2) A higher education institution which is represented in the New Zealand Vice-Chancellors' Committee or the Hochschulrektorenkonferenz and which becomes a signatory to this agreement is entitled to cooperate in accordance with this agreement with any signatory from the other country.

Purpose and Membership a. The Perry Sick Bank is created for the purpose of offering financial assistance in case of long-term illness or injury to a teacher.
b. Each teacher, as defined in the master agreement, employed by the Perry Public Schools, may be a member of the sick bank.
c. First and second year teachers may be members of the bank without having to contribute days. Upon reaching third year status/tenure status, whichever occurs first, as a teacher in the Perry Schools, a teacher will be expected to make the usual contributions to the bank in order to be a member.
d. The decision to become a member of the sick bank by a teacher reaching third year status/tenure status must be made by the final work day in September. Those teachers deciding not to join the sick bank will communicate in writing to the sick bank committee chairperson by this date. A teacher’s failure to communicate in writing with the Committee Chairperson shall be received as that member having declined to participate.
e. The Perry Sick Bank is managed by a committee established by the PEA, known as the PEA Sick Bank Committee in this contract.
