a. SMUHSD, upon receipt of a detailed invoice, should process payment to the following:
Remuneration for Services. During the term of this Agreement, each Affiliate will pay to the Service Provider a quarterly service fee (the "Service Fee"), in arrears, equal to the Service Provider's costs and expenses to provide Services to such Affiliate in the preceding quarter; such payment shall include, but not be limited to, reimbursement to the Service Provider of payroll-related expenses, telephone expenses, postage, office equipment and supplies, overhead, rent for equipment and office space, expenses associated with computer hardware and software, and expenses of receptionist and telephone answering services. The Service Fee will be billed by invoice to each Affiliate stating in reasonable detail the Services rendered to such Affiliate, fees charged therefor and costs and expenses incurred. The Service Fee will be due and payable within thirty (30) days of invoice date.

Should the Company's operational requirements not permit the Contractor to exercise 20 working days of vacation in any given year, the Contractor may accumulate and use the non-exercised portion of his vacation in any subsequent year or chose to be paid in cash for the unused portion of his vacation. If at the end of this Agreement the Contractor has unused vacation time to its credit, then the Company will pay the Contractor the equivalent in cash;
(d) Pay to the Contractor a car allowance in the amount of $1,000 per month;
(e) Grant from time-to-time to the Contractor stock options. The granting of stock options shall be based on the performance of the Contractor, and such grant shall be solely in the discretion of and in an amount to be determined by the Company's Compensation Committee; and
(f) Pay to the Contractor bonuses associated with but not limited to financings, mergers and acquisitions, dispositions, joint ventures, strategic alliances and licensing and royalty agreements. The payment of a bonus shall be based on the performance of the Contractor, and such payment shall be solely in the discretion of and in an amount to be determined by the Company's Compensation Committee. The Contractor will immediately be paid a renewal bonus of $50,000
Remuneration for Services. Preparer is entitled to receive a portion of fees collected from clients for Services rendered per the option agreed upon and indicated below. Preparer is required to issue an invoice to Company for Services provided to his/her clients. Preparer will be paid from paid fees.

CHC will pay the Consultant for the Services $1,000 per month on the last day of each month during the Term whether or not CHC has requested any Services from the Consultant during such month. 5.2. 5.3. The Consultant’s remuneration for her Services referred to in Clauses 5.1 and 5.2 above shall be the only compensation payable to the Consultant under this Agreement and is inclusive all of wages or fees of any third parties or subcontractors hired by the Consultant to assist her, and includes all applicable taxes, Deductions and Remittances payable by the Consultant. Unless expressly agreed to in advance or as described herein, all costs or expenses incurred by the Consultant in the performance of her services hereunder are for her own account.

The Corporation agrees to pay the Employee the Base Salary in monthly instalments of Nine Thousand One Hundred and Sixty-Seven United Kingdom Pounds (£9,167) payable in arrears on the last day of the month. (a) Stock options to purchase an aggregate of 300,000 common shares of the Corporation, such stock options to be granted pursuant to the terms of the Corporation's Stock Option Plan, to have a five year term (subject to earlier termination in accordance with the said Plan) and to have such exercise price as is determined by the Board of Directors in its sole discretion upon granting the stock options.
(b) An annual performance bonus of up to 35% of the Base Salary, if deemed advisable by, and subject to such terms as determined by, the Board of Directors in its sole discretion.
(c) The Corporation shall provide for the Employee while in employment with the Corporation such medical and evacuation insurance coverage which the Corporation may have in place from time to time generally for employees of the Corporation. The Employee hereby consents to a medical officer making a full report to the Corporation upon any medical examination that may be required under the terms of any medical insurance scheme.
(d) Paid leave for all statutory and public holidays normally observed in England and for a further 30 working days' (Monday to Friday) in respect of each completed year of service; such period of leave to be proportionately reduced if this Agreement is terminated prior to the end of the Term.

2.1 OKME will pay Mesdi for Services as set forth in the Statement of Work that are satisfactorily rendered. OKME shall notify Mesdi of each person within OKME with the authority to authorize work and their approval limits. OKME will also compensate Mesdi for reasonable travel expenses incurred with the prior approval of OKME’s Representative. Mesdi will submit itemized invoices for services for payment and reimbursement to OKME’s Representative once per month at the end of the month and within 30 days. OKME will pay Mesdi within 30 days of the submission of each invoice.
