Responsibilities of Party B. In addition to its other obligations under this Contract Party B shall have the following responsibilities, which shall be carried out directly or through its Affiliates: (a) when requested by the Company, assist the Company in the purchase of equipment, supplies and materials manufactured inside or outside China ; (b) assist the Company in obtaining loans when necessary; (c) assist the Company in recruiting expatriate and local personnel; (d) assist the Company in arranging training of Company personnel in China or abroad as contemplated in the Technology License Contract; (e) assist the Company in generating export opportunities; and (f) handle other matters entrusted by the Company from time to time.
Responsibilities of Party B. (1) at the request of the Company, Assist the Company to procure equipment outside China; (2) Assist in applying for Japan entry visas for employees of Party A or of the Company and any other relevant persons when they need to enter Japan for the purpose of the business of the Company; (3) Assist in the operation and management of the Company; (4) submit any and all the documents and materials concerning Party B required by any Approval Authority or Registration Authority in relation to the Company; and (5) pay its consideration for the share of the Additional Contribution subscribed for by it in the amount and at the time specified herein.
Responsibilities of Party B. In addition to its other obligations under this Contract, Party B shall be responsible for the following matters: (1) Providing capital contributions in accordance with the terms and conditions of this Contract and the Capital Contribution Schedule attached as Appendix 2 hereto; (2) Providing any necessary assistance to the Joint Venture's recruitment of suitable expatriate management personnel, technical personnel and other necessary expatriate employees to be employed by the Joint Venture on the basis of merit; (3) Assisting the Joint Venture to contact banks and other financial institutions outside of the PRC and hold discussions with them with respect to the raising of any foreign exchange loans required by the Joint Venture; (4) Assisting the Joint Venture in training key staff and employees; (5) Seconding relevant management personnel, technical personnel and other necessary staff to work for the Joint Venture as per the Joint Venture's request; (6) To the extent practicable, providing internationally advanced technology to the Joint Venture; and (7) Assisting with and carrying out other relevant matters requested by the Joint Venture from time to time.
Responsibilities of Party B. 1. If Party B’s overdue payment of rent exceeds 7 days, Party B’s behavior constitutes a serious breach of contract, and constitutes the circumstances and sufficient conditions for the termination of the contract. Party A has the right to request Party B to pay the rent and the overdue fine. In addition, Party A has the right to unilaterally terminate the Lease Contract and take back the house. The deposit will not be refunded as a penalty. Party B shall clear all the articles owned by Party B in the Leased Premises out of the Building within 2 days after the termination of the Contract. Otherwise, Party A shall have the right to dispose the said articles as wastes at Party B’s expense. Party B shall not damage the air conditioning, firefighting, intelligent, electrical lines and other facilities and equipment in the leased unit during cleaning. Responsibilities of Party B. 2.2.1 After the execution of this Agreement, Party B shall not activate or carry through any discussion or negotiation with any third party with respect to the project land, unless the termination matters of this Agreement occur; 2.2.2 Party B shall cause the government to make the target land use rightavailable for bidding within five months after the execution of this Agreement; 2.2.3 Party B needs to communicate in depth with both the government and Party A, and reach reasonable consensus with respect of the planning and land use right bidding conditions, and to endeavor to obtain preferential policy and support as much as possibleto the maximum extent permitted by applicable laws and policies. 2.2.4 Party B makes the commitments that: a.
