Rights and Obligations of Lessor. 3.1.1 The Lessor shall not interfere in the Permitted Use of the Facility in any way. 3.1.2 The Lessor undertakes to deliver the Facility to the Lessee not later than on 01.05.2020 under the Delivery and Acceptance Certificate. The specified Delivery and Acceptance Certificate is to be signed by authorized representatives of the Parties. 3.1.3 The Lessor undertakes to deliver the Facility to the Lessee under the Agreement in a condition that allows the Facility to be used in accordance with the Permitted Use. The Lessee has been familiarized with the current technical condition of the Facility prior to the conclusion of the Agreement and recognizes it as suitable for further Permitted Use. 3.1.4 From the date of the Delivery and Acceptance Certificate signing until the date of the Agreement termination, the Lessor undertakes to provide: 3.1.4.1 Running repairs and face-lifting of common areas of the Building (including the halls of the ground and the first floors of the first stage, sanitary units of the ground and the first floor, the elevator hall on the ground floor of the second stage, and the fire stairs), as well as territories adjacent to the Facility and the Building as a whole in a timely manner and at its own expense. 3.1.4.2 Uninterrupted round-the-clock operation and maintenance of the elevators located in the Building, except for the periods of time required for maintenance and cleaning. 3.1.4.3 Operation of the central heating system in the Building (seasonally adjusted). 3.1.4.4 Emergency repairs of communications in the Building in accordance with the Certificate of Operational Responsibility Differentiation. 3.1.4.5 Uninterrupted 24-hour supply of electricity to the Building, except for periods of time when the supply of electricity is stopped by the power supply (power
Rights and Obligations of Lessor. If any of the rights and obligations of Lessor under this Lease are substantially and negatively affected by any changes in the laws applicable to this Lease, whether statutory, regulatory or under federal or state judicial precedent, then Lessor may require Lessee to enter into an amendment to this Lease to eliminate the negative effect on Lessor's rights and obligations to the extent reasonably possible.
Rights and Obligations of Lessor. 10.1 Lessor shall not interfere the normal usage of Lessee of this unit in normal situations, on the preconditions that Lessee pays rent, property management fee and other payables according to the time and method stated under the Contract and that Lessee abides by the performs the terms, conditions, agreements and stipulations under the Contract. 10.2 Lessor (or the property company) shall purchase valid insurance for the public areas and facilities of WFC. 10.3 Lessor can enter this unit for maintenance and repair with appropriate advance notice given to Lessee and consent from Lessee (Lessee shall not reject this for no reason). In case of emergencies, Lessor can enter this unit without advance notice given to Lessee and take necessary measures. Lessor shall not hold responsible for any loss induced thereby. 10.4 Lessor can accompany any potential lessees or users to visit and inspect the unit and post the lease advertisements in the appropriate positions of the unit at any appropriate time within ninety days before expiration or cancellation of the Contract. 10.5 Lessee hereby makes the statement of and promise waiving the preemption right. Lessor can sell or transfer this unit to any third party and doesn’t need consent of L▇▇▇▇▇. 10.6 During the lease duration, Lessor shall have right to change the name of WFC or names of some parts without advance consent from Lessee. Lessor shall not hold responsible for risks and expenses that may be generated out of name change. However, Lessor shall notify Lessee in the way of posting announcement one month before the name change. 10.7 L▇▇▇▇▇ knows and agrees that Lessor, all personnel authorized by Lessor or people enjoying such rights due to other reason have the following rights: (1) The owners of public facilities shall have right to ensure uninterrupted passing through the unit of all service pipelines related to supply or able to supply WFC and periphery buildings. Such owners of public facilities or their employees shall have right to enter the unit for inspection, repair, replacement and building new service pipelines for connecting WFC or providing public facilities for buildings at periphery of WFC with advance consent from Lessee. Rights and Obligations of Lessor. 8.1) Lessor shall during the entire duration of the rental grant Lessee exclusive use of the Leased property during normal opening hours and provide services required for Lessee to enter the building/property of the Leased property (e.g. magnetic card system), upon any defect Lessor shall commence troubleshooting within 120 hours, but Lessor shall have no compensation liability towards Lessee due to the lack of entry or limited entry to the Leased Property during the period impacted by the defect. 8.2) Lessor is unable to regulate the temperature of the Leased property, thus the temperature within the Leased property changes according to the prevailing weather conditions. Lessor does its outmost to ensure that the temperatures don’t drop below 5°C within the building of the Leased property. Lessee shall locate its Movable property by taking the above into consideration, namely Lessee shall only locate such Movable property in the Leased property, which tolerate the hardship of different weather conditions. Lessor shall not assume any liability for the reimbursement of damage arising from temperature fluctuation, even if the temperatures would drop below 5 degrees Celsius or unusual heat would be detected. 8.3) Lessor at its discretion shall ensure the guarding of the building/property housing the Leased property by using security guard services or alarm/camera surveillance system. 8.4) Lessor commits to notify Lessee in the cases stipulated by the Lease Contract and the GTC, furthermore in the cases when it is necessary. 8.5) Lessor undertakes the replacement of any lost or damaged entry cards, at the cost of Lessee. 8.6) It is the right of Lessor to decide whether the Movable property located by Lessee within the Leased property are considered as Forbidden Movables or not, and whether they represent a danger/hazard to Lessor, to a third party and to personal safety or property security.
Rights and Obligations of Lessor. The Lessor shall have the following rights and shall discharge the following obligations: (a) In the event of the Lessor desiring to transfer, assign, license, charge, mortgage or otherwise encumber the Schedule Property, the Lessor shall, prior to creating such encumbrance or interest, procure and provide to the Lessee an unconditional acknowledgement from the person in whose favour such interest is to be created, that such transferee, assignee, licensee, mortgagee or other person as the case may be shall to the extent applicable be bound by the terms and conditions of the lease, that he, she or it shall not disturb the possession and enjoyment of the Schedule Property by the Lessee and shall comply with the obligations imposed on the Lessor under this Deed. If the Schedule Property is assigned to any person, such person and the Lessor shall jointly and severally be responsible and liable to refund the security deposit of Rs.5,94,000/- (Rupees five lakhs ninety four thousand only) in terms of this Deed. (b) The Schedule Property currently has Electric Power Load being supplied by the Bangalore Electric Supply Company through a separate sub-meter. The sub-meter has been installed by the Lessor. (c) As back up for the power being provided by the Bangalore Electric Supply Company, the Lessor has also arranged for the installation of a 12 KVA generator in the premises of which the Schedule Property is a part. The Lessor represents that the RTOSOA has obtained necessary approvals / clearances from the appropriate authorities including but not limited to the Karnataka Power Transmission Corporation Limited and the Karnataka State Pollution Control Board for the installation of the aforesaid generator and shall ensure that such approvals are maintained. The Lessor shall ensure that the generator is kept in good order and condition and maintained and serviced from time to time, that adequate supply of fuel is maintained for the same at all times and personnel for operating the same are available by the RTOSOA. (d) If the Lessee is of the opinion that any structural repairs must be carried out to the Schedule Property, the Lessee shall inform the Lessor of the nature of such repairs and provide an estimate of the cost thereof. Rights and Obligations of Lessor. 7.1 During the term of this Agreement Lessor shall: (a) have the right to request such information from Lessee as it reasonably deems necessary in connection with the utilization of the Sites by Lessee; (b) use its commercially reasonable efforts at its own expense to (i) maintain the validity of the Land Certificates on all Certificated Land on which a Site is located and extend the expiration date or renew any such Land Certificate that is due to expire during the Term and (ii) obtain Land Certificates for all Un-Certificated Land on which Sites are located. Upon the Lessor obtaining a Land Certificate for any Un-Certificated Land on which a Site is located, the Lessor shall promptly provide a copy of such Land Certificate to the Lessee and such Land shall, as of the date of issuance of such Land Certificate, be deemed to be Certificated Land for purposes of this Agreement. 7.2 Lessee shall be entitled to quiet enjoyment of each Site that is on Certificated Land and to possession of each such Site during the applicable Term without interruption by Lessor, in its capacity as Lessor, or any person claiming under Lessor in such capacity. Lessor shall take no action, and shall procure that Lessor’s employees, agents, subcontractors, invitees and other parties cooperating with the Lessor shall take no action, other than as expressly permitted under this Agreement or any other agreement between the Parties, that diminishes Lessee’s rights or benefits as a lessee in respect of any Site, or access to any Site. 7.3 Except as provided in Section 17.1, the Lessor gives no warranty as to the condition and structure of the Sites and Lessee shall satisfy itself thereon and shall be deemed to have accepted this Agreement with full knowledge of and subject to any prohibition or restrictions on the utilization thereof, provided however, that the provisions of this Section 7.3 shall not limit either Party’s rights or obligations under the Asset Purchase Agreement. The provisions of this Article 7 shall not limit either Party’s rights or obligations under the Seller Master Lease Agreement, any Seller Site Lease Agreement or any Site Management Agreement.
Rights and Obligations of Lessor. 2.1 Obligation of LESSOR is to maintain and service utilities relating to rooms listed in Appendix 1, and to deliver services listed in Appendix 2 and 3 2.2 LESSOR guarantees proper conditions - as set forth in MSZ (Hungarian Standards) - for work, fire, radiation, safety and security issues for the rooms listed in Appendix 1 2.3 LESSOR has the right to check proper usage - primarily relating to fire, radiation and security issues - and enforce reimbursement for damages caused by improper use. 2.4 LESSOR has the right to terminate this contract without reason by giving 12 months notice. In case of lease termination LESSEE has no right for any further property use. 2.5 Outside of the scope of standard termination, LESSOR has the right to prematurely terminate this contract if any of the following conditions exist: - LESSEE has not paid his/her invoices regarding rent and services within 30 days of due date. - LESSEE is using rooms and territories contra-contract and/or non properly - LESSEE breaks rules regarding life, fire, and radiation safety, or conduct acts against private property - LESSEE initiates building remodeling works without written consent from LESSOR Extraordinary termination is immediate. In case of extraordinary termination by LESSOR, LESSEE must give back all rooms and territories to LESSOR in proper condition within 15 days of notice. All unpaid invoices are due on the day of relinquishing property. LESSOR has mortgage rights on LESSEE's properties up to the amount due by LESSEE.
