The Skills and Knowledge Transfer clause establishes the obligation for one party, typically a service provider or contractor, to share relevant expertise, processes, or know-how with the other party during or at the end of a project. This may involve formal training sessions, documentation handover, or on-the-job guidance to ensure the client’s team can independently operate, maintain, or further develop the delivered solution. The core function of this clause is to ensure continuity and self-sufficiency for the client, reducing reliance on the provider and mitigating risks associated with knowledge gaps.
Skills and Knowledge Transfer. Approved Contractors must log any significant decisions and actions undertaken in delivering agreed packages of work to provide a clear audit trail. The audit trail should be sufficient to allow the commissioning authority to respond to any queries made about the work and to use it in the planning, development and delivery of future work to identify learning and risks and issues. This audit trail should also be sufficient for CQC to identify any sampling errors, breaches of confidentiality raised, and limitations within the data. Approved Contractors must provide CQC or its Co-ordination Centre with the results of evaluation, lessons learned or other review of a work package on completion of that work package. All project specific intellectual property rights means Intellectual Property Rights in items created by the Contractor (or by a third party on behalf of the Contractor) specifically for the purposes of this Framework Agreement will be retained by CQC.

Skills and Knowledge Transfer. To take full part in the independent project evaluation commissioned by the Department which should demonstrate whether or not these schemes can reduce the amount of time police need to spend with people with suspected mental health problems, when these people need health and support services, rather than to enter the criminal justice system.   • Knowledge Transfer 7.1 Three (3) months prior to the Expiry Date of the Agreement (or where the Agreement is terminated within the timescale notified by the Department) the Provider will upon request: 7.1.1 provide for transfer to the Department and/or the Successor Provider of all knowledge reasonably required for the provision of the Services which may, as appropriate, include information, records and documents including that relating to configuration of software; and 7.1.2 provide the Department and/or Successor Provider with reasonable access to such members of the Provider's or its Sub- Contractors' personnel as have been involved in the development, provision or management of the Services and who are still employed or engaged by the Provider or its Sub- Contractors. 7.2 To facilitate the transfer of knowledge from the Provider to the Department and/or its Successor Provider, the Provider will provide, upon request, a detailed written explanation of the procedures and operations used to provide the Services, the change management process and other standards and procedures to the operations personnel of the Department and/or the Successor Provider. 7.3 The information which the Provider will provide, at its own cost, to the Department and/or its Successor Provider pursuant to Paragraph 7.1 above will include: 7.3.1 copies of up-to-date procedures and manuals; 7.3.2 agreements with third party suppliers of goods and services which are to be transferred to the Department/Successor Provider; 7.3.3 key support contact details for third party supplier personnel under Agreements which are to be assigned or novated to the Department/Successor Provider pursuant to this Schedule 8 (Exit Arrangements); 7.3.4 any relevant interface information.
