System Upgrade. The Buyer reserves the right to upgrade the system through the Seller or other qualified person. For the purpose of this Contract, the upgrade is in particular installation of new nodes in the same racks, installation of new memory or new disks within the existing nodes or adding new disks or controllers to the storage system. In the event that the system upgrade is performed by another qualified person, the Buyer shall inform the Seller in advance of two weeks of the upgrade and of the person providing the upgrade and shall provide the Seller with the option to inspect the upgrade at his own cost.
System Upgrade. Non-Recoverable
System Upgrade. The Grantee hereby agrees to complete an upgrade of its Cable System within forty (40) months from its acceptance of the Franchise. The upgraded System shall have a minimum bandwidth capacity of 750 MHz (forward bandwidth 54 to 750 MHz; reverse bandwidth 5 to 40 MHz) with 550 MHz initially activated and a minimum of 79 NTSC analog or equivalent downstream video channels initially activated. All system passives, taps, and connectors shall be capable of passing 1 GHz bandwidth. The Village reserves the right to have an independent engineer or equivalent audit the system to verify completion. \\warner_milwaukee\vol2\work\comm&gov\franchis\warner\elkhtlak\wc\ag\10_6dft.doc
System Upgrade. Prior to the Closing Date, the Seller will complete the upgrade of its investor accounting system in accordance with Schedule 10.16 to the extent the timetable on such Schedule would require completion by such date.
System Upgrade. The Franchisee shall complete a System Upgrade providing capabilities at least equal to those of the following model System:
(1) The upgraded System shall have a minimum bandwidth of 750 MHz on all active components and at least 1 GHz for all passive components.
(2) The upgraded System shall provide activated two-way capability and shall be capable of providing high-speed Internet access via cable modems wherever Cable Service is provided.
(3) The System shall utilize a fiber-optic wire trunk and distribution (“hybrid fiber-coaxial”) design and at no place in the System shall more than one thousand (1,000) residences, businesses and other structures be served by any single fiber node.
(4) There shall be no more than eight active components in a cascade measured from the node.
(5) The Franchisee shall implement status monitoring throughout the System at all hubs and nodes. The status monitoring system must, among other things, monitor signal level and distortion parameters and alert the Franchisee when and where back-up power supplies are being used.
System Upgrade a. Not later than June 30, 2000, Grantee shall upgrade its system to provide a minimum of sixty (60) channels, of which no less than 36 shall be activated for service to subscribers initially, with the capacity of expansion. Grantee may use a nodal architecture including fiber optics to the node or other technology and design that is more practicable both economically and technologically to achieve a system with the same minimum capacity and technical quality. Prior to commencing construction, Grantee shall submit a plan and schedule of construction reflected on maps at a scale of 1 inch to 200 feet showing by a logical geographic progression the sequence in which the entire franchise area will be served.
b. A Final Order of Completion for the upgrade shall be issued by the Grantors when:
(1) construction of the Cable Television System has been completed within the entirety of the Franchise Area in compliance with construction standards, the approved plan, and the design and other requirements of this agreement; (2) cable television services have been made available in accordance with section 12 of this agreement to the Franchise Area.
System Upgrade. The Contractor shall enhance the Socrates sensor capabilities to detect and, to the extent possible, classify and localize wake vortices both in and out of ground effect consistent with the objectives listed in Task 1. It is anticipated that the system enhancements will include expansion of the system from its current four-beam configuration to eight or more beams. The contractor shall provide documentation on all enhancements to the SOCRATES sensor. DTRS57-03-D-30024
System Upgrade. The Grantee shall complete a System Upgrade in accordance with the schedule set forth in subsection 6(f) providing at least the following characteristics:
(1) no microwave links in the distribution system from the headend, except as a backup to wireline systems;
(2) replacement of the current AML microwave link with fiber, in order to achieve reliable downstream transmission and a two-way system with acceptable noise and distortion properties;
(3) redundant routing between each hub site and headend of the upgraded Grantee's Cable System;
(4) segmentation of the system so that sufficient capacity is available for interactive services;
(5) Hybrid fiber-coaxial ("HFC") architecture, with fiber-optic cable at least to the feeder, so that no more than an average of 2,000 homes passed per dual coaxial cable are served from any fiber node (except that if Grantee uses single cable in any locations, there shall be no more than an average of 1,000 homes passed per fiber node), and with the return path activated on both cables where dual cables are used;
(6) designed and built to no more than ten coaxial amplifiers (excluding any such amplifier that serves only a single subscriber) per coaxial cable in each cascade from the node;
(7) a capacity rating of at least 550 MHz for all active components obtained on or after the Effective Date of this Agreement and at least 450 MHz for active components obtained prior to the Effective Date of this Agreement, and a rating of at least 750 MHz for all passive components obtained on or after the Effective Date;
(8) computer-controlled audio leveling equipment, capable of sampling and controlling the entire audio frequency spectrum for each channel and of sampling over time, provided that Grantee reserves the right to discontinue use of this equipment if such equipment adversely affects the operation of Grantee's Cable System.
System Upgrade. This Software Maintenance Agreement includes a fully paid license for any new version of the software (listed above in the Covered Software section). The Airportis not required to implement all new versions of the software, GSI will support previous versions for 24 months after release of the newest version. This agreement also includes the cost of one software upgrade each year during the term of the agreement including implementation costs such as planning, database conversion, installation, and on-line training.
