Contract Consideration. Buyer shall deliver to Escrow Holder, in addition to and as part of Buyer’s delivery to Escrow Holder of the Initial Deposit, the sum of One Hundred Dollars ($100.00) (“Independent Contract Consideration”). Escrow Holder shall deliver the Independent Contract Consideration to Seller immediately following receipt from Buyer without the need for further instruction from the parties. The parties have bargained for and expressly agree that the rights and obligations of each party contained in this Agreement, including, without limitation, Buyer’s obligations to deliver the Independent Contract Consideration to Seller and the Initial Deposit to the Escrow Holder, constitute sufficient consideration for the other party’s execution, delivery, and obligations under this Agreement, including, without limitation, Buyer’s exclusive right to inspect and purchase the Property pursuant to this Agreement and all contingencies and conditions of Closing for the benefit of Buyer set forth in this Agreement.

Contract Consideration. In addition to the Announced Base Milk Price, you will be paid the Contract Consideration Payment for each month on all the milk provided you have supplied to the Milk Co- operative for that month. The Contract Consideration Payment for a month will be calculated as follows: $A = B x C $A is the Contract Consideration Payment for the relevant month. Where the law requires any such tax to be stated and charged separately, the total of all items included within the Work and the added tax shall not exceed the Contract Consideration state herein. 3.3 The parties hereto specifically agree that a condition precedent to all payments to be made by Terremark to Subcontractor, including the final payment, is the payment of corresponding sums to Terremark by the Owner of the job for which Terremark is General Contractor. 3.4 On or before the 20"' day of each month the Subcontractor shall submit to Terremark, in the form required by Terremark, a written requisition for payment (Exhibits A & B) showing the proportionate value of the Work installed to that date, from which shall be deducted a reserve often percent (10%) of the total value of the work completed and stored to date; and all other charges for material or service furnished by Terremark to the Subcontractor. The balance of the amount of said requisition, as approved by Terremark and the Architect, shall be due the Subcontractor on or about the 30th day of the succeeding month (Payment is predicated upon receipt of payment from Owner). Contract Consideration. ▇▇▇▇▇▇ is entering into this Contract in connection with the sale by ▇▇▇▇ Industries, Inc. (a corporation wholly-owned by ▇▇▇▇▇▇) of certain assets to Arbor ▇▇▇▇▇▇▇, Inc. (one of the entities identified in Exhibit “A” and comprising AZZ). ▇▇▇▇▇▇’▇ entry into this Contract is a condition precedent to the purchase of such assets by Arbor ▇▇▇▇▇▇▇, Inc., forms part of the consideration to Arbor ▇▇▇▇▇▇▇, Inc. for such purchase and serves as a material inducement to Arbor ▇▇▇▇▇▇▇, Inc. to purchase such assets. In the absence of ▇▇▇▇▇▇’▇ entering into and performing this Contract, Arbor ▇▇▇▇▇▇▇, Inc. would not purchase such assets.

Contract Consideration. Notwithstanding anything in this Agreement to the contrary, in any event where the Deposit, or any part thereof, is to be returned to Buyer, ONE HUNDRED DOLLARS ($100.00) thereof shall be paid by Escrow Agent to Seller as consideration for the rights and privileges granted to Buyer herein thus making this Agreement the valid and binding obligation of Buyer and Seller even though Buyer may have certain unilateral termination rights during certain periods under this Agreement.
