(one of the entities identified in Exhibit “A” and comprising AZZ). ▇▇▇▇▇▇’▇ entry into this Contract is a condition precedent to the purchase of such assets by Arbor ▇▇▇▇▇▇▇, Inc., forms part of the consideration to Arbor ▇▇▇▇▇▇▇, Inc. for such purchase and serves as a material inducement to Arbor ▇▇▇▇▇▇▇, Inc. to purchase such assets.
