Current Arrangements. Appendix 1 to this Agreement specifies the current arrangements concerning the data to be collected by the respective contracting parties and states which information shall be provided to the other party and in what form. This arrangement shall be maintained until a revised and improved arrangement has been prepared; cf. Appendix 2.

Current Arrangements. 3.3.1 Events caught up with Croydon when one of the major risks (concerning staff resiliency) was realised in February when, due to long term absence, only one member of staff was available to run the facility. This was obviously not a viable long-term position to maintain the service. There was an option to attempt to recruit a locum mortuary manager (although it was not anticipated to be easy to recruit and retain such a member of staff) and secondly was anticipated to be at a significant cost. The alternative which was available was a short-term partnering agreement with Croydon Health Services NHS trust to provide facilities for post-mortems with some body storage associated with overspill of longer term body storage staying at the CPM site. Given the geographical proximity of the two facilities (Croydon University Hospital and Croydon Public Mortuary) these arrangements were the obvious and indeed only solution (given the operational requirements for a hospital to maintain mortuary facilities in any event). These arrangements have been in place since February 2018 and have been working well for all parties and are now perceived to provide immediate, obvious and certain benefits for both parties. 3.3.2 There are immediate benefits realised and risks eliminated from partnering arrangements with CHS NHS Trust and these are listed below: 1. The significant risks of running a standalone public mortuary and post mortem facilities and getting Post Mortems done has been transferred to the NHS. 2. Greater resiliency of arrangements for both the NHS and Local Authority due to having 3 staff operating flexibility and also realised due to the ability of the NHS to access staff, for example within the SW London network. 3. Elimination of lone working/out of hours working risks associated with trying to host Post Mortems at the isolated ▇▇▇▇▇▇▇▇ Road site, by operating from a 24 hour facility within a hospital. (The last 2 issues have been flagged by the Head of Service for some years). 4. Economies of scale achieved by being able to host all Croydon Post Mortems in one place with the supply of one technician as opposed to the Manager and Technician post required to run a standalone facility at ▇▇▇▇▇▇▇▇ Road (ie the Croydon Public Mortuary Manager post is not required in this scenario). 5. Pathologists (who are in the ‘driving seat’) happy with these partnering arrangements with the NHS. 6. Coroners service as the main ‘client’ are confirmed happy and supportive of...

Current Arrangements. The employer may roster employees in accordance with this agreement to perform shift work as required to carry out the operational requirements of the Port. A roster system will be implemented so as to provide an equitable sharing by all shift employees of unsociable hours of work. The employer will retain the discretion to allocate labour in accordance with operational requirements and not necessarily in accordance with any equalization system.   • Management Arrangements 9.1. The Management Arrangements set out the arrangements for the strategic management of the relationship between the Authority and the Contractor, including arrangements for monitoring of the Contractor’s compliance with the Statement of Requirements, the Service Levels, the Award Procedures and the terms of this Framework Agreement. 9.2. The Authority may by notice to the Contractor suspend the Contractor’s appointment to provide Services to Framework Public Bodies for a notified period of time: 9.2.1. if the Authority becomes entitled to terminate this Framework Agreement under clause 42 (Termination Rights) or 43 (Termination on Insolvency or Change of Control); or 9.2.2. in any other circumstance provided for in the Management Arrangements. 9.3. Suspension under clause 9.2 shall terminate upon cessation of all of any circumstances referred to in subclauses 9.2.1 and 9.2.2. 9.4. The Contractor must continue to perform existing Call-off Contracts during any period of suspension under clause 9.2.

  • PAYMENT ARRANGEMENTS If the Distributor is required to indemnify the Trader under section 46A of the Consumer Guarantees Act 1993, the Distributor must promptly pay the Trader the amounts due under that Act.

  • Tax Arrangements 47.1 Where the Contractor is liable to be taxed in the UK in respect of consideration received under this contract, it shall at all times comply with the Income Tax (Earnings and ▇▇▇▇▇▇▇▇) ▇▇▇ ▇▇▇▇ (ITEPA) and all other statutes and regulations relating to income tax in respect of that consideration. 47.2 Where the Contractor is liable to National Insurance Contributions (NICs) in respect of consideration received under this Framework Agreement, it shall at all times comply with the Social Security Contributions and Benefits ▇▇▇ ▇▇▇▇ (SSCBA) and all other statutes and regulations relating to NICs in respect of that consideration. 47.3 The Authority may, at any time during the term of this Framework Agreement, request the Contractor to provide information which demonstrates how the Contractor complies with sub-clauses 47.1 and 47.2 above or why those clauses do not apply to it. 47.4 A request under sub-clause 47.3 above may specify the information which the Contractor must provide and the period within which that information must be provided.

  • Employment Arrangements Section 3.15 of the Diablo Disclosure Schedule contains a true, accurate and complete list of all Diablo employees involved in the ownership or operation of the Diablo Assets or the conduct of the Diablo Business (the "Diablo Employees"), together with each such employee's title or the capacity in which he or she is employed and the basis for each such employee's compensation. Diablo has no obligation or liability, contingent or other, under any Employment Arrangement with any Diablo Employee, other than those listed or described in Section 3.15 of the Diablo Disclosure Schedule. Except as described in Section 3.15 of the Diablo Disclosure Schedule, (i) none of the Diablo Employees is now, or, to Diablo's knowledge, since January 1, 1993, has been, represented by any labor union or other employee collective bargaining organization, and Diablo is not, and has never been, a party to any labor or other collective bargaining agreement with respect to any of the Diablo Employees, (ii) there are no pending grievances, disputes or controversies with any union or any other employee or collective bargaining organization of such employees, or threats of strikes, work stoppages or slowdowns or any pending demands for collective bargaining by any such union or other organization, (iii) neither Diablo nor any of such employees is now, or, to Diablo's knowledge, has since January 1, 1993 been, subject to or involved in or, to Diablo's knowledge, threatened with, any union elections, petitions therefore or other organizational or recruiting activities, in each case with respect to the Diablo Employees and (iv) none of the Diablo Employees has notified Diablo in writing that he or she does not intend to continue employment with Diablo until the Closing or with ATS following the Closing. Diablo has performed in all material respects all obligations required to be performed under all Employment Arrangements and is not in material breach or violation of or in material default or arrears under any of the terms, provisions or conditions thereof.

  • Business Arrangements Except as disclosed in the Registration Statement, the Time of Sale Disclosure Package and the Prospectus, neither the Company nor any of its subsidiaries has granted rights to develop, manufacture, produce, assemble, distribute, license, market or sell its products to any other person and is not bound by any agreement that affects the exclusive right of the Company or such subsidiary to develop, manufacture, produce, assemble, distribute, license, market or sell its products.
