DUTIES OF THE CONTRACTOR shall be to provide services in accordance with Exhibit A, Statement of Work, which is attached hereto and made a part hereof. The performance of these duties shall be at times and places within the limits of District policy at the discretion of the Contractor.
DUTIES OF THE CONTRACTOR. 3.1 The Contractor shall fulfil all obligations arising from the use of ▇▇▇▇ in conjunction with the use, modification and distribution of Approved ▇▇▇▇ and ▇▇▇▇ Derivatives, in particular those from the ▇▇▇▇ Licenses, for and on behalf of the Principal, unless this is not permitted under the terms of the respective ▇▇▇▇ License. Any restrictions thereto may only be agreed in the ▇▇▇▇ Disclosure Document. In addition, the Contractor shall enable the Principal to fulfil all obligations relating to the use of the Approved ▇▇▇▇ and ▇▇▇▇ Derivatives and shall provide for strict compliance with the conditions and obligations agreed with the Principal. 3.2 The Contractor shall design and structure its goods or services, in the case of software development or modifications also within the software architecture, in accordance with the requirements of the Principal so that a) Software to be developed or modified for the Principal is not impaired by any ▇▇▇▇ or ▇▇▇▇ Derivatives that is used, in particular not with regard to the so-called "copyleft" or "viral" effect according to which the license of the original ▇▇▇▇ must be applied to a ▇▇▇▇ Derivative or other software relating to the original ▇▇▇▇. The Contractor shall only use ▇▇▇▇ and ▇▇▇▇ Derivatives in the goods or services in a manner that does not conflict with the digital signature or authenticated vehicle programming techniques of the Principal; and b) the ▇▇▇▇-Licenses of the ▇▇▇▇ do not require that the Principal or other authorized parties provide any authentication information, encryption keys and/or other information concerning the software used in the vehicles. Approved ▇▇▇▇ and ▇▇▇▇ Derivatives must be technically implemented into the goods or services in a manner that allows for them to be quickly and easily removed and replaced by a different product offering the same functions. 3.3 The Contractor must fulfil all obligations relating to the Approved ▇▇▇▇, in particular a) at the Principal's request, disclose and, where necessary, amend its organizational and technical processes with regard to ▇▇▇▇ (e.g. use of tools to detect ▇▇▇▇), b) provide the Principal, no later than the date on which the goods or services are delivered, with the text of the ▇▇▇▇ Licenses, the information to be included in the product documentation and such other components required the Principal needs to create and use an executable version of the Approved ▇▇▇▇, in particular modified build scripts and firmware uploaders, c...
DUTIES OF THE CONTRACTOR. If WSDOT has exercised its right of subrogation, the CONTRACTOR shall cooperate with WSDOT and, upon WSDOT’s request, assist in the prosecution of suits and enforce any right against any person or organization who may be liable to WSDOT due to damage of Project Equipment. The CONTRACTOR shall attend hearings and trials as requested by WSDOT, assist in securing and giving evidence as requested by ▇▇▇▇▇, and obtain the attendance of witnesses as requested by ▇▇▇▇▇.
DUTIES OF THE CONTRACTOR. The Contractor shall ensure that the requirements of the Contract, including but not limited to the plans and specifications, are fully and faithfully complied with by all subcontrators, materialmen and Workmen at all times, that all of this Work is prosecuted with the utmost diligence, and that all materials are provided promptly in sufficient quantities in order not to delay the Work. The Contractor shall exercise the closest inspection of all materials delivered, promptly returning defective materials without waiting for their rejection by the Engineer. The Contractor shall also become thoroughly familiar with the plans and specifications and shall promptly report to the Engineer all errors, discrepancies or omissions, discovered therein. The Contractor shall abide by the decisions and explanations of the Engineer made in regard to such matters.

All systems shall be in good working order. 6.2 All work shall be completed in a ▇▇▇▇▇▇▇ like manner, and shall comply with all applicable building codes and laws. 6.3 All work shall be performed by licensed individuals to perform their said work, as outlined by law. 6.4 Contractor shall obtain all permits necessary for the work to be completed. 6.5 Contractor shall remove all construction debris and leave the project in a clean condition. 6.6 Contractor shall be responsible for fully protecting all adjacent surfaces. Where such areas are damaged by the contractor, his employees or subcontractors then they are to be repaired or replaced at the sole cost of the contractor.

DUTIES OF THE CONTRACTOR. 3.1 The Contractor may only process pD of data subjects within the scope of the DPA and the documented instructions of the Client. If the Contractor is obligated by national or European law to process data in a manner that deviates from this, it shall - insofar as this is legally permissible - inform the Client of this circumstance prior to the start of the processing. 3.2 The Contractor shall organize the internal organization within its area of responsibility in such a way that it meets the special requirements of data protection. It shall take the technical and/or organizational measures described in the Annex 1 to adequately protect the Client's pD. The measures shall ensure the confidentiality, integrity, availability and resilience of the systems and services in connection with the processing on a permanent basis. 3.3 The Contractor reserves the right to change the technical and/or organizational measures taken, but it must be ensured that the contractually agreed level of protection is not undercut. The Contractor informs the Client of such a change by email. 3.4 The Contractor shall support the Client within the scope of its possibilities and the contractually owed performance in fulfilling the requests and claims of data subjects pursuant to Chapter III of the GDPR as well as in complying with the obligations set forth in Art. 33 to 36 of the GDPR. 3.5 The Contractor warrants that the employees involved in the processing of the Client's pD and other persons working for the Contractor are prohibited from processing the respective pD outside the Client's instructions. Furthermore, the Contractor warrants that the persons authorized to process the pD have committed themselves to confidentiality or are subject to an appropriate statutory duty of confidentiality. The confidentiality and non-disclosure obligation shall continue to exist after termination of the order processing agreement. 3.6 The Contractor shall inform the Client without delay if it becomes aware of any violations of the Client's pD protection. The Contractor shall take the necessary measures to secure the pD and to mitigate any possible adverse consequences of the persons concerned and shall consult with the Client on this without delay. 3.7 The Contractor shall inform the Client of the contact person for data protection issues arising within the scope of the DPA. 3.8 The Contractor warrants to comply with its obligations under Article 32(1)(d) of the GDPR and to implement a procedure...
DUTIES OF THE CONTRACTOR. A. The general objective(s) of this contract is/are as follows: This Contract is for the regular delivery of nutrition service food products as listed in attachment A of this contract. The vendor must have the ability and willingness to deliver to all Contractors in ▇▇▇▇▇▇▇▇▇ as listed. This contract is anticipated to have an annual total sales amount of approximately $202,000. B. In order to accomplish the general objective(s) of this contract, Contractor shall perform the following specific duties to the satisfaction of the ▇▇▇▇▇▇▇▇▇’s designee, ▇▇▇▇ ▇▇▇▇▇▇: The Contractor will ensure the timely delivery of goods with a standard lead time of 14 calendar days from receipt of order. School Food Authorities must purchase a minimum of $150 in order to receive direct deliveries of shipments. Contractor will follow this agreement as specified in Terms and Conditions.
DUTIES OF THE CONTRACTOR. The Contractor agrees to provide producing equipment choreography or movement choreography for students of the Bowie OPE, including but not limited to, the Bowie Color Guard. The Contractor’s services will also include teaching the Bowie OPE students and/or Bowie Color Guard the choreography to an adequate level as well as potentially changing choreography to adapt to changes within a Bowie OPE show. The Choreographer may be asked to work in person or virtually and will work and prepare a show production schedule in conjunction with the Bowie OPE Director and/or the Bowie Color Guard Director. The Contractor also specifically agrees to provide the following: The Contractor may represent, perform services for, and be employed by such additional clients, persons, or companies as the Contractor, in Contractor’s sole discretion sees fit. However, the Contractor may not use any of the ▇▇▇▇▇ ▇▇▇▇▇ High School facilities to perform services for other clients or companies and Contractor may not use any of the producing equipment choreography or the same movement choreography used in creating the choreography for the Bowie OPE or Bowie Color Guard. The Contractor will supply all tools and instrumentalities required to perform the teaching and instruction except that the Bowie OPE students will provide their own musical instrument. The Contractor agrees to provide their own insurance for the Contractor and agrees to hold harmless and indemnify the Boosters for any and all claims arising out of any injury, disability or death of the Contractor. The Contractor further agrees to hold the Boosters harmless and indemnify the Boosters from any and all claims arising from any negligent act or omission or a negligent act or omission by the Contractor. The Contractor agrees that if s/he will be interacting directly with the Bowie OPE and/or Bowie Color Guard students, either in-person or virtually, the Contractor will undergo a background check pursuant to the Austin Independent School District (“AISD”) background check as a volunteer and provide a copy of emailed verification from AISD showing it has been passed prior to beginning any direct work with the Bowie OPE students. Neither this Agreement nor any duties or obligations under this Agreement may be assigned by the Contractor without the prior written consent of the Boosters.
