Network Licence. If the Licence Identification identifies the Licence Type for the Licensed Materials as a “Network Licence,” Licensee may Install copies of the specific release of the Licensed Materials designated in the applicable Licence Identification on a Computer and permit Access to such Licensed Materials on multiple Computers, on a Networked Basis, solely by Licensee’s Personnel, solely for Licensee’s Internal Business Needs, only so long as the maximum number of concurrent Authorised Users does not exceed the Permitted Number of Authorised Users or other limits imposed by the Licensor (if any). This Licence Type is for a fixed term specified in the applicable Licence Identification. Network Licence. (a) For the purposes of the Operator providing the Services and otherwise complying with its obligations and exercising its rights pursuant to this Agreement, the Authority hereby grants a licence to the Operator to have access to and to use the Authority Network Assets in accordance with this Agreement. (b) The Network Licence shall commence, in the case of each Authority Network Asset, on the delivery of such Authority Network Asset to the Operator and shall end on the Expiry Date. (c) The Operator shall be entitled to grant a sub-licence, in terms no better than those granted under the Network Licence, to have access to and/or to use the Authority Network Assets to the Operator’s servants, agents, employees and Sub-Contractors and any other person whom the Operator reasonably requires to allow to have access to and/or to use the Authority Network Assets in order to provide the Services and otherwise to perform or facilitate the performance of the obligations and exercise or facilitate the exercise of the rights of the Operator pursuant to this Agreement, provided that the Operator shall not otherwise be entitled to or be required to assign, sublet, part with possession or otherwise deal with the Authority Network Assets other than in accordance with this Agreement. (d) The Operator shall be liable to the Authority for all acts and omissions of any of its sub- licensees in breach of the Network Licence. (e) The Network Licence is granted to the Operator for the sole purpose of enabling the Operator to meet its obligations under this Agreement. Neither the Network Licence nor the provision of access to the Authority Network Assets by the Authority to the Operator shall be a demise of the Authority Network Assets or any part of them, nor shall the Operator be entitled to any estate, right or interest in the Authority Network Assets or any part of them, and the Operator and those authorised by it shall have access to the Authority Network Assets as licensees of the Authority only. (f) The Network Licence shall immediately terminate upon the occurrence of the Expiry Date.

  • Software Licence The following licence terms apply whether HP provides software to Customer as part of a managed service or as a separate software transaction.

  • Trademark License System Agency grants to Grantee, for the term of the Grant Agreement, a limited non- exclusive, royalty-free, non-assignable, non-transferable license to reproduce System Agency’s trademarks on published materials in the United States related to the performance of the Grant Agreement, provided that such license is expressly conditional upon, and subject to, the following: i. Grantee is in compliance with all provisions of the Grant Agreement; ii. Grantee’s use of the trademarks is strictly in accordance with the quality standards and in conformance with the reproduction requirements set forth in this Grant Agreement or as otherwise communicated by System Agency; iii. Grantee takes no action to damage the goodwill associated with the trademarks, and refrains from any attempt to contest, attack, dispute, challenge, cancel and/or oppose System Agency’s right, title and interest in the trademarks or their validity; iv. Grantee makes no attempt to sublicense any rights under this trademark license; and v. Grantee complies with any marking requests System Agency may make in relation to the trademarks, including without limitation to use the phrase “Registered Trademark”, the registered trademark symbol “®” for registered trademarks, and the symbol “™” for unregistered trademarks.

  • Software Licensing A. Sourcewell selected The Gordian Group’s (Gordian) software, data and services (IQCC System) for their IQCC program. The system includes Gordian’s proprietary ezIQC, eGordian and Bid Safe IQCC applications (IQCC Applications) and construction cost data (Construction Task Catalog), which shall be used by the Contractor to prepare and submit Price Proposals, subcontractor lists, and other requirements specified by Sourcewell and Sourcewell Members. The Contractor’s use, in whole or in part, of ▇▇▇▇▇▇▇’s IQCC Applications and Construction Task Catalog and other proprietary materials provided by ▇▇▇▇▇▇▇ for any purpose other than to execute work under this Contract for Sourcewell and Sourcewell Members is strictly prohibited unless otherwise stated in writing by ▇▇▇▇▇▇▇. The Contractor hereby agrees to abide by the terms of the following IQCC System License:

  • Trademark Licenses (a) The Knicks hereby grant to Licensor for the Term non-exclusive royalty-free licenses by the Knicks and Team of all intellectual property owned or licensed by the Knicks or the Team, including but not limited to images, likenesses, service marks, tradenames and trademarks, for the exclusive purposes of promoting the Arena as the home arena of the Team, operating the Arena and providing the Licensor Services. Licensor’s use of such licenses shall be in accordance with and subject to League Rules and subject to the Knicks prior written approval. Licensor shall not have any right to sublicense, or seek or receive any payments from third parties specifically for the use of, the Knicks’ intellectual property, except in accordance with ARTICLE VII, it being understood that Licensor may exercise the right to promote the Arena as the home arena of the Team in places and in a manner that may also incorporate in an incidental manner promotion of Licensor’s marketing partners and sponsors (including, without limitation, use in connection with the Knicks’ intellectual property any overall Arena marketing partner(s) “lock-up logo” or naming rights, sponsored Licensor web pages and upcoming events promotions, etc.). (b) The Knicks shall be permitted to reference the Arena as their home venue on all material promoting the Team and ticket sales (and the Ticket Agent). In connection therewith, Licensor and its Affiliates hereby grant to the Knicks a non-exclusive royalty-free license to use the trademarks “MADISON SQUARE GARDEN,” “MSG,” “THE WORLD’S MOST FAMOUS ARENA” and related logos solely for such promotional purposes. The Knicks’ use of such licenses shall be subject to the Licensor’s prior written approval, not to be unreasonably withheld, conditioned or delayed. The Knicks shall not have any right to sublicense, or seek or receive any payments from third parties specifically for the use of, Licensor’s intellectual property.

  • Software License The SOFTWARE is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE is licensed, not sold.
