Operational Manual Clause Samples

An Operational Manual clause defines the requirement for the parties to follow a specific set of procedures or guidelines, typically documented in a separate manual, for the operation and management of a project, facility, or service. This clause usually stipulates that the manual will outline day-to-day processes, safety protocols, maintenance routines, and reporting obligations, and may specify how updates to the manual are made and communicated. Its core practical function is to ensure consistency, safety, and efficiency in operations by providing a clear, agreed-upon reference for all parties involved.
Operational Manual. (a) The Multiplex Licensee agrees to develop an operational manual in consultation with all Access Seekers to deal with technical and operational matters that arise under or in connection with this Agreement, or the supply of the Multiplex Transmission Service (Operational Manual). (b) The Multiplex Licensee must: (i) establish a process for the development of the Operational Manual, which includes a process for consultation with all Access Seekers; (ii) undertake consultation with all Access Seekers in good faith; (iii) use its reasonable endeavours to accommodate any reasonable requests that may be made by an Access Seeker during the consultation process in respect of the development or contents of the Operational Manual; and (iv) ensure that the Operational Manual is consistent with this Agreement, including clause 9. (c) Subject to clause 9, the Access Seeker acknowledges and agrees that the Operational Manual may include provisions that are necessary for, or reasonably required by, the Multiplex Licensee to comply with technical or operational obligations imposed by suppliers or vendors under third party supply agreements on which the supply of the Multiplex Transmission Service is dependent. (d) Any Operational Manual developed by the Multiplex Licensee: (i) forms part of this Agreement and is binding on the Parties; and (ii) may be amended by the Multiplex Licensee from time to time, subject to clauses 2.2(b) and 2.2(c).
Operational Manual. (a) The Borrower shall cause JSIF to carry out the Project in accordance with an operational manual (“Operational Manual”) satisfactory to the Bank, said manual to include, inter alia: (i) the composition, functions and responsibilities (including terms of reference and qualifications) for the PMT, the Inter-Ministerial Project Steering Committee, and the Rural Economic Evaluation Committees; (ii) the Subproject cycle, including the eligibility and prioritization criteria for Subproject selection under Part 1 of the Project, and for Beneficiaries, including the fiduciary requirements for managing funds; (iii) model forms for the Subproject Agreements, JSIF Subproject Arrangements and a combination thereof for cases where implementation of the respective Subproject is shared by JSIF and the relevant Beneficiary; (iv) the Environmental Management Framework; (v) the environmental guidelines and procedures to be followed in the environmental screening, approval and mitigation compliance of Subprojects under the Project, including: (A) a negative list of investments which will not be financed under the Project; (B) a provision that Subprojects that will result in significant conversion or degradation of natural habitats will be evaluated to ensure compliance with the Bank’s Operational Policy 4.04; (C) a provision that in the event that any of the Subprojects procure pesticides or result in increased use of pesticides, an appropriate pesticide management plan, as required by the Bank’s Operational Policy 4.09 will be developed, which shall include non-chemical measures for pest management and guidelines for proper selection, application, storage, handling, transport and disposal of pesticides; and (D) a prohibition to finance under the Project any Subproject that involves involuntary resettlement as defined in the Bank’s Operational Policy 4.12; (vi) the Project financial management, disbursement and procurement procedures (standard bidding documents, standard bid evaluation forms and procedures for Community Participation (as defined in the Procurement Guidelines) procurement procedures under Subprojects); and (vii) the Performance Indicators. (b) The Operational Manual may be amended from time to time with the prior approval of the Bank. In the case of any conflict between the terms of the Operational Manual and those of this Agreement, the terms of this Agreement shall prevail.
Operational Manual. 1. The Recipient, through VMD, shall carry out the Project, or cause the Project to be carried out, in accordance with the terms of a manual satisfactory to the Association (the Operational Manual). Except as the Association shall otherwise agree, the Recipient shall not amend, waive or fail to enforce the Operational Manual or any provision thereof. In case of any conflict between the terms of this Agreement and those of the Operational Manual, the terms of this Agreement shall prevail. 2. The Operational Manual shall include provisions detailing procedures and guidelines for the carrying out of the Project, including, inter alia: (a) the procedures for the preparation, review and approval of reports pursuant to the Project’s financial management arrangements; (b) procurement and contracting procedures consistent with Schedule 2 to this Agreement, to be applicable to the contracts for the works, goods, and services required for the Project and to be financed out of the proceeds of the Credit; (c) Project impact and implementation indicators and the procedures for the monitoring and evaluation of the Project, including for compliance with Section II of Schedule 2 to this Agreement; (d) the procedures for the Recipient’s preparation, review and approval of Credit proceeds withdrawal applications to the Association, in conformity with the instructions that the Association may give to the Recipient in this respect; (e) the eligibility criteria for the selection of the Eligible Municipalities; (f) the eligibility criteria for the Investment Subprojects; (g) the Environmental Management Framework and guidelines for the carrying out of Investment Subprojects and the mechanisms to address the culturally specific needs of the Recipient’s indigenous peoples groups to ensure that the benefits of the Project are culturally appropriate and that there is broad community support for the Project; (h) guidelines for human resources management under the Project; (i) the communications strategy for the Project; and (j) the identification, quantification and responses to risk management under the Project.
Operational Manual. The Operational Manual shall be provided in a format that will allow non technical personnel to learn understand and operate the systems provided. The Contractor shall provide three copies of the Operational Manual. These shall be printed on A4 paper and provided in three ring binders. The contents of the Operational Manuals shall be as follows:  Index;  Description of all systems, their function and purpose and  Description of how to operate each system.

Operational Manual. Except as the Borrower and the Bank shall otherwise agree:
Operational Manual. 1. The Recipient shall carry out the Project in accordance with the provisions of a manual (the Operations Manual), which shall include, inter alia: (a) a detailed description of Project activities and institutional arrangements for the Project, including the eligibility and selection criteria for respective parties’ participation under relevant Parts of the Project; (b) the Project administrative, accounting, auditing, reporting, financial (including cash flow aspects in relation thereto), procurement and disbursement procedures; (c) the forms of Parametric Insurance Contracts including the policies and procedures that govern the Insurance Payouts; and (d) the terms and conditions to be included in the Risk Transfer Contracts. 2. Except as the Recipient and the World Bank may otherwise agree in writing, the Recipient shall not abrogate, amend, suspend, waive or otherwise fail to enforce the Operations Manual or any provision thereof.
Operational Manual. The Recipient, through the ACTD, shall: (i) take all necessary measures to implement the Project in accordance with the Operational Manual and shall not amend, suspend, abrogate, repeal or waive any provisions of the Operational Manual without prior approval of the World Bank.
Operational Manual. 1. The Borrower, through MARENASS, shall carry out the Project in accordance with an operational manual satisfactory to MEF (through the Dirección General de Programación Multianual del Sector Público) and the Bank (the Operational Manual), such manual to include, inter alia: (a) the procedures for the carrying out, monitoring and evaluation of the Project (including the procurement, disbursement, financial, social and environmental requirements thereof); (b) the roster of the Borrower’s regions and areas that are eligible to participate in the Project; (c) the administrative rules and procedures for planning, preparing, proposing, contracting, financing, carrying out and supervising the Subprojects, including the detailed criteria and procedures for their selection; (d) the EA and the Procurement Plan; and (e) the Performance Indicators. 2. The Operational Manual may be amended by the Borrower when necessary, with the prior approval of the Bank. In the case of any conflict between the terms of the Operational Manual and those of this Agreement, the terms of this Agreement shall prevail.
Operational Manual. (a) Without limitation to the provisions of Section 2.01 of this Agreement, the Recipient shall carry out the Project in accordance with the provisions of the Operational Manual. The Recipient shall in no way amend the Operational Manual without prior written consent from the World Bank. (b) In case of any conflict between the terms of the Operational Manual and those of this Agreement, the terms of this Agreement shall prevail.
