Operational Policies and Procedures. Through the MOAs, PSAPs are expected to follow Operational Governance policy and procedures as outlined in Appendix A. Operational Policies and Procedures. CME’s operational practices, policies and procedures related to implementing and performing Clearing Services, including, without limitation, establishing marking prices that vary from settlement prices submitted by CBOT, where such settlement prices materially deviate from appropriate market prices; the timeline for CME’s receipt of information and data necessary to perform the Clearing Services and CME’s delivery of information and data to CBOT, Clearing Members and other third parties; data file formats; the manner in which CME makes information available to Clearing Members; and the mechanics of CME’s automated delivery processes shall be the same as CME’s existing practices, policies and procedures, including the automated delivery system to be developed by CME as provided by Schedule A (collectively, the “Operational Policies and Procedures”), provided that nothing in the Operational Policies and Procedures shall contravene any provision set forth in this Agreement.

Operational Policies and Procedures. The Operations Agreement shall provide that ICC shall adopt and enforce policies and procedures for the operation of the OncoVax Center during the Operational Phase, which such policies and procedures shall be consistent with, and require ICC and its employees and agents to comply with, Lehigh's Facility Policies, Rules and Regulations. Intracel shall, in accordance with the terms of the Operations Agreement, have the right to review, amend and approve all of ICC's operational policies and procedures including those related to compliance with FDA requirements, and any amendments thereto before such policies and procedures are implemented by ICC. Lehigh shall have the right to review all such policies and procedures and any amendments thereto and Intracel shall take any concerns into consideration prior to approving any such policies and procedures. The Operations Agreement shall provide that ICC shall accept all amendments submitted by Intracel to ICC in connection with those operational policies and procedures related to compliance with FDA requirements. Intracel shall maintain ultimate responsibility for compliance with all applicable FDA product requirements.

Operational Policies and Procedures. Intracel shall adopt and enforce policies and procedures for the operation of the OncoVax Center during the Interim Phase and shall require that all Trials be conducted in accordance with (a) all applicable laws and regulations and (b) Lehigh's Facility Policies, Rules and Regulations.

At the conclusion of the 30-day period, the Employer shall have the right to implement such policy or written procedure, and shall issue the final version of the policy or written procedure. The 30-day period may be extended by written mutual agreement, and extensions shall not be unreasonably requested nor will requests for extensions be unreasonably denied. The provisions of this Agreement shall prevail over any inconsistent operational policies, procedures and work rules.

Operational Policies and Procedures. Hospital shall adopt and enforce policies and procedures provided by Intracel for the operation of the operation of the OncoVAX Center. Intracel shall maintain ultimate responsibility for compliance with all applicable United States Food And Drug Administration ("FDA") product requirements. Hospital agrees to conduct all research under this Agreement shall be conducted in accordance with all applicable federal, state, and local laws and regulations.

Operational Policies and Procedures. It is acknowledged by the parties that AEMEC has established, and will establish in the future, certain operational policies and procedures for the operation of its educational programs, student services, administration, personnel development, alumni relations, institutional research and planning, institutional effectiveness, recruitment and institutional promotion, library facilities and collections, educational resources and equipment, and maintenance and expansion of physical facilities. It is further acknowledged and agreed that, except as otherwise provided in this document or the Agreement, AUD personnel shall be instructed and encouraged to extend their reasonable efforts to adhere to and follow such policies and procedures as have been and may be promulgated through appropriate procedures and published in the policies and procedures manuals, administrative memoranda, joint documents generated by AEMEC personnel in the annual meetings, or as otherwise approved and distributed by the Governing Board. Inherent in this provision is the understanding that AUD personnel shall have every opportunity to represent the points of view of AUD and participate appropriately in the establishment of such institutional operational policies and procedures.

(S)(S)563.41 and 563.42; ii. procedures, in connection with Section 5(a)(i), above, that operate to prohibit AFC from withholding or retaining funds due to Approved from loan servicing activities, and that prevent the establishment of additional receivables in connection with funds owed by AFC to Approved; iii. procedures to ensure that Approved uses its best efforts to obtain adequate warehouse line of credit facilities at the Association for the purpose of providing additional funding sources for loans held for sale; iv. procedures to ensure the Association adopts a policy that no request for dividends will be made to OTS until Approved's regulatory capital levels are restored to at least the levels reported as of December 31, 2000; and the Association will remain well-capitalized following the payment of the dividend; and v. procedures to ensure the Association develops a plan to achieve operational efficiencies through ongoing cost controls and ongoing efforts to reduce the average time that loans are held by Approved before the loans are sold. b. The Operations Policy shall conform to all applicable statutes, regulations, OTS policy and guidance. The Board shall make all changes to the Operations Policy required by the Regional Director within 10 days of receipt of written direction from the Regional Director. Upon approval by the Regional Director, the Operations Policy shall be incorporated into this Agreement and any deviation from the approved terms of the Operations Policy shall be a violation of this Agreement. All reports required by the Operations Policy, together with applicable Board minutes relating to them, shall be transmitted to the Regional Director no later than 15 days after the Board meeting at which they are presented.
