Plans and Reports. To enable the Bank to supervise progress in the execution of the Project and the scope of its results, the Borrower, directly or through the Executing Agency, as the case may be shall: (a) Present to the Bank the information, plans, reports, and other documents in such form and substance as the Bank may reasonably request, based on the progress of the Project and its level of risk; (b) Comply with the actions and obligations established in such plans, reports, and other documents agreed upon with the Bank; (c) Inform the Bank upon identifying any risks or significant changes that cause or may cause delays or difficulties in Project execution; and (d) Inform the Bank within no more than thirty (30) days of the initiation of any proceedings, claim, suit, or legal, arbitral, or administrative action relating to the Project and keep the Bank informed on the status thereof.
Plans and Reports. If, for any reason whatsoever, Buyer ----------------- terminates this Agreement, Seller may elect to have Buyer assign to Seller all of Buyer' rights, title and interests to feasibility studies, including audits prepared by Coopers & ▇▇▇▇▇▇▇, Buyer's financial models, analyses, economic reports, marketing studies, maps, surveys, environmental reports, civil and soil engineering reports, site plans, plans and specifications relating to the Improvements on all of the Properties and any and all other plans, reports and other documents or work relating to any and all of the Properties including but not limited to, Latitude 33's ALTA surveys of the Property, and the physical inspection reports and environmental reports prepared by Building Analytics prepared by or for Buyer, including all land use and other governmental approvals and applications therefor ("Plans and Reports"), completed to Buyer's reasonable satisfaction, with all costs and fees relating thereto fully paid (i.e., at no cost or expense to Seller). Seller agrees that Buyer makes no warranty to Seller as to the accuracy of such Plans and Reports, and Seller agrees to indemnify Buyer for all costs, expenses, claims, liabilities, losses, damages, arising out of or in connection with Seller, its agents or successors using or relying on the Plans and Reports if Seller elects to have Buyer assign them to Seller. Buyer agrees to deliver any and all such Plans and Reports, paid for in full, to Seller within three (3) days after Buyer's receipt of Seller's written notice regarding Seller's election to have Buyer deliver the same. Buyer agrees to execute any reasonable assignment documents prepared by Seller within five (5) days of Seller's request. In addition, Buyer agrees to return any and all of the Documents and Materials to Seller within five (5) days of termination.
Plans and Reports. (a) At least [...***...] prior to the first Launch Date of the Product in the Territory or, if the Parties reasonably expect the first Launch Date of the Product in any country in the Territory to be less than [...***...] from the Effective Date, then as soon as is practicable with respect to such country in the Territory, Licensee shall prepare and provide to Allergan and the JCC a written pre-Commercialization plan (the "Pre-Commercialization Plan") describing in detail the planned Commercialization of the Product in the Territory for the [...***...] period following such Launch Date. The Pre-Commercialization Plan shall include the following information with respect to the Product in the Territory: a review of core markets, key drivers, competitors and key environmental issues, brand vision and strategy, brand positioning, value proposition for payers, forecast, lifecycle management and franchise maximization plans, resource plans (including sales and marketing costs), field force, advertising and promotion and medical affairs activities and expenses. The JCC shall review and approve the Pre-Commercialization Plan and any and all amendments thereto. (b) Within [...***...] after the Effective Date, Licensee shall prepare and provide to Allergan with a business plan, marketing plan and sales forecast (such plans and forecast, as amended and updated from time to time in accordance with this Section 4.3(b), the "Annual Plan") to cover in detail the Development and Commercialization of the Product in the Territory for the remainder of the first Calendar Year and the next full Calendar Year. The Annual Plan shall include the following information with respect to the Product in the Territory: brand vision and strategy (including positioning branding and key messaging), market and competitive map (including main opportunities for brand, key issues to address, market segmentation, business insight and market research plans), strategic communications (including global congresses, publication plans, ad boards/key opinion leader advocacy, Phase IV plans, medical education programs and public relations), price and market access considerations and plans, sales forecast (including sales, market share and days of therapy) and expenses (including sales force, advertising and promotion). Plans and Reports. HM shall promptly deliver, or cause the delivery, to Option Writer of copies of (a) HM's most recent two (2) year future business plan, which plan will generally be available on or about March 1 of each calendar year, (b) HM's most recent Form 10-K and Annual Report, and (c) the most recent statutory annual statements for the HM Insurance Subsidiaries. The failure of HM to deliver any such items shall not be deemed a breach of this Agreement unless such item is actually available, has been requested in writing by Option Writer, and has not been delivered by HM within thirty (30) days after HM's receipt of such request. Option Writer shall keep all documents or information delivered to Option Writer pursuant to this Section 6.12 (except for the Form 10-K and Annual Report and statements described in clauses (b) and (c) above) in strictest confidence and shall use them solely in connection with the Transaction Agreements, except as otherwise required by law.

In accordance with the Required Standards Document, Application Guidelines etc. and the Proposal Documents, the Operating Right Holder shall prepare and submit to the State by the Airport Operating Business Scheduled Commencement Date a master plan for the entire Project for the period from the Airport Operating Business Scheduled Commencement Date until the preceding day of the day falling on the 30th year after the Operating Right Establishment Date, which shall include the contents stipulated in Exhibit 11 . In preparing the Master Plan, the Operating Right Holder shall basically conform with the contents concerning implementation of the Project proposed in the Proposal Documents within the scope of the items stipulated in Exhibit 11. 2. If the Operating Right Holder changes the contents of the master plan during the Airport Operating Business Period, it shall obtain prior approval from the State. 3. During the Airport Operating Business Period, the Operating Right Holder shall, either by itself or through the Building Facility Operator, make its best efforts to implement the Project in accordance with the contents of the master plan. 4. After submitting the master plan to the State or obtaining approval for change, the Operating Right Holder shall promptly disclose the published matters on the Operating Right Holder’s website, and continue such disclosure during the Airport Operating Business Period. 5. If the Project Period exceeds the subject period in the master plan submitted pursuant to paragraph 1, the Operating Right Holder shall prepare and submit to the State by the commencement date of the fiscal year (which includes the last day of the relevant subject period) a master plan for the entire Project covering from that date until the expiration of the Project Period in the form stipulated in Exhibit 11. In this case, the provisions of immediately preceding three paragraphs shall apply mutatis mutandis to the change, implementation of business and disclosure of the relevant master plan. Plans and Reports. The Contractor shall submit periodic plans and reports, in such form and substance as required by the Contracting Officer. These periodic plans and reports shall be submitted at the intervals, and to the addresses and in the quantities as specified by the Contracting Officer. Where specific forms are required for individual plans and reports, the Contracting Officer shall provide such forms to the Contractor. The Contractor shall require subcontractors to provide reports that correspond to data requirements the Contractor is responsible for submitting to DOE. Plans and reports which may be submitted in compliance with this provision are in addition to any other reporting requirements found elsewhere in other clauses of this contract. It is the intention of DOE to consult with the Contractor in determining the necessity, form and frequency of any reports required to be submitted by the Contractor to DOE under this contract.
