Provision of Services and Deliverables. 4.1 8Squad will provide the Services and Deliverables (if any) in accordance with this Agreement and the applicable Statement of Work.
4.2 8Squad will provide the Services and deliver the Deliverables (if any):
(a) to a level of professional skill and care at least equal to the level of skill and care reasonably expected of a professional organisation experienced in providing services and/or deliverables of the type and complexity of the Services and/or Deliverables; and
(b) in accordance with:
(i) all applicable laws and regulations;
(ii) widely accepted industry practises; and
(iii) the reasonable directions of the Client from time to time.
4.3 8Squad may subcontract any part or all of the Services. Where 8Squad chooses to do so, it remains responsible to the Client for the performance of the Services by its subcontractors as if those Services were being performed by 8Squad.
Provision of Services and Deliverables. Upon the execution or entering into of a Project Agreement by both parties, ATS shall provide the Services and Deliverables specified in the Project Agreement in accordance with the terms and conditions of the Project Agreement and the terms and conditions of this Agreement. ATS shall use commercially reasonable efforts to provide Services and Deliverables in accordance with any schedule set forth in a Project Agreement, or if no schedule is set forth in such Project Agreement, in accordance with the schedule otherwise agreed upon in writing between the parties. All scheduled completion dates are best estimates based on current projections and based on Photowatt meeting its obligations and ATS shall not be liable for delays in completion or delivery.
Provision of Services and Deliverables. 2.1 Redesmere undertakes that it will perform the services and supply the deliverables expressly described in the Proposal (“the Services”) with reasonable skill and care and in a professional and timely manner.
2.2 Redesmere will use practitioners with appropriate skills and experience for the provision of the Services.
2.3 Redesmere agrees to deliver the Services within an agreed and reasonable time. Both Parties will use all reasonable endeavours to meet any target date, project plan or time table referred to in the Agreement (“Date”).
2.4 The Client acknowledges and agrees that where Redesmere designs, builds, develops, delivers, customises or integrates any product or other deliverable provided as a part of the Services (including without limitation software) it does so as a consultant providing services and not as a supplier or manufacturer of goods.
Provision of Services and Deliverables. The Contractor must:
(a) provide the Services and Deliverables to REA in accordance with this agreement and any Statement of Work between the parties from time to time;
(b) work collaboratively and co-operatively with REA and its other service providers;
(c) make all reasonable efforts not to impede any related work undertaken by REA or its other service providers;
(d) keep ▇▇▇ informed of all matters of which REA ought reasonably to be made aware, or which may affect the way in which the Contractor provides the Services and Deliverables; and
(e) provide such information in relation to the supply of the Services and Deliverables as may reasonably be requested by ▇▇▇ from time to
Provision of Services and Deliverables. Dusk Mobile will:
(a) provide the Services and Deliverables to Purchaser in accordance with this Agreement and all Statements of Work in the form set out in Schedule 2;
(b) work collaboratively and co-operatively with the Purchaser and its other service providers, as reasonably requested by the Purchaser;
(c) keep the Purchaser informed of all matters of which the Purchaser ought reasonably to be made aware pursuant to this Agreement, or which may affect the way in which Dusk Mobile provides the Services and Deliverables; and
(d) provide such information in relation to the supply of the Services and Deliverables as may reasonably be requested by the Purchaser from time to time.
Provision of Services and Deliverables. 2.1 ▇▇▇▇▇▇▇▇▇▇▇ will not proceed with any individual Statement of Work until it has received a duly authorised purchase order from Client for an amount which is equal to or greater than the value of such Statement of Work and which refers to the Services and/or Deliverables to be provided.
2.2 ▇▇▇▇▇▇▇▇▇▇▇ will provide the Services in accordance with the terms and conditions contained herein and in accordance with each applicable Statement of Work and Good Industry Practice.
2.3 In the event of any conflict or ambiguity in the provisions of the clauses, the schedules or the documents referred to in this Agreement, the following order of decreasing precedence will be applied:
(a) the Special Terms;
(b) the clauses of this Agreement;
(c) the documents, including Statements of Work, referred to in this Agreement.
2.4 Client will order Services and/or Deliverables by agreeing a Statement of Work with ▇▇▇▇▇▇▇▇▇▇▇. Each Statement of Work will be deemed to incorporate the terms of this Agreement and will become effective only upon signature by the authorised representatives of both parties as notified to each other in writing from time to time.
2.5 ▇▇▇▇▇▇▇▇▇▇▇ hereby agrees to:
(a) provide all Services and/or Deliverables in accordance with the relevant Statement of Work, Good Industry Practice and any reasonable directions from Client as to the manner in which it will perform the Services or provide the Deliverables;
(b) keep Client informed at all times of the progress of all matters relating to the provision of the Services and/or Deliverables and will comply with all reasonable requests for information; and
(c) at all times complete the Services or provide the Deliverables in accordance with such timetables as are agreed in the Statement of Work or otherwise agreed between the parties from time to time.
(d) maintain information security policies which are aligned with industry best practice
Provision of Services and Deliverables. Seller shall provide, and Customer shall purchase, the Services and Deliverables specified in the applicable Purchase Order in accordance with the terms and conditions of this Agreement. * Confidential treatment has been requested for portions of this exhibit. The copy filed herewith omits the information subject to the confidentiality request. Omissions are designated as [*]. A complete version of this exhibit has been filed separately with the Securities and Exchange Commission.
Provision of Services and Deliverables. 2.1 The Service Provider warrants that it will perform the services described in the Proposal with reasonable skill and care and in a good and workmanlike manner. The standard by which the performance of the services will be measured is the professional standard expected of an experienced provider of consultancy services.
2.2 The Service Provider will use consultants with appropriate skills and experience for the provision of the services. The Service Provider may substitute consultants with alternative consultants or subcontractors with suitable experience and skills should the need arise.
2.3 The Service Provider agrees to deliver the services and deliverables within a reasonable time. Both parties will use all reasonable endeavours to meet any target date, project plan or time table referred to in the Agreement.
2.4 The Service Provider shall use all reasonable endeavours to accommodate any reasonable changes in the Services that may be requested by the Client, subject to the Client’s acceptance of any related reasonable changes to the Fees that may be due as a result of such changes.
2.5 The Client accepts that the Service Provider has other clientsfor whom the Service Provider may or may not deliver services during the provision of services for the Client.
2.6 The Client is under no responsibility to find the Service Provider additional work. In the same manner, the Service Provider is under no obligation to accept any additional work presented to it by the Client.
2.7 The relationship between Client and Consultant will be that of customer and supplier. Nothing in this agreement shall create an employer-employee relationship between the Service Provider and the Client. The Service Provider shall have no right to any of the Client’s employee benefits including, but not limited to, health and accident insurance, life insurance, pensions, sick pay and/or vacation.
Provision of Services and Deliverables. Pongolabs will provide the Services and Deliverables:
(a) substantially in accordance with the Requirements;
(b) using the degree of skill, care and diligence reasonably to be expected of experienced personnel in similar circumstances; and
(c) using appropriately qualified personnel. Pongolabs’ obligations to provide the Services and Deliverables are subject to any assumptions and qualifications specified in the ORDER. If you required Pongolabs to do any additional work that is outside the scope of the ORDER or any of the assumptions relevant to a ORDER are incorrect, you agree that Pongolabs will be entitled to an extension of time for any obligation that Pongolabs is delayed in performing as a result and costs in accordance with clause 6. Pongolabs may subcontract delivery of its obligations under this agreement but remains responsible for any act or omission of any of its subcontractors.
