Custodial Duties. (a) Each Owner hereby appoints the Custodian as custodian of the Custodial Assets and the Asset Documents pursuant to the terms of this Agreement and the Custodian accepts such appointment. The Custodian hereby agrees to accept the Custodial Assets and Asset Documents delivered to the Custodian by or at the direction of the respective Owner pursuant to the terms hereof, and agrees to hold, release and transfer the same in accordance with the provisions of this Agreement. There shall be a segregated non-interest bearing securities account established by the Custodian on behalf of each Owner (each such account, a “Custody Account”) and into which the Custodial Assets for each Owner shall be held and which shall be governed by and subject to this Agreement. In addition, on and after the date hereof, the Custodian may establish any number of subaccounts to a Custody Account deemed necessary or appropriate by the Custodian and the respective Owner or the Adviser in administering the Custody Account (each such subaccount, a “Subaccount” and collectively with the Custody Account, the “Account”). As of the date hereof, the Custodian has established on behalf of each Owner, the Account set forth below such Owner’s name on Schedule A hereto. All Custodial Assets to be delivered in physical form to the Custodian shall be delivered to the address set forth in Section 8 hereof and all Custodial Assets to be delivered in book-entry form to the Custodian shall be delivered in accordance with delivery instructions separately provided by the Custodian. The Custodian shall not be responsible for any other assets of the Owners held or received by the Owners or others or any assets not delivered to Custodian as set forth herein and accepted by the Custodian as hereinafter provided. The Custodian shall have no obligation to accept or hold any security or other asset pursuant to the terms of this agreement to the extent it reasonably determines that such security or asset does not fall within the definition of “Custodial Asset” or holding such security or asset would violate any law, rule, regulation or internal policy applicable to the Custodian. ESP employees shall not be required to perform custodial duties outside the scope of the job expectations for their position such as, but not limited to, cleaning floors or furniture, emptying trash, washing bathroom facilities, changing light bulbs, dusting, and wiping desks, when such duties are not directly related to the instructional program, student activity or service they support.
Custodial Duties. (a) In the absence of contrary Instructions, the Custodian is authorised by the Issuer to, and where applicable, the Custodian shall, carry out the following actions in relation to the Securities Collateral:
(i) sign any affidavits, certificates of ownership or other certificates relating to the Securities Collateral which may be required by the Commissioners of HM Revenue & Customs or any other tax or regulatory authority in any relevant jurisdiction, whether governmental or otherwise, and whether relating to ownership, or income, capital gains or other tax, duty or levy (and the Issuer further agrees to ratify and to confirm or do, or to procure the doing of, such things as may be necessary or appropriate to complete or evidence the Custodian's actions under this paragraph 4(a)(i) or otherwise under the terms of this Agreement);
(ii) collect and receive, for the account of the Issuer (subject to the security created by the Deed of Charge), all distributions received in respect of the Securities Collateral (Distributions) and any security or property offered or delivered in exchange for the Securities Collateral and shall notify the Cash Manager, the Servicer, the Issuer and the Security Trustee promptly of any such receipt and the deposit thereof into the Swap Collateral Account;
(iii) make presentation of interest items and receipts and other principal items or presentation for payment, conversion or exchange of any Securities Collateral which become payable or convertible or exchangeable and the endorsement for collection of cheques, drafts and other negotiable instruments;
(iv) save to the extent provided below in paragraph 4(b)(ii), take any action which is necessary and proper in connection with the receipt of Distributions or security or property as referred to in paragraph 4(a)(ii) above;
(v) exchange interim or temporary receipts for definitive certificates, and old or over stamped certificates for new certificates and hold such definitive and/or new certificates in the Custody Account;
(vi) deliver to the Cash Manager and the Servicer (with a copy to the Security Trustee) transaction advices and/or regular statements of account showing the Securities Collateral held as at the any Calculation Date and at such other intervals as may be agreed between the Cash Manager, the Servicer, the Security Trustee and the Custodian or otherwise upon the Security Trustee's request; and

Custodial Duties. Except in emergency situations, teacher will not be expected to perform custodial duties for any student; e.g., diapering, toileting, or lifting.

Custodial Duties. The duties of the custodians shall be as follows: Duties of all custodians include items 1 and 7 below. Items 1 through 8 are the duties of the head custodian. Effective with the payroll period following approval of this Agreement, employees in the position of Head Custodian shall work 37.5 hours per week during regular work weeks.
1. He or she shall be in charge of the cleaning of the building, repairs, and the general supervision of the maintenance of the building, reporting any need for skilled service to the Superintendent of Schools, or his/her designee, through the Building Principal.
2. He or she shall be in charge of the heating, ventilating, plumbing, and general supervision of the maintenance of all mechanical equipment in the building, reporting any need for skilled service to the Superintendent of Schools, or his/her designee, through the Building Principal.
3. He or she shall be expected to take care of the load of duties as may be worked out and assigned by the Building Principal and the Superintendent of Schools or his/her designee.
4. He or she shall be responsible for the proper requisition of needed supplies and checking upon repair or supplies for use in the building in which he or she is assigned.
5. He or she shall be responsible for organizing and supervising, under the direction of the Superintendent of Schools, the work of other temporary operating or maintenance Employees assigned to his or her building.
6. He or she is expected to arrange for a custodian or other person authorized by the Building Principal and/or the Superintendent to be present whenever the building is open to the general public, as determined by the Building Principal and/or the Superintendent.
7. On school days, and on other days as assigned by the Superintendent, he or she shall be in charge of the upkeep of the grounds and shall keep all sidewalks free of snow and ice, along with all driveways and parking lots. All additional work, including overtime related to these responsibilities must be approved in advance by the Superintendent or his/her designee. Day custodians shall work his/her regular scheduled day on days cancelled due to inclement weather unless directed otherwise by the Superintendent or his/her designee. On days cancelled due to inclement weather, night custodians shall work his/her regularly scheduled hours during the day.
8. Head Custodians will be in charge of all building checks.
