The Priority Considerations clause establishes the order in which obligations, rights, or claims are addressed when multiple provisions or agreements may apply. In practice, this clause clarifies which document or contractual term takes precedence if there is a conflict, such as specifying that the main agreement overrides any schedules or appendices, or that certain debts are paid before others in insolvency situations. Priority Considerations. Definition For the purpose of this article, a priority consideration is the bona fide consideration for noncompetitive selection given to an employee as the result of a previous failure to properly consider the employee for selection because of procedural, regulatory, or program violation. Employees will receive one priority consideration for each instance of improper consideration. Processing The procedures for processing a priority consideration shall be: Employees will be notified in writing by the authorized Department official of entitlement to each priority consideration. Such notice will advise employees that if a vacancy is announced and posted and the employee wishes to exercise their priority consideration, the employee should submit the necessary application to the Human Resources Management Services (HRMS) with a written request that they wish priority consideration for the vacancy. Priority consideration is to be exercised by the selecting official at the option of the employee for an appropriate vacancy. An appropriate vacancy is one that the employee is interested in, is eligible for, and which leads to the same grade level as the vacancy for which proper consideration was not given. Prior to the evaluation of other applicants, the name(s) of the employee(s) requesting to exercise priority consideration will be referred to the selecting official. The selecting official will make a determination on the request prior to evaluating other applicants. The fact that the employee chooses to exercise a priority consideration does not preclude that employee from also filing an application through the regular posting process. Local Union Notification In order to assure compliance with this section, the local union will be furnished statistics on priority considerations granted and exercised and the results. Statistics will be kept and provided to the local union on a quarterly basis. The local union will also be notified in writing of each individual priority consideration completed.

Dischargers and/or areas of a State not included in (1) above, but considered as high priority areas by the State and EPA would receive up-to-date wasteload allocation for permit reissuance purposes. These will be identified on a case-by-case basis. 3. Up-to-date wasteload allocation will be needed for other program purposes such as elimination of “back logged” 201 facilities planning grants. As these are identified, the State will finalize the wasteload allocations to complete the 201 plans and use the wasteload allocations in permit reissuance as appropriate. 4. Reissue all other permits with interim limits, include a statement that the facility is believed to be presently inadequate, and include a specific reopener clause stating when final limits will be developed. Priority Considerations. 11.9.1 Priority consideration shall be provided to any Bargaining Unit employee who has filed a vacation request six (6) months prior to the desired vacation dates. 11.9.2 When two (2) or more Bargaining Unit employees request the same vacation period and the supervisor has determined that all requested vacations may not be granted, the following procedure shall be implemented: 11.9.2.1 The immediate supervisor shall notify the affected employees of the conflict and the employees shall attempt to resolve the conflict. 11.9.2.2 If the employees cannot resolve the conflict, the immediate supervisor shall grant the vacation to the employee with the most Bargaining Unit seniority. 11.9.3 Once an employee has been granted priority consideration, they shall not again be granted priority consideration until all members of the department have exercised their option to be granted priority consideration.

  • Equity Consideration (a) The Equity Consideration (collectively, the “Buyer Parent Securities”) are or shall be restricted securities and have not been registered for resale under the United States Securities Act of 1933, as amended (the “Securities Act”), and may not be sold, transferred, hypothecated, or assigned by any of the Seller in the absence of a registration statement covering such Buyer Parent Securities that has been declared effective by the Securities and Exchange Commission (“SEC”) or the availability of an applicable exemption therefrom. (b) The Seller is a knowledgeable, sophisticated, and experienced investor and has sufficient knowledge and experience in evaluating and making, and is qualified to evaluate and make, decisions with respect to private investments in and dispositions of securities, including investments in and dispositions of securities issued by Buyer Parent and Persons engaged in similar activities, and is capable of evaluating the risks and merits associated with the Buyer Parent Securities. (c) The Seller is an “accredited investor” as defined in Rule 501(a) of Regulation D under the Securities Act. (d) The Seller has had the opportunity to seek independent legal, investment, and tax advice in connection with such Seller’s decision to acquire its share of the Buyer Parent Securities. (e) The Seller is acquiring the Buyer Parent Securities for investment purposes only and not with a view toward the immediate resale or distribution thereof. The Seller acknowledges that, as a result of the substantial restrictions on the transferability of its share of Buyer Parent Securities, such Seller will be required to bear the financial risks of an investment in such capital stock for an indefinite period of time. (f) The Seller has reviewed the reports filed with the SEC by B▇▇▇▇ ▇▇▇▇▇▇ and has received and reviewed a draft of Buyer Parent’s Form 1-K for fiscal year 2019, to be filed with the SEC pending completion of the Company’s audit procedures. The Seller understands the risks of its investment in Buyer Parent. The Seller acknowledges and agrees that it has had sufficient time and opportunity to ask questions and receive answers from Buyer Parent concerning the terms of the issuance of Buyer Parent Securities pursuant to this Agreement and to obtain any additional information required by or pursuant to the Securities Act.

  • Special Considerations The Provider position may be abolished at any time by the Collin County Commissioners Court.

  • Financial Considerations 9.1. In consideration for the rendering of the services, the cidb shall pay the service provider as set forth in Annexure “B” hereof. 9.2. The Service Provider acknowledges that as an independent contractor it will be remunerated for delivery of a specific services as set forth in Annexure “A” hereof. 9.3. Where the Service Provider is a registered VAT vendor, payment of the fees shall be payable to the Service Provider within 30 (thirty) days of receipt of a duly completed VAT invoice, less applicable financial penalties and disputed amounts, provided the invoice is accurate and meets the requirements of this Agreement 9.4. Each invoice shall contain- 9.4.1. A description of the Services rendered; and 9.4.2. Any such details as may reasonably be requested by the cidb, from time to time. 9.5. Should the cidb query an item in an invoice, the Service Provider shall within seven (7) days after a written request by the cidb, provide the cidb with any other documentation or information reasonably required by the cidb in order to verify the accuracy of the amounts due on an invoice. 9.6. The Service Provider shall for the contract term and for a period of three (3) years after the termination of this Agreement, maintain a complete audit trail of the Services performed under this Agreement, sufficient to permit a complete audit thereof. 9.7. Unless otherwise agreed in writing, the cidb shall not be responsible for any subsistence, accommodation, and travel allowances that the service provider may incur in rendering the services. Any extraordinary expenses if payable by the cidb will require cidb’s prior approval before they are incurred by the service provider. 9.8. The cidb will pay the Service Provider for work completed by direct transfer into the following bank account of the Service Provider or such other bank account designated by the Service Provider from time to time. 9.9. The cidb may withhold payment of fees that the cidb disputes in good faith or, if the disputed fees have already been paid, the cidb may withhold an equal amount from a later payment, including disputes in respect of an error in an invoice or an amount paid. If the cidb withholds any such amount- 9.9.1. The cidb shall promptly notify the Service Provider that it is disputing such amount providing a reasonable explanation of the rationale therefore and the Parties shall promptly first address such dispute in accordance with this Clause 16; 9.9.2. If the dispute relates to (or equals in the case of disputed amounts that have already been paid) only a percentage of the invoiced amount, then the cidb shall pay the undisputed amount in accordance with Clause 11.5 above; and 9.9.3. If an invoice is identified as incorrect, then the Service Provider shall either issue a correct invoice if the amount has not yet been paid, or make a correction on the next invoice if the amount has been paid 9.10. Should the service provider be in breach of any of its obligations in terms hereof, or the service levels not being at an acceptable level, and the service provider has failed to rectify such a breach, after receipt of a notice and within the period referred to in clauses 7.2 and 16, the cidb shall be entitled to withhold any payment which may be payable to the service provider until the service levels are once again within acceptable limits. If the cidb elects to exercise its rights in terms of this clause, then the cidb shall be obliged to notify the service provider thereof in writing. 9.11. Any amount payable in terms of this agreement, which is not paid on the due date for payment, shall attract interest of not more than the prevailing rates.
